CONTRACT TO SELL
KNOW ALL MEN BY THESE PRESENTS:
This CONTRACT TO SELL is made and executed and entered into by:
EMELIA LLORENTE GILES, of legal age, Filipino, widow, and a resident of Purok 3,
Bingag, Dauis, Bohol, Philippines and JAMICHA A. VILLANUEVA, of legal age, Filipino, married
to CHARLIE B. APARICIO, both residents of Purok 5, Songculan, Dauis, Bohol, Philippines,
hereinafter referred to as SELLER/VENDOR;
- and -
JUAN DELA CRUZ, of legal age, Filipino, married, and a resident of Poblacion III,
Tagbilaran City, Bohol, Philippines, hereinafter referred to as BUYER/VENDEE;
WITNESSETH;
WHEREAS, the SELLER/VENDOR is the absolute and registered owner of a parcel of
land, situated at Nabuad, Inabanga, Bohol, being a portion of Lot 7638 and covered by CTC/Tax
Declaration No. 2016-24-0037-00821 issued in Inabanga, Bohol.
WHEREAS, the BUYER/VENDEE has agreed to purchase from the SELLER/VENDOR,
and the SELLER/VENDOR has agreed to sell to the BUYER/VENDEE, the parcel of land, which
more particularly described as follows:
LOT No. ____ - __ - __
“A parcel of land (Lot No.____-__-___of the subdivision plan, __________,
being a portion of Lot ____), situated in the Barangay of Nabuad, Municipality of Inabanga,
Province of Bohol. X x x containing an area of ONE HUNDRED (100) SQUARE METERS,
more or less.”
WHEREAS, the BUYER/VENDEE is interested to purchase the above-mentioned parcel
of land, and also, understands and agrees that the land is subject to the following Terms and
Conditions stated below:
TERMS AND CONDITIONS
1. That the TOTAL CONTRACT PRICE of the parcel of land is TWO HUNDRED THOUSAND
PESOS ONLY (PHP 200,000.00), Philippine currency, payable as follows:
1.1 That the amount of TEN THOUSAND PESOS (PHP 10,000.00), Philippine currency, as
DOWNPAYMENT, representing earnest money deposit shall be payable upon execution
of this Contract to Sell and shall be considered part of the TOTAL CONTRACT PRICE.
Thus, the DOWNPAYMENT of the said parcel of land purchase is good for only for a
period of THIRTY (30) calendar days, starting from the BUYER/VENDEE made the
payment;
1.2 That the remaining balance of ONE HUNDRED NINETY THOUSAND PESOS (PHP
190,000.00) shall be paid in SIXTY (60) monthly installment term in the amount of THREE
THOUSAND ONE HUNDRED SIXTY-SIX PESOS AND SIXTY-SEVEN CENTAVOS
(PHP 3,166.67), starting from ______________ until ______________.
1.3 That in case the BUYER/VENDEE could not fulfil any obligation stated in this Contract to
Sell, the DOWNPAYMENT or the earnest money deposit shall be forfeited in favor of the
SELLER/VENDOR.

1.4 That the BUYER/VENDEE fails to pay, when due, any of the monthly installments herein
stipulated for THREE (3) consecutive months, the SELLER/VENDOR shall provide a
NOTICE OF CANCELLATION, a notice to terminate the contract and BUYER/VENDEE
should respond or show his/her appearance to SELLER/VENDOR within FIFTEEN (15)
working days to appeal if ever they are willing to pursue the contract or choose to be
assumed by any interested person. However, if the BUYER/VENDEE does not respond
or show his/her appearance to SELLER/VENDOR, all rights and interest of said
BUYER/VENDEE to the above-mentioned property, shall ipso facto cease and terminate,
and all the payments made from BUYER/VENDEE shall be deemed forfeited and waived
in favor of the SELLER/VENDOR.
2. That the Notarization Fees, Registration Fees, Transfer Fees and all miscellaneous fees
and expenses to Transfer of the Certificate of Title in the name of the new owner shall be on
account of SELLER/VENDOR.
3. That upon the full payment of the Total Contract Price, the SELLER/VENDOR shall sign
and execute the DEED OF ABSOLUTE SALE in favor of BUYER/VENDEE, thus,
SELLER/VENDOR shall likewise execute and/or deliver any and all documents including but not
limited to the original copy of Transfer of Certificate of Title, Tax Declaration, and all other
documents related to the ownership of the mention property.
3.1 BUYER/VENDEE shall allow SELLER/VENDOR to have an allowance time of 12 to 36
months to process and deliver the Certificate of Title in the name of BUYER/VENDEE.
3.2 That during the execution of DEED OF ABSOLUTE SALE, both parties shall agree to
make the original and undervalue price of parcel of land purchase.
4. The SELLER/VENDOR will be responsible for the transfer of ownership of the Transfer
Certificate of Title from SELLER/VENDOR to the BUYER/VENDEE.
WHEREFORE, SELLER/VENDOR, hereby acknowledges to BUYER/VENDEE to have
received the amount of TEN THOUSAND PESOS (₱10,000.00), Philippine currency, as
DOWNPAYMENT of the above-mentioned parcel of land.

appeared the above-named persons with their respective Valid Identification cards as shown

Deed of Conditional Sale, consisting of three (3) pages only including the page wherein this
acknowledgment is written, the parties and their witnesses having signed on both pages hereof,
and who acknowledged and ratified before me that the same is their free and voluntary act and
deed.
