1. Company Presentation


1.1. Objective
The company’s objective is:


   a) Processing and trading nuts and coffees (Greek and Filter), on its own
        behalf or on behalf of third parties, and
   b) Trading beverages, confectionary and goods of any type, on its own
        behalf, or on behalf of third parties.


In order to achieve its objective, the company trades both within and outside of
Greece.


The company’s headquarters are in NEA Artaki, Evia.




1.2 History


The Kalatheri family has been in the coffee and nut business in Greece for 81
years, and have been active in their present capacity, as “NUTCO S.A.”, since
2007.


The most significant landmarks in the development of the Company are as
follows:


   • In 1927, Triandafillos Kalatheris created his first Coffee Roasting Store
        in Chalkida; its activities included processing nuts.


   • In 1952, the family business evolved and the store passed on to his
        brother, Emmanuel Kalatheris.

   • The business was first registered as a corporate entity in 1965, under the
        name “M.Kalatheris & Co. L.P.”, and joined by two new members,
        Georgios and Konstantinos Kalatheris. The new generation made a
        substantial contribution to the development of the company and its
        turnover. In time, the company decided to develop its activities in
        standardised Nut products further.


   • In 1970, the brothers Georgios and Kostas Kalatheris initiated the
        company’s     first   substantial    investment,   purchasing     mechanical
        equipment in rented, at the time, facilities of 450 sq. metres.


   • In 1970, the company, having travelled a long way in the field of nuts
        and coffee, decided to build its own modern facilities, and purchase
        mechanical equipment of the latest technological standards. The initial
        area of the premises was 1,500 sq. metres, in NEA Artaki, Evia. The
        aim of this new investment was to improve its standardised Nut
        products. The company’s packaging set new standards in the Nut
        business at that time.


The vacuum pack was one of the company’s innovations, especially at the
time.


   • In 1984, and after the rapid development of the company’s turnover, the
        Kalatheri Brothers built an additional floor of 450 sq. metres. The total
        area of the company’s premises was now 2,000 sq. metres.


   • In 1985, 100% of the company passed on to the brothers Giorgos and
        Kostas.

   • In 1988, they converted the company to a Public Limited Company,
      under the name KALATHERI BROS S.A., Manufacturers of Nuts and
      Coffee.
   • 1996 was a landmark in the company’s development. That was the year
      when the management made strategic decisions regarding further
      development and penetration of the Greek market. Part of this
      development was owed to development law 2234/23a, through which
      the company qualified for investments of €3.9 million, in various
      departments of the company, over a period of 5 years. After the
      completion of the investment, the company had expended €2.6 million
      on its premises and on the purchase of advanced equipment for the
      automation of the production process.


   • In 2001, changes in the retail sector led the company to invest in
      working capital, with the objective of breaking into the Super Market
      market, which now makes up the biggest proportion of its turnover.


   • In 2007, the company changed into its current manifestation, NUTCO
      S.A.; its Managing Director is Stefanos Kalatheris, who has 10 years’
      experience in the field, having graduated through all the stages of
      production and trade-distribution of the product. He studied Business
      Administration (concentration in Economics) at Lavern University,
      California.


1.3 Object of Activity


A) NUTS


Today, the company is active in the trade and processing of coffee and nuts in
bulk, on behalf of third parties and under the KALATHERIS brand name, as
follows:

Especially when it comes to Pistachio Nuts, the company utilises primary
processing equipment (peeling, drying, separating open/closed shells), thus
ensuring the best possible quality at the best possible prices, since it makes its
purchases during the harvest period, in August. The purchase price of the
goods traded and processed by the company is determined in the stock market,

    and influenced by climate conditions in the countries of production. For
    varieties that are not produced in Greece, the company purchases raw materials
    directly from producers/farmers abroad, securing the best possible price.


    As shown in the table below, the company makes its products available in the
    market in 8 different types of packaging. Out of our 32 varieties of nut, coffee
    and dried fruit products, Roasted Pistachios and Skinless Peanuts come in all 6
    different packages. The most common packaging type for 19 different nut,
    coffee and dried fruit products under the “KALATHERIS” Brand Name, is the
    175 gr. pack, followed by 80 gr. and 450 gr. The company presented a new
    series of products in a sealed plastic cup, for perfect preservation of the
    product, in packages of 125 gr., 250 gr. and 500 gr. The company is the only
    one in the business to offer 125 gr. cups, in an effort to respond to emerging
    consumer habits of its customers. It is worth noting that the new packaging is
    much more practical than the traditional bags, due to the lid that protects the
    product from smells and humidity.

    As shown in the following table, the company offers its products wholesale in
    6 different sizes. The most common wholesale size for most nut, coffee and
    dried fruit products is 2.5 kg., followed by 800 gr. and 5 kg.

B) COFFEE


The company traditionally produced Greek coffee in all weights and roasted
coffee beans for HO.RE.CA. Clients. Nowadays, and following the recent
investment in processing and packaging equipment for Filter coffee, it is
making its mark in this new product category. The table below lists the pack
sizes offered by the company.

Greek Coffee is packaged in aluminium foil with inert gas to protect the
contents. Filter coffees are available in vacuum brick packaging, with printed
paper wrapped around on the outside.




1.4 Organisation and Operation


Through a fully vertically integrated procedure, the company serves the biggest
Super Market chains, both multinational and Greek, across the country, as well
as liquor stores, hotels, etc. The procedure, from receipt of the raw material to

distribution of packaged or loose products incorporates the added value of the
company’s investments and know-how, as follows:


   • Receipt & Storage
   • Cleaning and removal of foreign bodies
   • Dry shelling
   • Roasting
   • Selection
   • Packaging under the KALATHERIS Brand Name, Private Label, Loose
   • Storage
   • Distribution of loose and packaged products


The company’s presence in the Greek nut market is particularly successful, as
it possesses the necessary infrastructure, experience and credibility to deal with
competition successfully. The company’s production and administrative
operation consists of the following departments:


   • Production Department
   • Financial Department
   • Commercial Department

The Production Department


Production is the company’s main department.


It is comprised of:

   • The Production Manager, who supervises and controls the production
      process, which includes obtaining raw materials, producing products,
      maintaining and storing products, and removing potential residue.


   • The Quality Control Manager, whose main responsibility is creating the
      necessary mechanisms for checking the compliance of products
      (intermediary and final) with applicable procedures and additional
      customer requirements.


   • A Food Scientist, who supervises the production process.


   • The Storage Manager, who controls stock.


   • The Mechanical Equipment Maintenance Engineer, and


   • The production employees.




The Financial Department


The Company’s Financial Department consists of:


   • Head Accountant
   • Assistant Accountant
   • Pricing Agents




The Commercial Department


The Company’s Commercial Manager is responsible for:

   a) The Sales Department, which organises sales and the product
      distribution network
   b) The Marketing & Advertising Department


A) The Sales Department


The Sales Department is made up of:


   • Sales and Orders Agents, who are responsible for taking orders from the
      Chalkida area, as well as Athens and the rest of Attica, and
   • The distribution drivers, who are responsible for the prompt delivery of
      merchandise to the company’s clients.


B) Marketing & Advertising Department


The Marketing & Advertising Manager is responsible for the constant
improvement of the company’s image, through activities such as:


   • Placing advertisements in print media
   • Taking part in trade shows, in Greece and abroad
   • Developing category management
   • Supervising the company’s website
   • Creating company publications.


C) Acquisitions & Supplies Department


The Acquisitions & Supplies Manager is responsible for the Company’s
supplies from Greece and abroad, and for compiling and sending orders to the
company’s suppliers. The department employees are responsible for customs
clearance, unloading and storing the products received.

D) Research & Development Department


The Research & Development Manager is responsible for improving the high
quality of existing products further, and developing new products to meet
emerging client requirements.


In addition, the company employs the services of by a multinational
Accounting Firm for support in financial, accounting and tax matters, and legal
support is provided by a prominent Chalkida Law Firm. IT support is available
on a 24-hour and annual basis.




IT & Computers


The company upgraded its personal computers in December 2007, and utilises
a contemporary IT system that supports the total of its activities:


   • Production
   • Accounting
   • Pricing
   • Storage and stock Control
   • Orders – Sales
   • Distribution Centres and receipt of analytical or statistical data


The system is run on a local Ethernet network, using the Novell Operating
System, and consists of a File Server, 4 PCs Compatibles and five printers. The
File Server runs COMPUTER LOGIC “ERP” software, for Analytical and
General Accounting.       Office Automation software is run in a Windows
environment (WINDOWS SMALL BUSINESS 2003), for the purposes of
administrative support.

The Company also uses M.I.S. REPORT for Accounting, Sales software (a
business application by COMPUTER LOGIC), and Payroll Software (an
application by COMPUTER LOGIC). The company maintains a website,
www.kalatheri.com, which is being updated to include e-commerce capacities.




1.5 Sales Network


The Sales Network of NUTCO S.A. consists of:


   • Sales Agents
   • Inspectors
   • Representatives


Who are coordinated out of the company’s Headquarters in NEA Artaki.


Products are distributed as follows:
   • In Attica, Evia: by passenger vehicles and vans.
   • All other areas: product transportation and delivery is conducted by
       specialised partners.


The Company prepares and sends orders on the day after receiving “just in
time” orders, for the better service of its clients. Regular contact with clients is
a priority, and is conducted by telephone and fax, but also face-to-face. In
addition, through the company’s new website, the clients will be able to order
products on line, and check availability of desired products codes directly.

The Company has signed a contract with a recognised consulting firm, for
quality certification consulting services. By the 30th of April, the company shall
be ISO 9001:2000, ISO 22000 (the upgraded version of HACCP) and BRC
Global Standard Food certified.


We ought to mention, at this point, that the company is only the second in the
region to be granted the BRC certificate, which is the most demanding of all
existing quality assurance systems. The KALATHERIS family has always had
the excellent quality of its products, aimed at the satisfaction of its clients, as
its own mark of quality, long before the implementation of assurance systems.




2.2 Licences & Trademarks


The company has registered the following trademarks:


Kalatheri, Sodeia, multi nuts, So sweet, Cafeteria Mix.


With regards, especially, to “Kalatheri”, which is the corporate brand, and
“Sodeia”, the company has invested over four (4) million Euros in advertising
in the last five years, in an effort to establish its products in the market. These
days, the above two trademarks are by far the most recognisable in the region,
and incorporate the largest added value in the nut trade.

  • 1. COMPANY PRESENTATION OF NUTCO S.A. 1. Company Presentation 1.1. Objective The company’s objective is: a) Processing and trading nuts and coffees (Greek and Filter), on its own behalf or on behalf of third parties, and b) Trading beverages, confectionary and goods of any type, on its own behalf, or on behalf of third parties. In order to achieve its objective, the company trades both within and outside of Greece. The company’s headquarters are in NEA Artaki, Evia. 1.2 History The Kalatheri family has been in the coffee and nut business in Greece for 81 years, and have been active in their present capacity, as “NUTCO S.A.”, since 2007. The most significant landmarks in the development of the Company are as follows: • In 1927, Triandafillos Kalatheris created his first Coffee Roasting Store in Chalkida; its activities included processing nuts. • In 1952, the family business evolved and the store passed on to his brother, Emmanuel Kalatheris.   • 2. COMPANY PRESENTATION OF NUTCO S.A. • The business was first registered as a corporate entity in 1965, under the name “M.Kalatheris & Co. L.P.”, and joined by two new members, Georgios and Konstantinos Kalatheris. The new generation made a substantial contribution to the development of the company and its turnover. In time, the company decided to develop its activities in standardised Nut products further. • In 1970, the brothers Georgios and Kostas Kalatheris initiated the company’s first substantial investment, purchasing mechanical equipment in rented, at the time, facilities of 450 sq. metres. • In 1970, the company, having travelled a long way in the field of nuts and coffee, decided to build its own modern facilities, and purchase mechanical equipment of the latest technological standards. The initial area of the premises was 1,500 sq. metres, in NEA Artaki, Evia. The aim of this new investment was to improve its standardised Nut products. The company’s packaging set new standards in the Nut business at that time. The vacuum pack was one of the company’s innovations, especially at the time. • In 1984, and after the rapid development of the company’s turnover, the Kalatheri Brothers built an additional floor of 450 sq. metres. The total area of the company’s premises was now 2,000 sq. metres. • In 1985, 100% of the company passed on to the brothers Giorgos and Kostas. NUTCO S.A. Page 2

COMPANY PRESENTATION OF NUTCO S.A. • In 1988, they converted the company to a Public Limited Company, under the name KALATHERI BROS S.A., Manufacturers of Nuts and Coffee. • 1996 was a landmark in the company’s development. That was the year when the management made strategic decisions regarding further development and penetration of the Greek market. Part of this development was owed to development law 2234/23a, through which the company qualified for investments of €3.9 million, in various departments of the company, over a period of 5 years. After the completion of the investment, the company had expended €2.6 million on its premises and on the purchase of advanced equipment for the automation of the production process. • In 2001, changes in the retail sector led the company to invest in working capital, with the objective of breaking into the Super Market market, which now makes up the biggest proportion of its turnover. • In 2007, the company changed into its current manifestation, NUTCO S.A.; its Managing Director is Stefanos Kalatheris, who has 10 years’ experience in the field, having graduated through all the stages of production and trade-distribution of the product. He studied Business Administration (concentration in Economics) at Lavern University, California. 1.3 Object of Activity A) NUTS Today, the company is active in the trade and processing of coffee and nuts in bulk, on behalf of third parties and under the KALATHERIS brand name, as follows: NUTCO S.A. The purchase price of the goods traded and processed by the company is determined in the stock market, NUTCO S.A. Page 4

For varieties that are not produced in Greece, the company purchases raw materials directly from producers/farmers abroad, securing the best possible price. As shown in the table below, the company makes its products available in the market in 8 different types of packaging. Out of our 32 varieties of nut, coffee and dried fruit products, Roasted Pistachios and Skinless Peanuts come in all 6 different packages. The most common packaging type for 19 different nut, coffee and dried fruit products under the “KALATHERIS” Brand Name, is the 175 gr. pack, followed by 80 gr. and 450 gr. The company presented a new series of products in a sealed plastic cup, for perfect preservation of the product, in packages of 125 gr., 250 gr. and 500 gr. The company is the only one in the business to offer 125 gr. cups, in an effort to respond to emerging consumer habits of its customers. It is worth noting that the new packaging is much more practical than the traditional bags, due to the lid that protects the product from smells and humidity.   • 11. COMPANY PRESENTATION OF NUTCO S.A. B) COFFEE The company traditionally produced Greek coffee in all weights and roasted coffee beans for HO.RE.CA. Clients. Nowadays, and following the recent investment in processing and packaging equipment for Filter coffee, it is making its mark in this new product category. The table below lists the pack sizes offered by the company. The company’s production and administrative operation consists of the following departments: • Production Department • Financial Department • Commercial Department In more detail: The Production Department Production is the company’s main department. COMPANY PRESENTATION OF NUTCO S.A. • The Production Manager, who supervises and controls the production process, which includes obtaining raw materials, producing products, maintaining and storing products, and removing potential residue. • The Quality Control Manager, whose main responsibility is creating the necessary mechanisms for checking the compliance of products (intermediary and final) with applicable procedures and additional customer requirements. • A Food Scientist, who supervises the production process. • The Storage Manager, who controls stock. • The Mechanical Equipment Maintenance Engineer, and • The production employees. COMPANY PRESENTATION OF NUTCO S.A. a) The Sales Department, which organises sales and the product distribution network b) The Marketing & Advertising Department A) The Sales Department The Sales Department is made up of: • Sales and Orders Agents, who are responsible for taking orders from the Chalkida area, as well as Athens and the rest of Attica, and • The distribution drivers, who are responsible for the prompt delivery of merchandise to the company’s clients. B) Marketing & Advertising Department The Marketing & Advertising Manager is responsible for the constant improvement of the company’s image, through activities such as: • Placing advertisements in print media • Taking part in trade shows, in Greece and abroad • Developing category management • Supervising the company’s website • Creating company publications. C) Acquisitions & Supplies Department The Acquisitions & Supplies Manager is responsible for the Company’s supplies from Greece and abroad, and for compiling and sending orders to the company’s suppliers. The department employees are responsible for customs clearance, unloading and storing the products received. NUTCO S.A. Page 14

D) Research & Development Department The Research & Development Manager is responsible for improving the high quality of existing products further, and developing new products to meet emerging client requirements. In addition, the company employs the services of by a multinational Accounting Firm for support in financial, accounting and tax matters, and legal support is provided by a prominent Chalkida Law Firm. IT support is available on a 24-hour and annual basis. IT & Computers The company upgraded its personal computers in December 2007, and utilises a contemporary IT system that supports the total of its activities: • Production • Accounting • Pricing • Storage and stock Control • Orders – Sales • Distribution Centres and receipt of analytical or statistical data The system is run on a local Ethernet network, using the Novell Operating System, and consists of a File Server, 4 PCs Compatibles and five printers. The File Server runs COMPUTER LOGIC “ERP” software, for Analytical and General Accounting. Office Automation software is run in a Windows environment (WINDOWS SMALL BUSINESS 2003), for the purposes of administrative support. NUTCO S.A. Page 15

REPORT for Accounting, Sales software (a business application by COMPUTER LOGIC), and Payroll Software (an application by COMPUTER LOGIC). The company maintains a website, www.kalatheri.com, which is being updated to include e-commerce capacities. 1.5 Sales Network The Sales Network of NUTCO S.A. consists of: • Sales Agents • Inspectors • Representatives Who are coordinated out of the company’s Headquarters in NEA Artaki. Products are distributed as follows: • In Attica, Evia: by passenger vehicles and vans. • All other areas: product transportation and delivery is conducted by specialised partners. The Company prepares and sends orders on the day after receiving “just in time” orders, for the better service of its clients. Regular contact with clients is a priority, and is conducted by telephone and fax, but also face-to-face. In addition, through the company’s new website, the clients will be able to order products on line, and check availability of desired products codes directly. 2.   • 17. COMPANY PRESENTATION OF NUTCO S.A. The Company has signed a contract with a recognised consulting firm, for quality certification consulting services. By the 30th of April, the company shall be ISO 9001:2000, ISO 22000 (the upgraded version of HACCP) and BRC Global Standard Food certified. We ought to mention, at this point, that the company is only the second in the region to be granted the BRC certificate, which is the most demanding of all existing quality assurance systems. The KALATHERIS family has always had the excellent quality of its products, aimed at the satisfaction of its clients, as its own mark of quality, long before the implementation of assurance systems. 2.2 Licences & Trademarks The company has registered the following trademarks: Kalatheri, Sodeia, multi nuts, So sweet, Cafeteria Mix. With regards, especially, to “Kalatheri”, which is the corporate brand, and “Sodeia”, the company has invested over four (4) million Euros in advertising in the last five years, in an effort to establish its products in the market. These days, the above two trademarks are by far the most recognisable in the region, and incorporate the largest added value in the nut trade. 2.3 Product Photo’s These are some of our products to see and evaluate .All of our dry nuts packaging’s are with barrier materials and we apply gas flash procedures in all of them.
