Law Overview
Corporate law firms handle the legal matters of their clients, primarily
banks and large corporations. Within the firm, lawyers are usually
separated into two broad categories: litigation & corporate (transactional).
Litigators focus on disputes that
are headed for court and/or
arbitration. They work on briefs,
motions and other papers to be
filed with the court, as well as on
witness preparation and
deposition. Litigation is legal
research and writing intensive.
Litigators also participate in oral
arguments, although usually only
the most senior attorneys ever
speak in court.
Corporate attorneys focus on
transactions (deal work) or
regulatory matters (such as SEC
filings) for their clients. They work
on deal documents (such as
purchase agreements and merger
agreements); regulatory filings
(such as annual reports for public
companies); and other documents,
such as corporate formation
documents. Corporate practice is
very detail-oriented and more
market focused.
