总则
This COAL SALES AND PURCHASE AGREEMENT has been entered by and
between “IKH GOBI ENERGY” (hereinafter “Seller”), a limited liability company
incorporated under the laws of Mongolia, having its principal office at Embassy of
Bulgaria, Olympic street-8, Sukhbaatar district, Ulaanbaatar-13, Mongolia, and …
(hereinafter “Purchaser”), located at the address of …, based on the mutual agreement.
本煤炭买卖协议由蒙古国“大戈壁能源”有限公司（下文称“卖方”），位于蒙古国
乌兰巴托市苏赫巴托-1 D区SKY PLAZA BUSINESS CENTER，与…有限公司（以
下简称“买方”），位于…，本着平等协商的原则签署。
WHEREAS, Purchaser desires to purchase the raw coal (hereinafter “coal”) and Seller
desires to sell the raw coal in accordance with the terms and conditions hereinafter set
forth.
鉴于, 买方要求购买原煤，卖方要求依照本合同条件销售原煤。
NOW, THEREFORE, in consideration of the premises and the mutual covenants
contained herein, the parties hereto agree as follows:
因此，考虑到以上前提下双方达成一致协议如下：
One. Term of the Agreement
第一条协议期限

1.1. Term: This Agreement shall be effective from the date of sign and shall remain in
force until December 31, 2013.

Two. Origin of Coal
第二条. 煤炭生产地
2.1. Origin: The Coal to be supplied under this Agreement shall be mined from the
Mandakh Nuur coal mine (hereinafter “the Mine”) located in Mandakh soum of
Dornogobi province or from any other mine that the Parties mutually identified and
agreed in writing.
2.1. 原产地：本协议项下所供应的煤炭应产自位于蒙古国东戈壁省满达呼苏木的
满达呼淖尔煤矿（下称“煤矿”），或产自协议双方书面认定并同意的任何其他煤
矿。
Three. Coal Quantity and Delivery Point
第三条. 供货数量和交货地点
3.1. Quantity: The Seller shall supply 500,000 (five hundred thousand) tons of coal.
Depending on the availability of the coal, the Parties may increase the quantity of the
coal by entering into written Amendment to the Agreement.
3.1.数量：卖方应供应 500, 000（伍拾万）吨煤炭。根据可供应的煤炭煤量，双方
可通过签订本协议的补充协议方式增加煤炭的数量。
3.2. The point of delivery: The point of delivery under this Agreement shall be Khangi
custom bonded coal stockyard (hereinafter “Khangi”). The Seller shall have the
obligation to arrange coal loading, the right for possession of the coal and all the
associated risks shall be transferred from the Seller to the Purchaser after the Seller

loaded the coal into Purchaser’s trucks at the point of delivery.
3.2.交货地点：本协议交货地点为杭吉海关监管库（“杭吉”）。卖方应负责装卸煤
炭工作，当卖方将煤炭装载到买方车辆时，煤炭的所有权及风险从卖方转移到买
方。
Four. Quality of Coal
第四条. 煤炭质量
4.1. Quality specifications: The Coal to be supplied by Seller hereunder shall meet the
following specifications:
Total Moisture (%, as received, maximum) ≤ 5
Ash (%, air dry basis, maximum) ≤ 20
Caloric Value (kcal/kg, gross as received) ≥ 7500
Volatile Matter (%, dry ash free base) ≤ 10%
Sulphur content (%, dry basis) ≤ 1%
HGI ≥ 80
FC ≥ 80

Five. Sampling and testing
第五条. 抽样检验
5.1. Sampling: The Seller and Purchaser shall follow the ISO (GB) standard to conduct
sampling, sample preparation, sample testing at their own laboratory. The Umpire
sample shall be kept in an airtight container for 30 days after taking the sample.
5.1. 卖方和买方应共同采取样品，共同将采取的样品分为三份，卖方、买方各一
份，仲裁样一份，采样、制样、化验应执行 ISO（GB）标准。仲裁样本将会从采
样之日起封闭保存 30 日。
5.2. Testing of the Seller’s and Purchaser’ samples: The Seller and the Purchaser shall
conduct their own testing at their own laboratories in order to determine the quality of
the Coal and the cost of the testing shall be covered by the Parties for their own tests.
Parties shall provide their laboratory test results to other parties on monthly basis.
5.2. 对卖方和买方样品的检测：为确定煤炭的质量，双方应在各自的实验室进行
各自的检验，各方应自行承担各自的检验费用。双方应给本协议其他方每月提供
各自的质量检验结果。
5.3. Testing of the Umpire sample: In case of dispute between the Parties regarding the
quality of the supplied coal, then a testing of the Umpire sample shall be conducted by
an independent laboratory or in the mutually agreed laboratory. Its results shall be
final for the resolution of the dispute. The cost of the independent laboratory testing
shall be covered by the Parties jointly and equally.
5.3.检验仲裁样本：为了避免双方关于煤炭质量的争论，仲裁样本将在一个独立
的实验室或由双方共同认定的实验室进行化验，这个结果将是最终结果。检验费
用由双方共同平等分担。
5.4. Independent laboratory: Such a laboratory shall be an officially accredited
laboratory and chosen jointly by Purchaser and Seller.

Six. Weight
第六条. 重量
6.1. Coal weight: The weight of the coal shall be determined by weighing the truck
without and with the coal at Khangi coal stockyard. The weight of the coal at Khangi
shall be the final and official.
6.1.煤炭重量：煤炭的重量将在杭吉储煤场，从称载重的和未载重的运输工具而
被确定，交货地点确定的重量将是最终的和正式的结果。
6.2. Weighing instrument: The Representatives of the two Parties shall inspect the
weighing instrument regularly and sign a note to that effect.
6.2.称重工具：双方代表将会定期检查测量工具的规格并应对结论做记录.
Seven. Schedule and loading
第七条. 装货安排
7.1. Loading: The Seller shall organize the loading of the coal on the trucks. The
Purchaser should arrange in an organized and ordered manner the arrival of trucks at
the delivery point. The loading shall take place only at the instruction of the Seller.
7.1.装货：卖方组织装货。买方负责安排运输工具到装货地点的组织和安排。装
货必须在卖方的指导下进行。
7.2. Loading schedule: The loading schedule shall be agreed by the Representatives of
the both Parties in writing and shall be complied. If the working schedule of the border
patrol, customs and port authorities is changed then the Representatives of the both
Parties shall mutually agree in writing the schedule for loading.
7.2.装货进程：装货日程由双方代表书面确认。如果遇有闭关情况，双方代表将

7.3. Transportation documents: The Seller shall make two copies of transportation
documents containing information such as the registration number of each loaded
truck, its weight, the date of loading, the time of load completion and the delivery
point. The transportation documents shall be signed by official Representatives of the
Parties and each party shall keep one copy.
7.3.运输单据：卖方提供两份运输单据，包含各运输工具的各种登记，如装载日
期，运输工具重量，载重，装载完成日期和交货地点。运输单据由双方正式签署，
且双方各执一份。
7.4. Transportation means: The Purchaser’s trucks for transporting the Coal shall have
proper cover and equipment so that rain and snow does not penetrate to the load during
the transportation of the coal from the delivery point to the border port. In addition, the
Purchaser shall strictly comply with the relevant Mongolian laws, regulations,
instructions, procedures, routes and standards regarding transportation, border regime
and customs inspection during the transportation of the coal by trucks. It shall be
strictly prohibited to unload, sell or transfer the Coal to another truck during
transportation.
7.4. 运输方式：买方运煤炭的车辆应有合适的外蓬和设备，以使得在煤炭从交货
地点至边界口岸运输期间不为雨、雾和尘土所侵蚀。此外，买方在用车辆运输煤
炭期间应严格遵守蒙古国法律和有关运输方面的法律、法规、指令、程序、路线
和标准。在运输期间严禁卸载、销售、或将煤炭转交给其它车辆。
Eight. Price
第八条. 价格
8.1. Sales price: The price for sale and purchase of coal per tonne under this
Agreement shall be US$ 58 dollars (fifty eight) FOB Khangi coal stockyard.

8.1.销售价格：本协议项下煤炭买卖的价格为 FOB 杭吉煤堆场$58 美金/吨（伍拾
捌美金）。
Nine. Tax levies
第九条. 税负
9.1. Tax levies to be covered by the Seller: Seller shall be responsible to pay royalty
payment to be paid in Mongolia as well as, corporate income tax set by the laws and
regulations in Mongolia, the taxes to be paid in connection to the mining of coal and
delivering the coal to the delivery point.
9.1.卖方承担的税费：卖方负责承蒙古国的矿产资源税费和法律法规规定的企业
所得税，包括产煤和运输至交货地点的相关税费。
9.2. Tax levies to be covered by the Purchaser: Purchaser shall be responsible for
transportation license fee, toll fees as well as fees to be incurred in connection with
processing other operation related documents to which Purchaser shall be subjected to.
Seller will provide the Purchaser all the documents for custom clearance.
9.2.买方承担的税费：买方承担运输许可证费、过路费，出入境许可证费，以及
其他和买方运营操作时会出现的相关文件的费用。卖方协助买方取得清关文件。
9.3. The payment of the customs duties by the Seller: The Seller shall pay to the
accounts of Mongolia customs all taxes and dues related to customs clearance at the
rate set by relevant authorities, including without limitation original customs
declaration, certificate of coal origin, export taxes for coal, lead-sealing fee, certificate
of quality and others.
9.3. 卖方承担的关税的支付：卖方应按照相关部门规定的费率向蒙古国海关支付
所有关税和有关清关的一切费用，包括但不限于原件海关申报、副本海关申报、
煤炭原产地证明、煤炭出口税、签封费、质量证明等等。

Ten. Payment and settlement
第十条. 结算方式
10.1. Settlement: By the end of each month, within 5 working days, the financial
departments or the authorized Representatives shall settle on coal quantity and
payment of the previous month. The Buyer shall confirm on the supplied coal quantity
in writing to the Seller. If there is any difference, the difference will be settled through
additional deduction of the next month’s advance payment.
10.1. 结算：双方的财务部门或授权人士应在每月底，在 5 个工作日内，结清煤
款。买方应以书面式确认其月份供量。如有差额，应在下月的预付款中增加或扣
减。
10.2. Payment: The Purchaser shall transfer the 2,000,000 USD advance payment
within 10 days since the signing of this contract to the Seller’s designated account via
Electronic Funds Transfer (EFT). The coal to be supplied under within this
prepayment shall have a theoretical laboratory washability recovery rate of 80 percent
plus/minus 3 percent. If the recovery rate is below the allowed difference, the Purchase
and the Seller should adjust the sales price.
10.2. 付款：自从签署本合同之日起在 10 天内买方应以电子资金 (EFT) 方式
支付卖方 2, 000, 000 美金（两百万美金）作为预付款。本预付款范围内将提供的
原煤应有可收回收率百分之 80，允许差异为百分之 3，如过回收率低于允许的范
围，卖方和买方应从新调整价格。
10.3. Any payment in relation to performance under this Agreement shall be paid to
the Seller’s designated bank account.

10.4. Each party shall be responsible for their own wire transfer fees.

Eleven. Force Majeure
第十一条不可抗力
11.1. Neither party shall be liable for non-delivery or breach of Agreement for any
reason due to Force Majeure which includes, but not limited to war, blockade,
hostilities, insurrection, strike, civil strife, tumult, insurrection, serious fire or flood, all
natural disasters, Government authorities action or any events beyond reasonable
control of the Parties. Once there is the Force Majeure event, the affected Party should
take necessary measure to notify the other Party to minimize the loss.
11.1.双方均不承担由于不可抗力的原因所造成的无法交货或违约责任。不可抗力
原因包括担不限于战争、封锁、冲突、叛乱、罢工、内乱、骚动、暴动、严重火
灾或水灾、所有自然灾害、政府行为或任何人类不能控制的因素。一旦发生不可
抗力，受损方应当采取必要措施并通知另一方以尽量减小损失。
11.2. If any party is not able to perform obligations of the Agreement in full or in part
due to force majeure conditions then the party shall be released from performing the
obligations and the liabilities for the term equal to the duration of force majeure.
11.2. 如果任何一方因为不可抗力情况不能履行本协议项下全部或部分义务的，

则在不可抗力期间该方应被免除履行其责任与义务。
11.3. If the condition lasts for longer than one month and the Parties may agree to
terminate the Agreement, the Purchaser shall have the right to claim back any
outstanding amount of the advance payment that has been made already to the Seller.
11.3. 如果不可抗力情况持续超过一个月且协议双方同意解除本协议的，买方有
权收回已支付给卖方的预付款。
11.4. The party who is not able to perform its obligation under the Agreement due to
force majeure factors shall deliver to the other party within 10 (ten) working days after
the occurrence of the force majeure factor event a confirmation issued by a relevant
authorized organization of the relevant country.
11.4. 因受不可抗力而不能履行本协议项下义务的一方，应在不可抗力事件发生
后的 10 个工作日内，向对方书面出具有关权威部门签发的确认书。
11.5. A party who is under force majeure condition shall make its best effort to
perform its obligation under the Agreement.
11.5. 受不可抗力的一方应尽其最大努力履行其在本协议项下的义务。
Twelve. Liabilities and termination of Agreement
第十二条违约责任和合同解除
12.1. Parties shall be liable under the Agreement if they breach the terms and
conditions of this Agreement.
12.1.双方违反合同条款均承担违约责任。
12.2. Either party hereto may, 5 working days in advance, notify the other party in
writing to terminate the Agreement in cases whereby Purchaser fails to prepay the
payment according to the article 10.1 or Seller fails to supply coal to the Purchaser.

12.2. 如果买方未能根据本合同条款 10.1 给卖方付清预付款，或卖方未能根据本
协议规定向买方供应煤炭，则各方均可提前 5 个工作日书面通知另一方解除本合
同。
12.3. However, any termination shall not affect or excuse the performance of any Party
under any provision of this Agreement that by its terms survives any such termination,
and this Agreement and any relevant shipment and payment obligation shall remain in
effect with respect to any shipment that was made on or prior to the date of the
termination until each Party has fulfilled all of its obligations with respect to all such
shipment.
12.3. 但是，这种解除不能影响或免去合同项下任何一方的违约责任，对于任何
过去已做出的和在该解除之日以前的发运，本协议以及任何相关的发运和付款义
务仍将有效，直至各方已完全履行其在该发运项下的义务。
Thirteen. Health and Safety
第十三条. 健康和安全
13.1. The Parties shall have the obligation to regularly instruct its own employees and
sub-contractors regarding safety and safe operation. The Seller shall strictly comply
with labor safety and safe operation instructions during coal transportation and shall be
liable for any responsibilities for violation of the instructions. The Purchaser shall
strictly comply with labor safety and safe operation instructions during its operation
relating to transportation, passing through the borders and customs inspection, customs
documentation, quarantine and border inspections and shall be liable for any violation
of the instructions.
13.1.双方有义务就安全及安全措施规范自己的雇员和、分包商。卖方在运输途中
须严格遵守安全生产和安全操作规程，并承担违反规程的相应责任。买方在运输、
过境和海关检验、海关证明、检疫及边境检验过程严格遵守劳动安全和安全操作
规程，并且承担违反规程的责任。

13.2. Seller shall defend, indemnify, and hold harmless Purchaser from any and all
claims, demands damages, losses, obligations, and expenses (including, but not limited
to, reasonable attorneys' fees) attributable to Seller:
for injury (including death) to any person, or damage to or loss of any property, arising
out of or resulting from any willful misconduct or gross negligence of Seller or its
employees, agents, or subcontractors; for any violations, or claims thereof, of
applicable laws of Mongolia arising out of or resulting from any act or omission of
Seller or its employees, agents, or subcontractors in connection with the Agreement
Documents; arising out of or resulting from Seller's breach of this Agreement; or
arising out of or resulting from any labor, materials, services, or suppliesfurnished by
subcontractors or supplies of Seller.
13.2. 在因下列，由卖方招致的任何索赔、要求损害赔偿、损失、义务和费用（包
括但不限于合理的律师费用），卖方应保护、补偿或使得买方不受到损害：因卖
方或其职员、代理人或分包商的任何有意管理不善或严重过失而产生或导致的，
对任何个人的伤害（包括死亡），或对任何财物的损害或损失；因卖方或其职员、
代理人或分包商在本协议文件上的任何作为或不作为而产生或导致的，对有关蒙
古国适用法律的任何违反，或与之相应的任何索赔；因卖方违反本协议而产生或
导致的；或因卖方供应商或分包商提供的任何劳力、物料、服务或供应而产生或
导致的。
13.3. Seller shall promptly notify Purchaser of any matter as to which seller is bound
by indemnity in this Article, and shall do all things reasonably required to protect
Seller's interest pursuant to this Article.
13.3. 卖方应及时通知买方任何根据本条款应承担赔偿的任何事件，并根据本条
款尽其合理的全部力量，以保护卖方的利益。
13.4. The Purchaser shall defend, indemnify, and hold harmless Seller from any and all
claims, demands damages, losses, obligations, and expenses (including, but not limited

to, reasonable attorneys' fees) attributable to Purchaser: for injury (including death) to
any person, or damage to or loss of any property, arising out of or resulting from any
willful misconduct or gross negligence of Purchaser or its employees, agents, or
subcontractors; for any violations, or claims thereof, of applicable laws arising out of
or resulting from any act or omission of Purchaser or its employees, agents, or
subcontractors in connection with the Agreement Documents; arising out of or
resulting from Purchaser's breach of this Agreement; or arising out of or resulting from
any labor, materials, services, or supplies furnished by subcontractors or supplies of
Purchaser.
13.4 在因下列买方招致的任何索赔、要求损害赔偿、损失、义务和费用（包括但
不限于合理的律师费用），买方应保护、补偿或使得卖方不受到损害：因买方或
其职员、代理人或分包商的任何有意管理不善或严重过失而产生或导致的，对任
何个人的伤害（包括死亡），或对任何财物的损害或损失；因买方或其职员、代
理人或分包商在本协议文件上的任何作为或不作为而产生或导致的，对有关蒙古
国适用法律的任何违反，或与之相应的任何索赔；因买方违反本协议而产生或导
致的；或因买方供应商或分包商提供的任何劳力、物料、服务或供应而产生或导
致的。
Fourteen. Miscellaneous
第十四条. 其他条款
14.1. The Purchaser shall appoint a Representative with an obligation to organize the
customs inspection of the loaded coal before it’s transportation at the delivery point
and organize orderly transportation of the coal from the delivery point to the border
and monitor the exporting and importing obligations at the border and customs.
14.1 买方应任命一代理人，负责在交货点运输前组织已装运的煤炭的海关检查，
以及组织从洗煤产煤场到边界的有序运输，以及监管在边界和海关的进出口义务。
14.2. Dispute resolution: The Parties shall make their best efforts to resolve any

dispute regarding interpretation and implementation of the Agreement or any disputes
related to the Agreement through mutual understanding. If such a resolution is not
possible then the dispute shall be reviewed and resolved by the Singapore International
Arbitration Centre. The decision of the Arbitration Court shall be final.
14.2 争议解决：协议双方应尽其最大努力，以解决与解释和执行本协议有关的争
议，以及双方在理解本协议方面的任何争议。如无法解决，则争议应提交给新加
坡国际仲裁委员会审查解决。仲裁庭的决定是终局的。
14.3. Amendment in writing: Parties shall amend or change the Agreement only
through mutual written Agreement. Any amendment or the change to the Agreement
shall not be effective unless made in writing and signed by the respective Parties.
14.3 书面补充与修改：双方应通过书面协议方式补充与修改本协议。任何对本协
议的补充和修改，除非是书面做出，且经各方签署，否则不生效。
14.4. Confidentiality and Non-disclosure: The terms and conditions of this Agreement
shall remain confidential and shall not be disclosed to any other party without the
mutual written consent of the Parties, except that it may be disclosed (a) to a parent or
affiliated company; (b) where such disclosure may be required by law; (c) in
connection with the assertion of a claim or defense in judicial or administrative
proceedings involving one of the parties hereto, and (d) to independent accounting
firms or law firms retained by a party in connection with its business and which have
executed an agreement to keep such terms and conditions confidential. Purchaser
acknowledges that in the event Seller is obligated to provide a copy of this Agreement
and of all amendments and modifications to this Agreement to the appropriate
Mongolian Authority, with respect to such disclosures, no notice from Seller or
consent from Purchaser is required. The terms and conditions of this Agreement shall
under no circumstances be disclosed to a competitor of Seller or Purchaser.
14.4 保密与不透露：本协议的条款应予保密，未经双方的书面同意，不得透露给

任何其它方。除非该协议是透露给：(a) 母公司或附属公司；(b) 该透露为法律所
要求；(c) 在有一方被介入的司法或行政诉讼相关的索赔或答辩；(d) 由一方因其
业务而聘请的独立的会计师事务所或律师事务所，且与其签署了保密协议。买方
同意，在卖方有义务将本协议的副本或其任何修正和修改提交给相关蒙古国机关
时，就该透露而言，卖方无需通知买方，也无需买方的同意。本协议的条款在任
何情况下不得透露给卖方或买方的竞争者。保密和不予披露：未经对方准许任何
一方不得将本合同的条款和条件向第三方披露，但以下情况除外：（a）合同一方
的母公司或附属公司;(b)法律允许的披露；(c) 合同一方主张索赔或涉诉时对此进
行的请求或抗辩；（d）在履行合同过程中，一方聘请的独立的会计师事务所、律
师事务所因交易的需要而知悉合同的条款和条件，买方承认卖方有义务提供本合
同和所有的修正案及补充协议的副本给蒙古国政府相关部门，对这类披露必须经
过买卖双方的同意。否则在任何情况下，任何一方不得将本合同的条款和条件披
露给卖方或买方的竞争者。
14.5. Notices: All notices under this Agreement shall be in writing and shall be
deemed to have been given or made when sent by facsimile transmission (telecopy),
email, recognized overnight delivery service, or first class mail postage prepaid,
addressed to Seller, Purchaser or Purchaser, as the case may be, at its address specified
below, or at such other address as any such party may specify by notice to the other
Parties:

14.6. This Agreement shall be governed by the laws of Mongolia and shall comply
with the laws of Mongolia.
14.6．本协议依据蒙古国法律制定，且适用蒙古国法律。
14.7. The Agreement is made 2 copies in English and Chinese. In the event of any
discrepancy between the two versions, the English version shall prevail.
14.7 本协议以一式两份，中英文两种文字书就，本合同文义发生争议时以英文版
本为准。
