This document outlines a distributor agreement between Kaustubha Udyog and Oxin Sanat Karoon. It appoints Oxin Sanat Karoon as the exclusive distributor of Kaustubha Udyog's Orion Instruments brand pressure and temperature switches in Iran for two years. Kaustubha Udyog agrees to provide product information, catalogs, and warranty support to Oxin Sanat Karoon and offer a 20% discount on listed prices. Either party can terminate the agreement with written notice within the two year period.

In considerationof the mutualpromisesandundertakinghereincontainedthe parties
heretoagreeas follows:
1. " OSK" is appointedas the Distributorof "Principal" in the Iran for theirfollowing
products:
"Orion Instruments" brandPressure Switches & Temperature Switches
2. "Principal" will support" OSK " with all informationon products,catalogueand
deliverwarrantymaterialswhenrequired.
3. "Principal"willgive" OSK" for all theirproductsdiscountrateof 2Oo/ofromtheir
pricelistpublishedfromtime to time.
Thisagreementshallbe validfor a periodof (2) two yearsfrom the date of signing
hereofunlesseither"Principal" or " OSK " shallgivea written noticeto the otherparty
declaringits intentionto terminatethisagreementwithinthis period.The agreementwill
be renewedwith mutualconsentthereafter.
