This memorandum of understanding was entered on December 27, 2016 in Chennai between Mr. Janakiraman and Dr. Karthik Parthasarathy. Mr. Janakiraman agreed to pledge his property located in Thaiyyur B-Village Chengalpet Thaluk, KancheepuramDistrict comprising 7 acres of land to obtain a term loan for the development of Dr. Parthasarathy Memorial Hospital. In return, Dr. Karthik Parthasarathy agreed to repay the loan in full based on revenue generated by the hospital. Any disputes between the parties would be settled under the jurisdiction of Chennai courts.

Dr Karthik Parthasarathy aged 36, S/O of Dr.K.Parthasarathy, residingat No 4 South sector 1st
street
Adambakkan, Chennai 88 and runninga hospital in the name ofDr.Parthasarathy Memorial Hospital
(No20, Sastri Nagar Main Road, Adambakkam, Chennai 88) hereinaftercalledas party of the second
part.
It is proposedby the first party to approach a Financierto obtain a term loan for the purpose of
developmentof the hospital belongingto the secondparty hospital in the name of Dr.Parthasarathy
Memorial Hospital situatedat No 20, Sastri Nagar Main Road, Adambakkam, Chennai 88
For the purpose of obtainingthis loan, the first party has agreedwith the full consentof his mother
Mrs.Rani, W/o.Mr.T.VeeraRaghavan, No.137,Thiyur Village, ThiruporurKanchipuram District
to pledge hiscollateral inthe form of an immovable property. The property is located at Thaiyyur B-
Village ChengalpetThaluk,KancheepuramDistrictcomprisedin Punja SNO 1211/1A1, admeasuringan
extentHectare 2.83.50 Acres (7 Acre) Punja Land Bounded on the North by: S No 1211/1, South by S
No 1211/2, East by SNo 1257 and west by SNo 1074 and 1062.
Further the Party of the secondpart shall undertake to repay the loan in totality as describedin the
Loan Agreementbasedon the revenue generatedfromthe operationsof hospital
In the eventof any dispute which may arise betweenthe parties,mentionedinthe memorandumof
understanding,the jurisdictionof settlingthe dispute will be Chennai.
Both the parties hereinabove agree to the terms and conditionsmentionedabove and affixtheir
signature accordingly on the date and place mentionedabove.
