Selling assets of a C corporation can provide tax benefits over selling the corporation itself. An asset sale allows the corporation to avoid double taxation since the buyer gets a step up in basis for the assets. Some of the gain from the asset sale can be treated as capital gains which are taxed at lower rates than ordinary income. The corporation will owe taxes on the difference between the asset's tax basis and the sale price but future appreciation will be taxed to the buyer.
