A Buy and Sell Agreement is a critical
consideration for business owners with a
shareholding in an enterprise, says Jannie
Rossouw, Head of the Sanlam Business
Market.
It constitutes a written agreement between
the owners of a business entity, obligating
themselves on their deaths or in the event
of permanent disability to sell their interest
to the survivors. Likewise, it commits
the survivors to purchase the deceased
member’s interest.
In most cases, the personal assets of the
various partners are tied up in the business,
as profits are often kept in the business.
Rossouw believes life assurance is the only
safe and sound and the most affordable way
of creating the necessary funds in terms of
the agreement.
“The members or partners and
shareholders enter into an agreement in
terms of which they effect policies on each
other’s lives. The co-owners other than the
assured pay the premiums. If a credit loan
account exists, it can be included in the
buy-and-sell agreement by including the
loan account amount in the cover on the
life of the creditor.”
Rossouw says that in the absence of a bona
fide agreement, the surviving owner(s) may
be faced with serious challenges.
A Buy and Sell agreement, however, gives
the surviving owners immediate, full and
unhindered ownership of the business:
• Funded by insurance, it provides the
ready cash the moment it is needed.
• The surviving owners pay a fair value (if
the level of insurance was continuously
aligned with the value of the business)
for the acquired share of the business
and hence the needs of the deceased
owner’s heirs are also met. It prevents
the business from being drained of its
capital resources.
• Instead of borrowing money and paying
interest, a life policy is usually much
cheaper and readily available.
Rossouw says the unfortunate scenario
of a business owner losing his interest in
a business plays out time and again in
businesses around the world.
He warns that the death of an active co-
owner or partner can place untold strain
on both the business and the surviving
partners with dire consequences.
“It is critical for business owners to be
prepared for unforeseen events that might
affect their businesses.This can include the
sudden death or departure of a business
partner. Disaster can be avoided if business
partners have an up-to-date buy-and-sell
arrangement in place.” Rossouw explains
that a buy-and-sell arrangement consists
of two parts: The first part is, the buy-and-
sell agreement, referenced earlier, which
compels a surviving partner to purchase a
deceased partner’s shares from the estate
and compelling the executor to sell. He
explains that the second part of a buy-and-
sell agreement refers to a set of insurance
policies over the co-owners’ lives,
usually equivalent to the market value
of their respective share in the business.
A buy-and-sell arrangement enables
the remaining owners of a business to
choose who their future business partners
will be, while protecting the businesses’
profitability and continuity. He says it also
gives the family of the deceased partner
the assurance that they will receive a
market related price for the deceased
partner’s share of the business.
“Business owners should ensure that such
structures are in place by consulting with
a qualified adviser or an accredited broker.”
Rossouw says.

1. Know Your Reason for Selling
Purchasers always want to know why the owner is selling, particularly if
the business is successful and profitable, so you must be very clear in your
mind why you are selling and you must be able to clearly and convincingly
communicate this to a potential purchaser so you don’t lose their confidence.
Are you selling because you are tired and burnt out? Would a break or a
holiday help you renew your energy and enthusiasm for your business? Are
you ale to employ a manager who can run the business so you can have more
time to pursue other interests or business opportunities?
2. How Critical is Your Role in the Business
Are you able to make yourself redundant? The less you have to do with the
day to day operations of the business, the more purchasers you will be able
to attract. Document your operational policies and systems in a Procedures
Manual. The more you document, the more confident a purchaser will feel
about your absence from the business. Make sure your staff understand
their responsibilities and performance expectations and delegate the
management of their performance to an internal manager or supervisor. Try
to remove yourself one step from the operational level so you can maintain
a business performance overview that a new owner can step into without
having to understand the more complex technical or operational details in
their early stages of ownership.
Are your business relationships on a personal level and critical to the success
of your business? If your clients do business with you because of you, you
might want to consider how you take a step back from the personal nature
of the relationship and put it on more of a business footing. Document
any verbal agreements with clients and suppliers so they become more
tangible and transferable, and ensure any existing contracts are not due to
expire soon. This will provide a greater level of value and security for your
purchasers. There are many people to consider when selling your business,
most important being you. What will you do after selling? Will you be able to
relax or will you need to find a job? What will be the impact on your family?
Will they suddenly be able to have you around more often to spend time
with, or will a potential loss of income affect your current lifestyle?
3. Get Your Statutory Documents in Order
Are your statutory records up to date? Are your leases, instalment sale
agreements and hire purchase agreements up to date and filed together
in a safe place? Ensure that all contracts and legal documents with any
third or related party are safely filed, readily available and current so you
are ready should the purchaser want to view these documents during the
due diligence.
If you lease your operating premises, check the remaining term of your lease.
Do you have a reasonable term and further rights of renewal that will give a
buyer ongoing security of location? Is there flexibility in the lease if the buyer
wants to re-locate the business? You will also need to know if you have a
sublet clause in your lease that allows you to transfer your obligations under
the lease to a third party or a new tenant.
Landlords frequently keep the original lease in place and allow a cession
or sublease, but keep the original tenant on the hook by not releasing the
personal guarantee in case the assignee defaults on the rent. This protects
the landlord, but exposes the original tenant (seller of the business) to the
risk that the business buyer may not be a successful operator.
The ideal scenario is to be able to release all of your obligations to the
landlord and have them transferred to the purchaser. Make certain that you
understand what is required to achieve a complete and thorough assignment
of your lease.
Ensure all your employees’ have current employment agreements.
Maintaining your employees trust and confidence is critical during the
sale process.
4. Ensure Your Financial Records Are Current
Your financial records are the most important piece of information for
demonstrating the businesses profitability to a prospective buyer. Expect
the buyer to want to see financial accounts produced by your accountant
for the last three years. This will help them identify profitability, trends, and
variances. Having to wait for financial records will always create uncertainty
for a potential buyer and can result in the loss of a sale.
Make sure your debtors are up to date and not stretched out beyond your
normal terms of trade. Buyers might see poor debtors’ management as an
opportunity to increase efficiency in the business but that will also affect the
price they offer because of the impact this might have on cash flow.
Equally, make sure your creditors and suppliers are paid up to date as this will
give a buyer confidence that the business is financially stable. If your financial
records are up to date and you can produce timely financial reporting you
will give the buyer confidence that the business is well managed.
A purchaser will most likely perform a due diligence on the last two to
three years’ worth of financial information. Are all your tax, VAT and PAYE
returns submitted and paid up to date? Do you have any outstanding
issues with SARS? Even if you are not required to be audited, perhaps now
is the time to request a voluntary audit or have a pre-sale due diligence
done on your business.
YOUR BUSINESS FOR SALE
As a small to medium-sized business owner, selling your business
is possibly not your priority right now, but in order to achieve
a successful sale, you should start preparing early in order to
optimise the value that you could receive.
The following ten practical steps will guide and assist you to
achieve the best value on the ultimate sale of your business.

5. Determine the Business Value
Your books are in order and you have a strategy for the business into the
future (with or without you), but you still don’t know what your business
is worth. You have a gut feel, but you need a professional valuation.
Attaching a value to your business is always a challenging process. There
are several methods that can be applied to the business valuation process
and are dependent on the nature of the business. Valuing a business is
very different to valuing a residential property. Valuation and sales data for
residential properties is abundant and tangible. Data on business sales is
not as readily available.
Everyone needs somewhere to live, but not everyone needs to buy a
business, and those in the pool of potential business buyers all have
very specific buying criteria including industry, scale, location, price and
personal involvement. Valuing your business on your own will generally
provide you with a very subjective figure. Always engage a professional
LINK broker who has experience in providing business market appraisals
to ensure you get an objective and market oriented perspective on the
recommended selling price for your business.
6. What Is the Tax Implications
Have you consulted your tax advisor? When selling your business, taxes are
inevitable. Capital Gains Tax now comes into play.
Discuss the proposed sales price of your business with your accountant or
auditor so you know how to best structure the transaction so there are no
unexpected surprises after the transaction is concluded.
7. Are You Choosing An Opportune Time To Sell?
Timing is critical when selling and that timing could be critical for you and
your personal needs or circumstances or for the business and what it might
achieve from a sale.
AS A RULE, THERE ARE TWO BEST TIMES TO SELL:
1. When you have an unsolicited offer to buy your business.
2. When your operational performance and sales are optimised and there is
likely to be significant interest from other industry operators. Would you
be better to wait for a lift in the market or should you sell now before the
market declines further? If you could sell your business for your desired
price, could you put your capital to work somewhere else and achieve
a greater return? Would a sale restrict your ability to continue to work
in this industry (a restraint of trade clause might prevent this)? Will the
proceeds of a sale provide you with sufficient funds to retire?

funds to invest in your business opportunity. Look at all offers objectively
and weigh up the pros and cons. If the business is held in a trust, consult
with all trustees, as the decision to sell cannot be made by only one trustee.

8. Imagine Your Business Is Your Home
When we sell our houses or homes we always tend to have a big clean up
and throw away lots of rubbish and then paint, polish, clean and manicure
the property so it is well presented to potential buyers. Tidy, clean, and
uncluttered properties are always more inviting and attract more buyers.
The same applies to a business. Clean and maintain your operating plant
and equipment. Make sure you have up to date service records for critical
machinery. Clean and tidy the operating premises and make sure all your
operating permits and compliance records are current. Review your
inventory and sell all your obsolete or slow moving stock.
9. The Due Diligence Process

Act immediately
Do not waste time and energy on trying to figure out how it happened or
whoistoblame.Youcandothatlater.Focusallyourresourcesoncorrecting
the short-term cash flow problem rather than trying to find out who is to
blame including blaming yourself. It is a waste of time and energy.
Be proactive with your creditors
Visit or call them and explain your situation. Ask for a specific payment
or non-payment plan over the next 60 to 90 days. It is simply a matter
of scheduling payments that both you and the creditors can live with.
Get the payments as low as possible with a commitment to increase the
payments if things get better. Find out the minimum payments your
creditors can accept. Perhaps you can even just pay interest. Tell them
you will phone at the end of the month to inform them what you can
pay. Ask them to not phone you in the first three weeks so that you can
devote all your time and energy to bringing in the cash, rather than
handling calls from creditors which depletes your time and energy. If
you owe a large amount of money to creditors it is not just your problem,
it is also theirs. They want to see you stay afloat. Swallow your pride and
invite them to help. You will be surprised at the solutions with which
they may come up.
Be proactive with your debtors
Sit down face-to-face with all clients who owe you money. Offer a
discount of 10% to those who can pay much faster than normal.
Negotiate payment advances. Ask for advances of 30% to 100% on
jobs that you are doing. This could carry you through the tough period.
The last two months before year end large companies, parastatals and
government departments often have budgets they have not spent.
If they do not spend the money, it is not carried over to the next
financial year and so they often pay in advance. Be sales oriented. Every
single person who works for the company has to be sales oriented.
Reg Wightman, the owner of a building supply dealership, one day
accompanied his truck driver on a delivery. He walked around the site
and talked to various people working on the job. When he left the site
he had a bigger order than when he arrived. It made him realise that the
person doing the delivery is also really a salesperson, so he rearranged
his whole operation. He delegated a lot of his responsibilities as manager
to other employees so he could be on the delivery truck a lot more. His
sales increased markedly.
The worst thing you can do when in a cash flow crisis
is say, “I do not believe it.” While you are saying this you
are in denial and valuable time is passing by. Rather face
reality. “If it walks like a duck, and it talks like a duck, it is
not an eagle.”
Here are a few quick tips on turning a cash flow crisis
around in a hurry.
Find innovative ways to sell
Terry Stalker is the owner of a bed company. He decided to place lamps,
comforters and sheets in his delivery trucks so that his delivery people
could sell them when doing deliveries. Installers were also trained to
look around the house and report any needs they noted in terms of
furniture. A few days later, one of the salespeople would give the client
a call saying, “Well, our driver was at your home and he noticed you
seemed to need…” They got a lot of add-on sales that way. When you
have a cash crisis you need to find innovative ways to sell.
Last resort moves
• Take your short–term debts, such as lines of credit, promissory notes,
credit card balances, income tax and supplier balances, and try and
get a consolidation loan. Spread the payments over three years.
This frees up monthly capital and lowers your monthly overheads. It
might cost more in terms of interest in the long run, but it could be
the short term fix needed to get you out of trouble. Often what you
need is“time”to pay.
• Consider offering shares in your company to major creditors to wipe
out all or part of the balance you owe. Have a good buyback clause.
• Sell your receivables at a discount to the company that buys
receivables.
• Use equity in your home with a second bond to pay off some of the
debts.
• Consider a financially sound co-signer for a large consolidation loan.
In return, you could put that person on your payroll for an agreed
amount until the debt is paid.
• Seek advice from business owners who survived cash flow problems.

A common clause which is contained in
contracts is the non-variation clause, which
clause provides that the agreement may not
be varied unless agreed to and signed by the
parties in writing. This clause is included to
assist in promoting contractual certainty in
respect of the specific terms and conditions
agreed to between parties in relation to a
specific or continuing transaction between
the parties.
Spring Forest Trading 599 CC v Wilberry
(Pty) Ltd t/a Ecowash and another
In the Supreme Court of Appeal case of
Spring Forest Trading 599 CC v Wilberry (Pty)
Ltd t/a Ecowash and another [2015] JOL
32555 (SCA) Wilberry (Pty) Ltd’s (“Wilberry”)
business involved washing cars in the
parking lots of shopping malls, office parks,
hotels and hospitals, in terms of a written
agreement concluded with the Spring
Forest Trading 599 CC (“Spring Forest”).
The agreement contained a non-variation
clause which provided that no variation or
consensual cancellation would be effective
unless reduced to writing and signed by
both parties.
When Spring Forest was unable to meet
its rental commitments under the rental
agreements, the parties discussed the way
forward. One of the options discussed
by e-mail was to cancel the agreements.
The appellant chose that option and
communicated its election by return e-mail,
but continued operating its car washing
business at the locations covered by the
rental agreements, claiming that it was
entitled to do so as both the master and
rental agreements between it and the
respondent had been cancelled.
The court noted that the Electronic
Communications and Transactions Act 25
of 2002, as amended (“ECTA”) distinguishes
between instances where the law requires a
signature and those in which the parties to
a transaction impose this obligation upon
themselves. In this case, the non-variation
clauses were agreed upon by the parties
and were not imposed by law. The court
held section 13(1) to be inapplicable and
section 13(3) to be applicable. Importantly
the court held that the typewritten names
of the parties at the foot of the emails, which
were used to identify the users, satisfied
the requirement of a signature and had the
effect of authenticating the information
contained in the emails. The court held
that the e-mails stated unambiguously
that once Spring Forest settled the arrear
rental and returned the equipment it
could walk away without any further legal
obligation. The court held that as Spring
Forest had complied with the requirements
as set out in the non-variation clause,
a consensual cancellation had occurred.
As a result of this recent development as
to the interpretation and application of
section 13 of ECTA it has become crucial
for contracting parties to be aware that
proposals and counter-proposals exchanged
by email correspondence may becoming
binding on the parties once a proposal or
counter proposal has been accepted even
if the parties have a non-variation clause in
place in their contract.
The conclusion of any sale of immovable
property as envisaged within the Alienation
of Land Act or otherwise required to be
signed in law ( wills, bills of exchange and
stampduties)maynotbeconcludedthrough
electronic communication other than by
means of an advanced electronic signature.
However there is a risk that amendments
to such contracts may be considered by the
courts to fall within the ambit of section
11(3) and that email correspondence
exchanged and agreements reached by the
parties may be argued to be binding on the
parties, irrespective of the requirements of
an advanced electronic signature not having
been complied with.

External funding – in the form of an overdraft facility, a term loan or asset
finance – is a normal part of business. Few entrepreneurs realise, however,
that signing surety on behalf of their business can have a severe impact on
their personal estates unless they have taken out adequate insurance cover,
says Jannie Rossouw, Head of the Sanlam Business Market.
“Most financial institutions require the owner of the business to sign surety
for funding. If the owner dies or is permanently disabled, his or her estate may
be called upon to settle the debt. This can put enormous financial pressure
on the owner’s family members, as funds that should have been used for
their maintenance will now go towards paying business debt,”he says.
Business owners need to ensure their personal estates and their businesses
are protected through contingent liability insurance, which pays off business
debt if the business owner dies or becomes disabled. “Of all the financial
planning needs entrepreneurs should consider, such as insuring against
the loss of a key person, succession planning and cover for employees,
contingent liability is by far the most important.”
Rossouw says covering other insurance needs first is like putting the horse
before the cart. “Almost all businesses have debt, and yet not enough
business owners consider the need and benefits of contingent liability cover.”
Sadly, he says most business owners have an attitude of‘it will never happen
to me’.“These business owners are taking significant risk.“
Rossouw says the implications of signing surety on behalf of a business do
not stop at the estate of the deceased or permanently disabled owner. It can
have a ripple effect that could potentially ruin a thriving business.
For example, if the surety is called up against the estate of the deceased, and
there is no liquidity in the estate to cover the surety it could result in a claim
against the business or the remaining owners who signed surety, usually
jointly and severally.
Business owners often do not fully understand what they are liable for and for
how long, when they sign a suretyship document.“It is important to note that
signing surety is usually only required for the term of the financing agreement
or while the business owner is involved in the business. When the loan has
been repaid or if the owner leaves the business, the surety must be cancelled.
If this is not done, the owner who stood surety at the time of the debt, will
remain liable for the debt if the surety is called up by the financial institution.”
Contingent liability insurance usually takes the form of an insurance policy
with life and disability cover, taken out by the business, which owns the
policy and pays the premiums.The premiums are not tax deductible, making
the eventual pay-out free of tax. The policy is often ceded to the funding
institution for security.”
There are, generally, two ways of structuring a contingent liability policy,
explains Rossouw. It can be owned either by the business itself as the
policyholder (where the business pays the premiums), or by the business
owner personally. We definitely recommend a company-owned policy
structure, mainly because of complications which may arise if the business
owner is the policyholder.”
The party who receives the benefit is obliged to pay the estate duty. The
business gets the benefit of the policy (the company’s loan gets repaid by
the proceeds of the policy), but where the business owner is the policyholder,
the policy is paid out to the estate of the owner. The estate will have to pay
the estate duty and then claim it back from the business. This will delay the
winding up of the owner’s estate.
Rossouw says it is crucial to obtain expert advice from a qualified financial
adviser before making any decisions on business insurance cover. “Each
business owner has unique financial needs. A financial adviser can assist in
prioritising these needs to protect not only the individual business owner,
but also their families and their business,”he concludes.

3. CHANGES IN ADDRESS
CIPC must be notified of changes in the physical
and/or postal address of the company on a CoR21.1
form within 5 working days before the change is to
take effect.
4. FINANCIAL STATEMENTS
All companies are required to prepare financial
statements within 6 months after its financial year
end. Some companies are required to audit financial
statements. Refer to Companies Regulation 28, read
with Companies Regulation 26. If your company’s
financial statements are required to be audited, it
must be filed with the CIPC when the company files
its annual return.
5. VAT REGISTRATION
It is mandatory for a business to register for VAT if
the income earned in any consecutive twelve month
period exceeded or is likely to exceed R1 million. The
business must complete a VAT 101 Application for
Registration form and submit it to the local SARS
branch within 21 days from date of exceeding R1
million. A business may also choose to register
voluntarily if the income earned, in the past twelve
month period, exceeded R50 000. Registration forms

6. UIF REGISTRATION
Employers must register with the Unemployment
Insurance Fund (UIF) or the South African Revenue
Services (SARS). All employers who have employees
working 24 or more hours a month must register for
UIF. All employers must register with SARS as soon as
they have an employee who earns taxable income.
The Unemployment Insurance Act and
Unemployment Insurance Contributions Act apply
to all employers and workers, but not to -
• workers working less than 24 hours a month for
an employer;
• learners;
• public servants;
• foreigners working on contract to be repatriated
at the end of their contract;
• workers who get a monthly State (old age)
pension; since 07/02/2007, no longer excluded
from contributing towards UIF or
• workers who only earn commission.
Domestic employers and their workers are included
under the Act since 1 April 2003. Registration forms

7. COMPENSATION COMMISSIONER REGISTRATION
All employers who employ one or more workers in
connection with their business or farming activities
arerequiredtoregisterwiththeCompensationFund.
A separate registration is necessary for each separate
branch of a business, unless an arrangement for
combined registration has been made. Registration

8. INCOME TAX REGISTRATION
Corporate IncomeTax (CIT), also known as a business
tax, is a tax imposed on businesses incorporated
under the laws of the Republic of South Africa and
which derive income from within the Republic or
through a branch or permanent establishment
within the Republic.
Every business liable for taxation, under the Income
Tax Act, 1962, is required to register with SARS as a
taxpayer.
Every registered taxpayer is required to submit a
return of income twelve months after the end of
the financial year, of such taxpayer, in the prescribed
form. Returns can be submitted electronically via
e-filing or manually at a SARS branch where the
taxpayer is registered.
In addition to annual income tax returns, every
business is required to submit provisional tax
returns. These returns are required to be submitted
every six months and must contain estimated
figures of total revenue earned for that period and
to pay over taxes in respect of the income estimated
for that period.

SARS website http://www.sars.gov.za.
9. DEREGISTRATION AND LIQUIDATION
A company needs to apply either for deregistration
or for liquidation when the company stops trading,
depending on the circumstances. Deregistration
is advisable in cases where the company does not
have any assets and is inactive, while liquidation
is advisable in cases where the company has
outstanding liabilities that must be resolved first.
Registering your company is only the
first step in managing it.
Throughout its lifespan a company is
required to maintain its information
and legal status with the CIPC.
Failure to do so may have serious
consequences for your company and
your business activities, as it may
result in deregistration.
Business owners must ensure that the CIPC always
has the latest contact details for the directors or
the authorised representative so that important
information relating to annual returns, director
changes and pending deregistration can be
transmitted efficiently and effectively to the
correct person.
The Companies Act, 2008 places compliance
requirements on all registered entities throughout
its life cycle, which includes any changes to the
company information, annual return filings and
deregistration.
Set out below is an easy guide to assist you with
managing your company compliance obligations.
1. ANNUAL RETURNS
An annual return is not the same as a tax return
which is filed with SARS. Annual returns are due on
the anniversary date of the company’s incorporation
date and must be filed within 30 business days of its
due date.This can be done electronically via the CIPC
website. A fee is payable at the time of filing which is
dependent on the turnover of your business. Failure
to file the annual return will result in your company
being deregistered.
2. CHANGES IN DIRECTORS OR AUDITORS
CIPC must be notified of any changes in directorship
or auditor of your company within 10 business days
of such change on a CoR39 form for director changes
and CoR44 for auditor changes.
The appointment of an auditor for private and
non-profit companies are not mandatory but such
may be required if the company reaches certain
thresholds. Refer to sections 28 to 31 of the
Companies Act, and Companies Regulations 24 to
34 relating to financial record keeping, access to
such information and filing requirements.
