Appellantcorporationsoughtreviewof anorderof the SuperiorCourtof Los AngelesCounty
(California),whichenteredajudgmentthatthe corporationwasboundas lessee undera10-year lease
for buildingpremisesownedbyrespondentlessor.Onappeal,the corporationarguedthatitdidnot
ratifythe lease because there wasnowrittenratificationasrequiredbyCal.Civ.Code §2310, the acts
relieduponasevidence of corporate ratificationwereperformedwhilethe corporationhadno
knowledge of the existence of the lease oritstermsandconditions,andanypriorratificationof the

heldthatthe personwhosignedthe lease wasthe general managerandvice-presidentof the
corporation,thushe had the authorityto bindthe corporation.There wassubstantial evidence thatat
the time the corporationacceptedthe benefitsof the lease,the circumstanceswere suchthatitwas
boundto have notice andconstructive knowledge concerningthe existence thereof.The corporation
retainedthe benefitsandthus,anargumentthatit was onlyboundtothe extentof the undisclosed
limitationsonthe general manger'sauthoritywaswithoutmerit.
The court affirmedthe orderof the trial court that the corporationwasboundbya 10-year lease with
the lessor.
