Panelist: Zeid Barakat is a Senior Director with Scimitar Inc.,
where he heads up the East Coast practice. Scimitar is a global
management consulting largely focused on life sciences, and within
that, about 30-40% of their work is M&A-related. The team are
experts in operational strategy, and often pick up the pieces where
other firms have been unsuccessful, or where integration hasn't
taken place years after the fact.
Zeid has been 'in the weeds' supporting multiple M&A and PMI
engagements, from R&D and TechOps to commercial and SG&A
functions, including for two prominent $40B+ acquisitions. He has
also co-founded two successful companies, Aura Biosciences, a
$500M+ oncology company and Flyberry Capital, a 'big data'
hedge fund.
Zeid received his MBA from the MIT Sloan School of
Management, a MA in biotechnology from Harvard, and a BA in
biochemistry from Bowdoin College. He enjoys playing tennis

Panelist: Josh Lawler is partner at Zuber Lawler & Del Duca LLP. His practice
focuses on mergers & acquisitions, securities law and technology transactions. Mr.
Lawler’s M&A clients include private equity groups, public and private companies,
fundless sponsors, family offices and sellers of large assets. Many of Mr. Lawler’s
clients are domiciled outside of the United States and require expertise in execution
of international transactions.
Mr. Lawler also leads the Firm’s New Technology Group with a particular emphasis
on Blockchain (distributed ledger), artificial intelligence, robotics, biotechnology,
nanotechnology, virtual/augmented reality, internet of things, cybersecurity, and
related technologies. In this capacity, Mr. Lawler counsels clients in respect

Panelist: Elaine Carey is a Managing Director at FTI Consulting and splits her time
between Los Angeles and the Bay area. She has served as an advisor and problem solver to
senior executives of Fortune 100 corporations and law firms for more than 30 years, overseeing
clients’ most complex and sensitive problems around the globe involving integrity, political,
security, operational and reputational risks. Elaine’s expertise includes due diligence, fraud,
business intelligence, FCPA, anti-money laundering compliance and investigations, cannabis
compliance, mining, Latin America, asset tracing, intellectual property theft and supply chain
issues.
She has helped corporations identify and work through thorny reputational issues such as
environmental, health and safety as well as labor practice issues including slave labor and
trafficking.
Elaine has managed a broad range of complex matters including anti-corruption investigations
in Latin America, Asia and the Middle East. Elaine led all investigative work in North America
for Control Risks for more than 11 years. Prior to joining Control Risks, Elaine was a Director
with PricewaterhouseCoopers Investigations. Elaine also served as Managing Director for Kroll
Associates in Southern California.
Early in her career, Elaine was an investigative journalist, reporting from more than 30
countries on political, economic, business and social developments. Elaine established an office
in Moscow for Cox Newspapers in 1988 and spent five years chronicling the end of the Soviet
Union under Mikhail Gorbachev and Boris Yeltsin. Prior to that, she lived in Mexico City
covering Latin America and Beirut covering the Middle East.
Elaine holds a Bachelor of Arts degree in English literature from Grinnell College, and was a
mid-career fellow at the Harvard University Russian Research Center. She is a Certified Fraud
Examiner (CFE) and Anti-Money Laundering Specialist (CAMS).
