Non-GAAP Financial Measures
This presentation includes financial measures that were not prepared in accordance with United States generally accepted accounting principles (GAAP). As used herein, Adjusted EBITDA is a
non-GAAP measurement presented herein as a supplemental disclosure. Everi Payments Inc. (formerly known as Global Cash Access, Inc.) (“Everi Payments”) defines Adjusted EBITDA as
earnings before net interest expense, income taxes, depreciation, amortization, loss on extinguishment of debt, non-cash stock compensation, asset impairment, acquisition expenses, other
merger related costs and purchase accounting adjustments less a benefit from one-time legal settlement proceeds. Everi Games defines Adjusted EBITDA as net income before net interest
expense, income taxes, depreciation, amortization, non-cash stock compensation, acquisition expenses, other merger related costs and purchase accounting adjustments and accretion of
contract rights. Everi defines Free Cash Flow in this presentation as Adjusted EBITDA taking into consideration the combined capital expenditures, estimated cash taxes and cash interest inclusive
of vault cash usage fees, but exclusive of interest income.
