Solutions Comércio, Importação e Exportação de Equipamentos-EIRELI (SCIEE) has been granted exclusive distributorship rights by The Kelvin International Corporation (KIC) to sell and promote its products in Brazil for two years. SCIEE is authorized to represent KIC administratively and judicially in Brazil, solicit tenders, submit quotations, and negotiate deals on behalf of KIC. SCIEE is also fully responsible for installing equipment, training end users, and providing warranty service for KIC products in Brazil.

LETTER OF AUTHORIZATION AS EXCLUSIVE DISTRIBUTOR
IN BRASIL
TO WHOM IT MAY CONCERN
The Kelvin International Corporation (KIC) of Virginia, USA, and as the manufacturer,
grants the exclusive and protected distributorship rights to the Solutions Comércio,
Importação e Exportação de Equipamentos - EIRELI (SCIEE), for the sale and
promotion of its products in BRASIL.
That SCIEE administratively and judicially responds on behalf of KIC in Brazil.
That SCIEE is authorized to be agent in Brazil to solicit tenders, submit quotations and
negotiate commercial and technical terms on behalf of KIC. Pricing provided by KIC to the
SCIEE is based on our standard ex-works price list for OEM and high-volume distributors.
Lastly, that SCIEE is fully responsible for installing the equipment, training the end user,
and servicing the customer with a full warranty of our KIC product for the specified term.
Said distributorship is valid for TWO YEARS and renewable upon agreement between
both parties. This agreement is non-transferable.
