CODE OF CONDUCT FOR BUYERS

• INDEPENDENCE
– Gifts or gratifications, of any value other than symbolic, should not be accepted from suppliers regardless of their form (money, goods etc).
– If already received, such gifts and gratifications must be returned.
– In this context, employees are not authorised to disclose their personal address to the supplier.
• CONFIDENTIALITY
– Employees, either during their employment or afterwards, may not use or disclose confidential information to third parties.
– In the context of exchanges with suppliers, information regarding business agreements, technical and financial data, is covered by a Non Disclosure Agreement.
• CONFLICT OF INTEREST
– Employees commit to avoid creating a conflict of interest during the purchasing procedures.
– There is conflict of interest when an employee or close relative is likely to personally profit from a transaction concerning the company. Likewise, an employee must not select
or influence the selection of an entity in which he or a close relative is financially involved.
• COMPETITION, EQUITY AND CONTRACTUALISATION
– Employees must apply the purchasing methods and process that stimulate true competition among suppliers. They must give the same opportunities to all, during the suppliers
selection, so called Panel selection, and when awarding business within that Panel.
– If a purchasing decision is in conflict with the application of these methods, the employees must inform their superior.
– If a supplier makes an obvious error in its quotations or transactions, which may be detrimental to the continuity of future business exchanges, the employee must inform them
in writing even if it is unfavourable to the company interests in the short term.
• COMPLIANCE WITH THIS CODE
– If an employee faces difficulties in applying this code of ethics, or if he has doubts on a particular topic or observes abuse within its professional circle or during contact or when
visiting a supplier, he must inform his superior in writing who will then inform the Human Resources Department for possible arbitration.

CODE OF CONDUCT
• INDEPENDANCE
– Il est interdit d’accepter tout cadeau ou gratification de fournisseurs, d’une valeur autre que symbolique, quelle qu’en soit la forme (sommes d’argent, matériels, services…).
– S’ils ont déjà été perçus, ces cadeaux et gratifications doivent être restitués à leur auteur.
– Dans ce cadre, il n’est pas autorisé de donner son adresse personnelle à un fournisseur.
• CONFIDENTIALITE
– Aucun salarié, tout au long de son emploi au sein du groupe ou après l’avoir quitté, ne peut utiliser ou révéler à toute autre personne des informations confidentielles.
– Dans le cadre des échanges fournisseurs, les informations relatives aux accords commerciaux, données techniques et financières, sont couverts par un accord de
confidentialité.
• CONFLIT D’INTERET
– Le salarié s’engage à ne pas créer un conflit d’intérêts dans le cadre de la conduite des processus achats.
– Il y a conflit d’intérêts lorsqu’un salarié ou un proche parent est susceptible de tirer personnellement profit d’une transaction concernant l’entreprise. De même, un salarié ne
doit pas retenir ou faire retenir pour une transaction une entité dans laquelle lui-même ou un proche parent possède un intérêt financier.
• CONCURRENCE, EQUITE ET CONTRACTUALISATION
– Le salarié applique des méthodes d'achats qui stimulent la réelle concurrence entre des fournisseurs. Il donne les mêmes chances à tous, dans les phases de sélection des
fournisseurs pour la construction du Panel comme dans l’attribution des affaires à l’intérieur de ce Panel.
– Si une décision d'achat est contraire à l'application de ces méthodes, le salarié avise son supérieur hiérarchique.
– Dans le cas où un fournisseur fait une erreur manifeste dans ses cotations ou transactions, préjudiciable à la pérennité des échanges commerciaux futurs, le collaborateur le
lui signale par écrit même si cela est défavorable aux intérêt à court terme du groupe.
• CONFORMITE AU PRESENT CODE
– Dans le cas ou un salarié rencontre des difficultés pour appliquer ce code éthique, s’il a des doutes sur un sujet particulier ou observe une dérive dans son entourage
professionnel ou lors d’une visite chez un fournisseur, il en avise par écrit sa hiérarchie qui en informera la Direction des Ressources Humaines pour un éventuel arbitrage.
