Securitization
Our Securitization Group provides counsel to issuers, servicers, placement agents and conduit sponsors in structuring, negotiating and
documenting asset and mortgage-backed securitization transactions, both privately placed and publicly registered, in the domestic and
international markets. We bring extensive experience in a wide range of practice areas, assist in structuring transactions, and partner
with our clients to help them meet their goals. Our securitization practice complements our general corporate and financial services
practices. We regularly provide counsel on general corporate and corporate finance matters, with an emphasis on business
combinations, securitization, institutional financings, private placements and public offerings of securities, debtor problems and business
dissolutions and liquidations.
Representative Matters
Issuer's counsel for a national bank's loan-backed commercial paper conduit rated by Standard & Poor's and Moody's with
outstanding issuances averaging $500 million.
Issuer's counsel for a privately placed $125 million revolving securitization of timeshare condominium mortgages rated by Fitch.
Issuer's counsel in structuring and documenting successive private placements of approximately $1.3 billion of REMIC
pass-through certificates.
Issuer's counsel in the private placement of $189 million of automobile receivables.
Issuer's counsel in the private placement of $25 million of health care receivables.
Issuer's counsel in the private placement of $440 million mortgage-backed REMIC pass-through certificates.
Represented a publicly traded national bank client in a $40.7 million synthetic lease financing of a major operations facility.
Represented a publicly traded client in the securitization of $30 million of domestic and foreign trade receivables.
Represented real estate clients in structuring and closing real estate loans for inclusion in lenders' commercial loan conduits.
Issuer's counsel in a public offering of $150 million of CBMS securities rated by Standard & Poor's and Moody's and underwritten
