Chairman’s Address
   California Energy Commission (CEC) and Pacific Gas and Electric (PG&E) - delivered the second of our 500kWh energy
storage system in April 2007 and by October 2007 that system had completed all grid interactive testing and evaluation as
a peak shaving asset. ZBB has enjoyed a small extension to our CEC contract this year that provides for the in-house testing
of both of the systems during the period that PG&E is upgrading the San Ramon site and selecting the next sub-station site
for both systems to be relocated for parallel operation.

   Commenced work on a new contract with the Australian Government and the Australian science research agency, CSIRO
for the design, construction and installation of our systems into a “renewable energy” building in Newcastle, Australia.

   January 23, 2008 ZBB announced that its Systems Engineering group will begin testing of a standard 50kWh energy
storage module, integrated with an Eaton Powerware UPS being supplied by Eaton Corporation’s Innovation Center. Testing
of the integrated systems will be conducted at ZBB by engineers from both groups.

   May 30, 2008 shipped our first ZESS 50 product to China to be installed into the Future House USA (FHUSA) concept
house that was showcased during and after the 2008 Beijing Olympic Games. Based on the success of this Beijing project
the Company intends to accelerate its initiatives in this important market.

   July 24, 2008 announced a memorandum of understanding with Envision Solar International to provide energy storage
systems as part of the “LifeVillageTM” solar project in Cote d’Ivoire on the west coast of Africa. LifeVillageTM will incorporate
ZBB’s energy storage system along with roof mounted photovoltaic panels designed to provide a reliable source of electric
power to remote areas. The prototype will be built and initially demonstrated in the United States and then shipped to
Cote d’Ivoire. It is anticipated a government sponsored pilot program to install this integrated system in up to 100 villages
throughout Cote d’Ivoire. The partners also anticipate following installations in other Central and West African countries.

Chairman’s Address Continued
  August 6, 2008 entered into sales distribution agreement with New Age Energy, Inc and will partner with New
Age to initially supply its ZESS 50 systems (4) for the Zero Net Energy visitors center at Rutgers University.

   September 19, 2008 announced that it will co-share with Eaton Corporation (Eaton) a $229,000 grant from
the State of Wisconsin to develop a power conversion and energy storage system that manages energy from
renewable energy sources. The grant will assist ZBB and Eaton in developing a rechargeable energy storage
system that will be compatible with both grid and solar power. Under the grant ZBB will supply three ZESS 50
energy storage modules, totaling 150 kWh of storage capacity. Eaton will develop a unique hybrid power
conditioning system to match with the three ZESS units

  In January 2008 Mr. Scott Scampini joined us as our Chief Financial Officer.

  in January 2008 Mr. Kevin Dennis joined us as our Vice President of Sales and Marketing.

   In February 2008 we registered certain trade marks for the marketing of our products under the name ZESS,
for Zinc Energy Storage Systems. ZESS 50 and ZESS 500 represent our 50kWh and 500kWh products and ZESS-
Power is our generic description for the operation of these systems

   ZBB has received increasing local, national and international publicity for the ZESS products and senior
management have been involved in regular series of conferences, trade shows and investor presentations
throughout the year, all of which has raised significantly the profile for ZBB and its ZESS products.

Results of the Meeting

There were two items on the agenda for submission to a vote of the shareholders at the meeting:

1) Election of Directors. As described in the proxy statement, the Board of Directors nominated
   Robert J. Parry and Richard A. Payne to serve as Class I Directors, for a term of three years ending
   at the 2011 Annual Meeting of Shareholders until their successors(s) are duly elected.

    The Chairman advised that there were a majority of the votes cast, over 91%, for the
    nominations of Robert J. Parry and Richard A. Payne to serve as Class I Directors and accordingly
    both the nominees were elected for a three year term.

2) Ratification of the appointment of PKF as the Company’s independent auditors for 2009. The
   Board of Directors has recommended that the shareholders of the Company ratify the
   appointment of PKF as the Company’s independent auditors for 2009.

    The Chairman advised that as a result of a majority of the votes cast, over 99% in favor of this
    proposal, the appointment of PKF as the Company’s independent auditors has been ratified.

Chairman’s Address California Energy Commission (CEC) and Pacific Gas and Electric (PG&E) - delivered the second of our 500kWh energy storage system in April 2007 and by October 2007 that system had completed all grid interactive testing and evaluation as a peak shaving asset. ZBB has enjoyed a small extension to our CEC contract this year that provides for the in-house testing of both of the systems during the period that PG&E is upgrading the San Ramon site and selecting the next sub-station site for both systems to be relocated for parallel operation. Commenced work on a new contract with the Australian Government and the Australian science research agency, CSIRO for the design, construction and installation of our systems into a “renewable energy” building in Newcastle, Australia. January 23, 2008 ZBB announced that its Systems Engineering group will begin testing of a standard 50kWh energy storage module, integrated with an Eaton Powerware UPS being supplied by Eaton Corporation’s Innovation Center. Testing of the integrated systems will be conducted at ZBB by engineers from both groups. May 30, 2008 shipped our first ZESS 50 product to China to be installed into the Future House USA (FHUSA) concept house that was showcased during and after the 2008 Beijing Olympic Games. Based on the success of this Beijing project the Company intends to accelerate its initiatives in this important market. July 24, 2008 announced a memorandum of understanding with Envision Solar International to provide energy storage systems as part of the “LifeVillageTM” solar project in Cote d’Ivoire on the west coast of Africa. LifeVillageTM will incorporate ZBB’s energy storage system along with roof mounted photovoltaic panels designed to provide a reliable source of electric power to remote areas. The prototype will be built and initially demonstrated in the United States and then shipped to Cote d’Ivoire. It is anticipated a government sponsored pilot program to install this integrated system in up to 100 villages throughout Cote d’Ivoire. Chairman’s Address Continued August 6, 2008 entered into sales distribution agreement with New Age Energy, Inc and will partner with New Age to initially supply its ZESS 50 systems (4) for the Zero Net Energy visitors center at Rutgers University. September 19, 2008 announced that it will co-share with Eaton Corporation (Eaton) a $229,000 grant from the State of Wisconsin to develop a power conversion and energy storage system that manages energy from renewable energy sources. The grant will assist ZBB and Eaton in developing a rechargeable energy storage system that will be compatible with both grid and solar power. Under the grant ZBB will supply three ZESS 50 energy storage modules, totaling 150 kWh of storage capacity. Eaton will develop a unique hybrid power conditioning system to match with the three ZESS units In January 2008 Mr. Scott Scampini joined us as our Chief Financial Officer. in January 2008 Mr. Kevin Dennis joined us as our Vice President of Sales and Marketing. In February 2008 we registered certain trade marks for the marketing of our products under the name ZESS, for Zinc Energy Storage Systems. ZESS 50 and ZESS 500 represent our 50kWh and 500kWh products and ZESS- Power is our generic description for the operation of these systems ZBB has received increasing local, national and international publicity for the ZESS products and senior management have been involved in regular series of conferences, trade shows and investor presentations throughout the year, all of which has raised significantly the profile for ZBB and its ZESS products.   • 8. Results of the Meeting There were two items on the agenda for submission to a vote of the shareholders at the meeting: 1) Election of Directors. As described in the proxy statement, the Board of Directors nominated Robert J. Parry and Richard A. Payne to serve as Class I Directors, for a term of three years ending at the 2011 Annual Meeting of Shareholders until their successors(s) are duly elected. The Chairman advised that there were a majority of the votes cast, over 91%, for the nominations of Robert J. Parry and Richard A. Payne to serve as Class I Directors and accordingly both the nominees were elected for a three year term. 2) Ratification of the appointment of PKF as the Company’s independent auditors for 2009. The Board of Directors has recommended that the shareholders of the Company ratify the appointment of PKF as the Company’s independent auditors for 2009. The Chairman advised that as a result of a majority of the votes cast, over 99% in favor of this proposal, the appointment of PKF as the Company’s independent auditors has been ratified.
