  3. 3. 1. Ocean Avenue Vacation Club The foundation of Ocean Avenue is built around a comprehensive product line, offering a wide range of health benefits. Ocean Avenue believes in family first; and has partnered with a world renowned travel agency to present the Ocean Avenue Vacation Club. In our company, you receive points for everything you do. You will receive points for a variety of company related activities including when you buy company products. These points can be redeemed at any time to purchase incredible vacations and family outings. In your business center, our Ambassadors will find a real time tracker of all the Vacation Points that they have earned. There will be trips and getaways in our “Ocean Avenue Vacation Offers” tab. Each offer will provide a brief description of what you can expect, from beach resorts, to cruises and much more. Next to each offer, it will list exactly how many Vacation Points are needed. If you want to take advantage of a trip, simply click the “book this trip” tab. If you do not have quite enough points in your account, Ocean Avenue’s Vacation Club will allow you to buy the additional points required. For Ambassadors only, you may have the option to apply your current commission check. In addition, your Wholesale Customers may participate in the Ocean Avenue Vacation Club and receive Vacation Points on each Ocean Avenue product purchase, as well as, receive additional points for every 3 months they continue to purchase.   4. 4. Ocean’s 10 Compensation Plan 2. Retail CommissionsEvery active Ambassador will have an e-commerce online Ocean Avenue Store. Trainingwill be provided to help Ambassadors direct customers to their Ocean Avenue Store. Inthe store, customers will have the choice to buy products at the retail price; or join asa Wholesale Customer and take advantage of the discounted prices and participate inthe Ocean Avenue Vacation Club. When a customer buys product at the retail price, theAmbassador will be paid the retail profits as part of their weekly commission check. 3. Wholesale Customer CommissionsIn order for a customer to take advantage of the Ocean Avenue discounted productprice, the customer must set up a Wholesale Customer account. Ambassadors can earnbetween 5% and 15% of the total purchase price of their Wholesale Customer orders.Ambassadors will receive their commission in the following manner: Less than $499 in a monthly commission period: 5% of total $500-$1500 in a monthly commission period: 10% of total Over $1500 in a monthly commission period: 15% of totalWholesale Customers will be placed into the Genealogy Tree alongside Ambassadors;however, they will have limited access to the business center. 40% of the BV fromWholesale Customer orders will be added to the tree. 3
  5. 5. 4. 3XFree Program When you are an active Ambassador on a qualifying Autoship/Backup Order, you are eligible to take advantage of our incredible 3xFree Program! If you have a minimum of 2 Wholesale Customers, and the total of the Wholesale Customer orders is 3 times more than your Autoship/Backup Order, then you are eligible to receive your one Autoship/Backup Order for free every month. There is a maximum of 300 BV of free product that can be earned under the 3xFree Program. Just pay the taxes and shipping and we send the products! (Free product achieved through the 3xFree Program does not generate BV.) Our Autoship/Backup Order Program serves only as a backup order for Ambassadors. If you qualified for the 3xFree Program, the free shipment will count toward your qualification. For example: If your Autoship/Backup Order is 50 BV, your 3xFree order will count 50 PV toward your personal qualification. If your Autoship/Backup Order is 200 BV, your 3xFree order will count 200 PV toward your personal qualification volume. Wholesale Customers have the same opportunity to participate in the 3xFree Program but are required to be enrolled on Autoship with a minimum 50 BV. Wholesale Customers can enroll Wholesale Customers and accumulate volume towards free product. 5. First Order Bonus In order to participate in the First Order Bonus (FOB) program, Ambassadors must have an initial qualifying purchase of 90 PV, and then continue to be an active Ambassador with a minimum of 50 BV in personal orders or retail orders each calendar month. If qualified, you will receive a 10% cash bonus, added to your weekly commission check, on any qualifying initial order of your Personally Enrolled Ambassadors.4

  10. 10. Ocean’s 10 Compensation Plan 6. Ocean Team CommissionsOcean Team Commissions are another cornerstone of the Ocean Avenue CompensationPlan. The Ocean Team is derived from a dynamic structure that compensates Ambassadorsfor successfully generating sales volume within their placement tree and motivating theirdownline to do the same. Ambassadors can earn on the sales of their downline withintheir placement tree.Each placement tree has two Teams, a Left Team and a Right Team, either of whichcan be the Reference Leg (Strong Leg) and the Pay Leg (Lesser Leg) on any givencommissionable period. The Compensation Plan allows you to earn up to 20% on thesales volume of the Pay Leg to an unlimited depth.Set your foundation and activate your Ocean Team by developing two (2) personallysponsored Ambassadors, one on the Left Team and one on the Right Team – helpingeach generate at least 50 Personal Volume (PV). Remain qualified to receive OceanTeam Commissions by maintaining the PV requirements and developing at least two (2)personally sponsored active Ambassadors, one on the Left Team and one on the RightTeam.To remain qualified for Ocean Team Commissions, Ambassadors must maintain thePV requirements for their particular rank within the commissionable period. Your retailcustomer orders (processed directly through Ocean Avenue) contribute towards your PV.Please refer to the Ocean Avenue Rank Qualification Requirements above.If you maintain your qualified status, unpaid volume in your Reference Leg will be carriedover to the next commissionable period. *Please refer to the “Compensation Plan At-A-Glance” at the end of this document for a larger view of this chart. 9
  11. 11. 7. Unilevel Bonus Unilevel Bonuses are the heart of lifetime residual income! Ambassadors that build a solid Ambassador and Wholesale Customer base will receive bonuses each month from product orders generated in their organization down to nine (9) levels deep. Ambassadors must reach the rank of Bronze or above in order to be eligible to earn Unilevel Bonus. Dynamic Compression maximizes the benefits of the Unilevel. *Please refer to the “Compensation Plan At-A-Glance” at the end of this document for a larger view of this chart. 8. Unilevel Matching Bonus Earn Matching Bonuses of up to 20% on the Unilevel Bonus of your personally sponsored Ambassadors. Plus, earn up to 10% Matching Bonuses on up to three (3) additional levels based on the Ambassadors “paid as” rank. Matching Bonuses encourage Sponsors to mentor and help develop Ambassadors deep within their marketing organization. This bonus pays on the activity of the your Personal Enrollment Tree. Therefore, the placement of a downline Ambassador within their Ocean Team structure does not affect their Matching Bonus payout. *Please refer to the “Compensation Plan At-A-Glance” at the end of this document for a larger view of this chart.10
  12. 12. Ocean’s 10 Compensation Plan 9. Generational Leadership BonusOcean Avenue rewards the development of leaders. As Ambassadors develop Leadershipwithin their Organization; their rewards grow exponentially. When an Ambassador reachesthe rank of Pearl Ambassador (or above), and as they develop new Pearl Ambassadors(and above) within their organization, they will be paid down to as many as four (4)generations of Pearl Ambassadors (and above). A Generation begins when a QualifiedPearl Ambassador or above is found in any leg of their Personal Enrollment Tree andends with, but does not include, the next Qualified Pearl Ambassador or above. *Please refer to the “Compensation Plan At-A-Glance” at the end of this document for a larger view of this chart. 10. Global PoolReaching for the stars has its own reward. The Global Pool rewards Leaders who reachbeyond their dreams and continue building the company and their future by generatinghigh sales volume. Three percent (3%) of Ocean Avenue’s Worldwide Unilevel BusinessVolume (BV) will be shared by qualified Ruby Ambassadors and above. The Global Poolpays in direct proportion to the Ambassador’s sales contributions to the total Unilevel BV.*The Global Pool is paid quarterly. You must be a qualified Ruby Ambassador or abovefor the entire quarter (3 consecutive months). *Please refer to the “Compensation Plan At-A-Glance” at the end of this document for a larger view of this chart. 11
  13. 13. Compensation Plan Glossary of Terms In order to better understand the Compensation Plan, we have provided key words and terms of the plan that may need further explanation. We have provided their definition as they pertain to the plan. Active Status: An Ambassador who has generated a minimum product order (50 BV) at least once every six months. Failure to remain active may result in the forfeiture of the Ambassadorship. Active Status does not alone qualify an Ambassador to earn commissions. Ambassador: A person 18 years of age or older who has paid the $49.95 pre-requisite enrollment fee; has agreed to Ocean Avenue Terms and Conditions and Policies and Procedures; and wants to earn income through Ocean Avenue’s Compensation Plan. A person 16 years of age with the express written notarized consent of a parent or legal guardian may become an Ambassador. Ocean Avenue reserves the right to accept or reject any application. Autoship/Backup Order: A standing order that processes once within a calendar month. The Backup Order will only be processed in the event the Ambassador does not have any qualifying purchases during the monthly commission period. If the Ambassador qualifies for free product under the 3xFree Program, the personal volume associated with the Backup Order will count toward their personal volume. The Autoship/Backup Order Program is optional. Business Volume (BV): The value established for a given product used to calculate and pay commissions. Capped: Maximum amount you can earn based on your Rank and/or Title Qualifications. Carry-Over Volume: BV in your Reference Leg (strong leg) that is not used in calculating your Ocean Team Commissions. Maintain your qualified status and carry over any unpaid volume in your Reference Leg to the next commissionable period. Commissions: Compensation earnings provided by Ocean Avenue for sales generated, as explained in the Ocean Avenue Compensation Plan.12
  14. 14. Ocean’s 10 Compensation PlanDownline Team:All Ambassadors and Wholesale Customers who are placed below the Ambassador intheir Downline. They may or may not be from your personal enrollment activities.Dynamic Compression:This is the form of compression in which Unilevel Bonus is paid out to 9 levels dependingon your rank.Enroller/Sponsor:The individual who enrolls you as an Ocean Avenue Ambassador, Wholesale Customeror retail customer.Enrollment Team:All Ambassadors or Wholesale Customers who opened accounts with Ocean Avenue asa result of your personally enrolled Ambassadors.Enrollment Team Volume (ETV):Business Volume (BV) that is accumulated from the purchases/sales of products by yourEnrollment Team (Unilevel Team).Initial Qualifying Order:In order to start your business and qualify for full commission & vacation benefits, theremust be an initial personal order of equal to or greater than 90 PV for Ambassadors.An Ambassador may upgrade to the Gold or Pearl Pack during their first 60 days ofenrollment in Ocean Avenue or during upgrade promotions offered from time to time.Leg:Each direct placement to an Ambassador is indicated as a leg within the organization(Binary and Unilevel respectively).Lifetime Rank (Recognition Rank):This is the highest rank an OAA has ever qualified for throughout their lifetime with OceanAvenue.Ocean Avenue Vacation Club: A Loyalty Program designed to offer extraordinaryvalue to Wholesale Customers and Ambassadors for purchasing and consuming OceanAvenue’s products. 13
  15. 15. Paid As Rank: This is the rank that an Ambassador has qualified for within a particular commission period. Personal Volume (PV): Business volume created by the Ambassador’s personal purchases and those purchases of their retail customers. PV Qualification Requirement: The combined personal and retail customer volume required each calendar month to be qualified for various commissions (50 PV minimum requirement to qualify). Placement Tree: Also known as the Binary Tree. Each Placement Tree has two Teams, a Left Team and a Right Team, either of which can be the Reference Leg (Strong Leg) and the Pay Leg (Lesser Leg) on any given commissionable period. Qualified Status: An Ambassador who has met the minimum personal or customer product purchase requirement based on the title rank requirements. Rank: A status title that denotes your level of accomplishment and commissions in the Ocean Avenue Compensation Plan. Retail Customer: Any customer who purchases directly from an Ambassador or an Ambassador’s Online Store at the Company’s suggested retail price. Retail Profit: The price difference between the Ambassador wholesale price and the Company’s suggested retail price. Total Qualifying Volume (TQV): This is the sum total of all business volume that originates from your personally enrolled team, including your Personal Volume. The TQV is used for rank advancement qualifications.14

Ocean’s 10 Compensation PlanWaiting Room:A placement holding area where a newly sponsored Ambassador will reside afterenrollment for up to 7 calendar days or until Friday @12:00 pm (midnight) (MST)at which the enrollment will be placed systematically.Wholesale Customer:A customer who signs up as a wholesale customer account with a minimum purchaseof $50. Qualified Wholesale Customers may accumulate Ocean Avenue Vacation points.
