1. BIOGRAPHICAL INFORMATION OF GLENN GOLENBERG
Mr. Glenn Golenberg is presently a co-founder and Managing Director of Golenberg & Company, a
merchant banking firm that invests in and offers financial advisory services to a wide variety of businesses.
Founded in 1978, the Los Angeles merchant banking firm of Golenberg & Company also had offices in
Cleveland and New York.
Mr. Golenberg is also Managing Director of The Bellwether Group, a merchant bank which provides
strategic and financial advisory services to expansion-stage emerging technology and life-science related
companies. He is a founding partner of University Equity Capital, a company involved with selective
biological discoveries with major universities, as well as a co-founder of K/E Medical Centers.
Prior to 1966, Mr. Golenberg was a CPA with Arthur Andersen & Co. From 1966 to 1973, he was
associated with McDonald & Company, a leading regional investment banking firm headquartered in
Cleveland, where he served as co-director of research and subsequently a general partner, serving in
Corporate Finance in 1970.
In 1973, he and other partners bought a controlling interest in Joseph, Mellen & Miller. The firm later
merged with J.N. Russell, a New York Stock Exchange member, with Mr. Golenberg serving as President
and Chief Executive Officer. That firm was sold to Prescott, Ball & Turben in 1978.
Having been engaged in the investment banking industry since 1966, Glenn has arranged financings in
excess of $1 billion and has served as a financial advisor in more than two hundred transactions. He is
currently actively involved with a number of companies, and is a Director of Stratus Media Group, ProElite,
Virtual Media, Duke Aerospace Holdings, ASTRUM fund. He serves as an advisor to Globalturk Capital—
a Turkish merchant bank, and Giggles n’ Hugs—a publicly held upscale children themed restaurant chain.
Previously, he was a Senior Advisor to Outsource Partners International Inc., and co-vice chairman of
Skyview Capital.
In addition, Mr. Golenberg has been chairman of numerous operating companies in which he and partners
held a controlling interest. In the past, he has served as a Director of numerous publicly and privately held
companies.
When residing in Cleveland, Mr. Golenberg was an active community member, serving on the Board of
Trustees of the Jewish Community Federation; the Board of Trustees, Treasurer and Executive Committees
of Mt. Sinai; the Cleveland Area Development Finance Corporation and; the Visiting Committee of
Weatherhead School of Management at Case Western Reserve University.

While residing in Los Angeles, Mr. Golenberg has been appointed to the Board of Governors, the Executive
Committee, the Finance Committee and the Investment Committee of Cedars-Sinai Hospital; the Investment
and Finance Committees of Wilshire Boulevard Temple and; the Board, the Executive and the Finance
Committees of the Jewish Community Foundation.
Mr. Golenberg also served on the Executive and Finance Committees of the Los Angeles Jewish Federation
and has served as Chairman of the Pension Investment Committee as well as Vice General Chairman of the
United Jewish Fund. He was a member of Kennedy Center’s National Committee for the Performing Arts
and was Co-Chairman of the Special Gifts Committee of the Music Center in Los Angeles, and is currently
Vice Chairman of the International Advisory Board of the Tel Aviv University Recanati Business School,
and is a member of the Executive Committee of the American-Israel Friendship League, as well as a
member of the Board of Governors of Jewish Life Television (JLTV).
Mr. Golenberg is a member of the Business Advisory Council at his alma mater, Miami University in
Oxford, Ohio, and served on the Graduate Executive Board of the Wharton Graduate School of the
University of Pennsylvania, where he received his MBA degree. Since moving to Southern California, he
has served on the Visiting Committee of the University of Southern California School of Business. Mr.
Golenberg has been invited to lecture at all three institutions on the subject of entrepreneurship, corporate
finance, and investment banking. He is a member of Beta Alpha Psi (International Honorary Organization
for Financial Business Professionals) and Beta Gamma Sigma (National Business Honorary).
Mr. Golenberg is a member of the Harmonie Club of New York. He resides in Beverly Hills, California
with his wife Barbara.
