1. COMPANY OVERVIEW
Established in 1992, AES Group Ltd., is a Thai company formed to provide
marketing/sales support, project management, systems engineering, and maintenance
services in both the military and commercial sectors of the Thai economy. AES Group
is a partnership between an American Engineer, Henny Beeber, Thai Marketing
Executive Manee Rodeganok, and Yip In Tsoi & Co. Ltd, a major Thai trading firm.
The company maintains a close working relationship with Yip In Tsoi and provides
project management and engineering services on Yip In Tsoi projects. In turn, Yip In
Tsoi provides a wide range of resources, financial access, and industry connections to
assist AES Group in pursuing business opportunities.
Mr. Beeber and Ms. Rodeganok. are principals of Advantek, Inc., a US based
corporation which provides product research and purchasing functions in support of the
Thailand based operations of AES.
AES Group Ltd. was formed to pursue niche business opportunities where special
solutions are required. The experience of the partners provides access to worldwide
technology. AES Group specializes in both new technology solutions and tracking of
hard to find parts for older systems.
AES began in 1992 with a staff of three and today employs almost 30. The AES office
is located near the center of Bangkok and occupies approximately 2,000 square feet.
Storage, workshop and warehouse facilities occupy another 1,500 square feet.
AES Group Ltd. is structured to handle marketing and sales of equipment and discrete
projects from purchase orders and delivery orders to turnkey systems implementation.
Key customers include the Bank of Thailand, Royal Thai Police, Royal Thai Air Force,
Siemens, DZ Thailand, Hutchison Cat Multimedia, Nike, Royal Thai Navy, Expressway
and Transit Authority. AES Group Systems Division currently represents Cardax, Card
Access Security Systems, SmartSight LAN-based digital surveillance systems, and

2003 Security System Projects – Awarded security system contracts for
multinational companies including, Coca-Cola, 7-11, Heineken and
2003-2004 Royal Thai Police Mobile X-ray System – Joint Project with Yip In
Tsoi in the sale of 4 Mobile X-ray Inspection Systems to the
Narcotics Suppression Division of the Royal Thai Police. Contract
included in-country training and warrantee maintenance support if
the X-ray vehicles by AES. Trucks delivered in and accepted
October 2004. Total contract value 183 million Baht.
2003-2004 Sales of Kinemetrics Seismic monitoring equipment to EGAT and
Royal Irrigation Department.
2004 Awarded contracts to provide an integrated Cardax Card Access and
SmartSight LAN-based CCTV system to DZ Thailand for their new
and existing factory. Contract value to date 7.4 million Baht.
1.3 Corporate Structure
A Board of Directors oversees AES Group Ltd. Each Division is under the control of an
Operating Partner who is responsible to the Board for planning and execution of the
Division tasks. The Board members are Henny Beeber, Manee Rodeganok and
Thienchai Lailert. Mr. Beeber is Engineering Director for both Systems Division and
Operations Division. Manee Rodeganok is Director of Business Development. Mr.
Lailert is also Managing Director of Yip In Tsoi.
AES is designed to handle project-oriented business. This type of business ranges from
discrete sales through turnkey engineering projects.
AES has the ability, via its current staff and relationships with both Thai and US
companies, to provide a full spectrum of services ranging from project specification
through design engineering, installation, maintenance and training. The basic charter of
the Division is to provide systems support from inception through full project and
equipment life cycle to ensure that the end user receives a product which meets the
requirements of the designated tasks, and that the delivered product is available
throughout its full design life.
AES staff has experience in the management, development, deployment and support of
large-scale systems throughout the world, including extensive experience in Thailand.
Specific experience includes display and communications systems design and
integration; security system design and integration, computer facility design and
construction, including military semi-hardened facilities; systems installation and
AES operate as closely as possible to Western standards for accounting, quality
assurance and operational reporting. The attention to western standards has allowed
AES to standout in the local industry as a leader in engineering services and support.
1.4 Technical Competence
AES Group Ltd. has demonstrated that careful attention to quality engineering and
maintenance principals provides a discriminator in the Thai market. The military
systems training of the operating principals has resulted in a company vision which
enables it to deliver quality products and services on a regular basis.
AES provides long term support services for all of the equipment we provide which is
demonstrated by our continued relationships with our customers. For example the
Expressway Transit Authority, has continued to purchase maintenance on the original
structural monitoring system since 1995. In July 2000, AES Group was awarded a
contract to conduct the 10 year inspection for the Rama IX Bridge. The Royal Thai Air
Force has been issuing yearly contracts to AES for the procurement electronic spare
parts for their F-5 fire control radar and other electronic systems.
As a result of AES Group’s performance on the RTN 30 meter Patrol Craft project,
Australian Submarine Corporation has selected AES Group Ltd. as its preferred supplier
for communications systems on ships being bid to be built in Thailand and consulting or
other projects in the region including the Hong Kong Police Patrol boat project and Sri
Lanka High Speed Patrol Boat project..
1.5 Financial Stability
AES Group has maintained a constant growth since its formation in 1992. The company
receives full financial backing and support from Yip In Tsoi & Co. Ltd. Current
contract bookings and ongoing maintenance income guarantee that the company will
remain profit making through the year 2006.
1.6 Management Organization
AES Group Ltd. is overseen by a Board of Directors consisting of Thienchai Lailert,
Managing Director of Yip In Tsoi, Manee Rodeganok, Director of Business
Development and Henny Beeber, Engineering Director.
As required, AES group and Yip In Tsoi, (AES’s Partner) will matrix resources based on
the requirements for the pursuit of business opportunities and the implementation and
support of specific projects. This formula has proven the correct mix for the YIT Group
for the successful capture and implementation of all types of projects including the
Royal Thai Police Mobile X-ray project. Because the corporate structure has been an
evolutionary process, the Directors are constantly reviewing the business operating
principals to ensure that the structure remains flexible and responsive to best exploit
opportunities as the regional economies recover.
1.7 Quality System
Because the operating principals come from backgrounds of military and aerospace, the
corporate culture follows that industry as close as possible considering company size
and resources and the customer requirements.
AES’s online accounting system ensures that complete project cost tracking is available
to all departments ensuring that project budgets are closely monitored and company
receivables receive timely attention to maximize cash flow wherever possible.
1.8 Capability to Design and Manufacture
Currently AES Group has restricted activities to project design and special limited run
fabrication. Existing lines of business do not yet support requirements for
manufacturing. For short-term requirements AES Group, through Yip In Tsoi, has
explored relationships with organizations such as Bangchan General Assembly to ensure
that if a requirement does arise, the resources will be available.
2. DETAILS OF ORDERS, CONTRACTS, JOINT VENTURES,
2.1 Contracts History
2.1.1 Project: Bank Of Thailand Nationwide Integrated Facility Security System
AES Group was originally awarded the first contract in 2002, to install an electric
fence system around the perimeter of the facility and additional CCTV equipment
at the Bank of Thailand Mint in Bangkok. The electric fence was integrated with
the CCTV system to display any intruders that are detected trying to penetrate the
electric fence perimeter. Security equipment included Gallagher Trophy Electric
Fence System and Kalatel CCTV Equipment.
Based on our excellent performance on this first project, Bank of Thailand has
chosen AES to be their preferred supplier. In 2003 AES was awarded additional
security projects for the installation of Cardax security systems for the BOT Note
Issuing plant, new Ink Plant and Note Issuing Center in Bangkok. These systems
were integrated with the BOT Kalatel Digital CCTV system. BOT has now
standardized on Cardax Security Access systems for all of their sites. In 2004
AES has been awarded additional contracts to install integrated security access
systems in a total of 10 provinces for the Bank of Thailand.
2.1.2 Project: Royal Thai Police Mobile X-ray System
AES Group partnered with Yip In Tsoi was awarded the contract to provide four
Z-Backscatter Van (ZBV), mobile X-ray inspections systems to the Royal Thai
Police Narcotics department used for the inspection of vehicles for narcotics and
weapons. The ZBV’s are manufactured by American Science and Engineering
located in the United States. Engineering services include maintenance support
and training. AES Group spearheaded the marketing efforts in the capture of this
project and is providing program management and maintenance support for this
and future x-rays projects in Thailand. Trucks were delivered and accepted by the
RTP in October 2004. The value of the contract was 183 million Baht.
2.1.3 Access Control and Security Systems
Since 1992 AES has been designing commercial access control and integrated
Security Systems as a consulting arm of YIT. Beginning in 2000, AES has
assumed the role of Marketing & Project Management for this product line. In
2002 the Master Distributorship and all responsibilities for the marketing and
support of the product line was transferred to AES.
The original product line was established when YIT became the Thailand Master
Distributor for CARDAX, one of the key industry suppliers for the Asia-Pacific
region. CARDAX supplies medium to very large access control systems, with
customers such as factories, office buildings, public utilities, transportation
systems, banks, oil companies, and universities around the world.
To augment the product line and provide entry level as well as large system
products, AES has added SmartSight, Sanyo, Kalatel, and Gallagher Systems
products to the systems portfolio. SmartSight is positioning themselves as a world
leader in the supply of LAN Based CCTV surveillance systems. Sanyo and
Kalatel provide world class CCTV cameras and systems. Gallagher is the world
leader in power fencing which is used in perimeter control applications providing
both a warning & a deterrent which is an advantage over conventional fencing
with various sensor systems.
Security System references in Thailand include Bank of Thailand, Siemens,
Krung Thai Bank, STT-Nation, Nike, Coca Cola, 7-11, Heineken, Hutchinson Cat
Multimedia Data Centers, Royal Thai Air Force, Hoechst and the Security
Exchanger Commission of Thailand.
2.1.4 Project: Sri Lanka Fast Patrol Boat Project
In August 2001 AES was contracted by Australian Submarine Corporation to
provide consulting Services for the system design, integration and support of the
Communications, Navigation and Fire Control Systems for their proposal efforts
in bidding for twelve 28 meter Naval Fast Patrol Boats. Contract award to build
the ships is expected in 3rd quarter 2004.
2.1.5 Project: Royal Thai Air Force F-5 Radar Upgrade
AES has been marketing and supporting the upgrade of the RTAF AN/APQ-159
V(5) upgrade of their F-5 aircraft since 1995. This equipment, manufactured by
Systems Electronics, Inc. in the US, is being used by the Royal Thai Air Force to
upgrade their aging AN/APQ-159-3,-4 and AN/APQ-153 fire control radar
systems used on F-5 aircraft with the newer (V)-5 version for increased
supportability, reliability and performance. AES is the exclusive representative of
this equipment in Thailand. Total sales since 1997, have totaled over 7 million
2.1.6 Project: Hutchison Cat Multimedia Data Center Security Project
Awarded contract in 2002, to install an integrated security system at the
Hutchison Data Centers located at IFCT and CAT headquarter in Bangkok.
Security equipment included CardaxFT security access system and SmartSight
LAN based CCTV.
Follow-on contracts have been awarded for the design, installation and support of
integrated security access systems for the BOT Mint, New Mint Ink Plant and
Note Issuing Division.
2.1.7 Project: Royal Thai Police Mai Sai Border Digital CCTV Project
Awarded contract in 2002 to install a SmartSight LAN-based digital CCTV
system for the RTP Mai Sai Border Post. System provides real-time vide security
and PC based storage of surveillance activity at the border post and remote access
of the video information by the RTP headquarters in Bangkok.
2.1.8 Project: Royal Thai Navy Offshore Patrol Vessel Project
AES was contracted by Australian Submarine Corp. to provide consulting
services for the equipment selection, design, integration, and supplier qualification
for the Communication, Navigation and Weapon Systems OPV tender. Services
commenced late 2000 and contract was awarded to China Shipyards in November
2.1.9 Project: Expressway and Transit Authority Rama IX Bridge
AES was awarded an initial contract valued at 5 million Baht in December 1993,
for the Rama IX Bridge Real-Time Seismic/Structural Monitoring Project. In July
2000, a follow-on project was awarded to AES valued at 27 Million Baht for the
inspection, structural analysis and upgrade of the real-time monitoring system on
the Rama IX Bridge. AES responsibilities included project management,
installation and maintenance support. AES subcontracted Kinemetrics and OPAC
in the US for bridge engineering services, system design and support. AES
continues to provide yearly service contracts for the structural monitoring system.
AES has also been awarded a contract by the ETA to analyze the data from the
Rama IX bridge structural monitoring system to assist in the monitoring of the
health of the bridge. Sales to the ETA to date total over 40 million Baht.
2.1.10 Projects: Seismic and Structural Monitoring Equipment Sales and Support
AES Group has been awarded contracts to provide Kinemetrics seismic
monitoring equipment to the Royal Irrigation and Electric Generating Authority.
These organizations have an extensive network of Kinemetrics equipment to the
monitoring of seismic activity around their dams in Thailand.
2.1.11 Project: Hong Kong Police Patrol Boat Project
Starting in 1999, AES teamed with Australian Submarine Corp. and Cheoy Lee
Shipyards in Hong Kong. AES was responsible for the Communication and
Navigation Systems design, integration, and support for the HKPL Patrol Boats.
Cheoy Lee was awarded a contract in June 2000 to build an initial quantity of two
ships. AES provided installation services for the internal communication system.
Contract for anther 2 ships was signed between Cheoy Lee and the Hong Kong
police in December 2002 and an order for an additional 2 ships is expected in
2.1.12 Project: Royal Thai Navy 30m Patrol Craft Communications System
This project valued at $869,000 USD was awarded to AES Group in February,
1998 and was completed in the year 2000. AES was contracted to provide a full
turnkey integrated communication system for three 30 meter patrol boats, built in
Thailand by Australian Submarine Corp. for the Royal Thai Navy. The external
communication system equipment included VLF, HF, VHF Tactical, VHF
Maritime, and UHF radios and an IFF transponder. The internal communication
system manufactured by United Marine Corp., in Canada, included public
address, general alarm, talk back and marine PABX equipment.
AES responsibilities included project management, system design, installation,
commissioning and follow on maintenance support.
2.1.13 Project: Peninsula Plaza Helicopter Pad Structural Evaluation
AES was awarded this contract in February, 1997 to help Phillip Holzmann and
Meinhardt to evaluate the structural integrity of the helicopter landing pad at the
Peninsula Plaza Hotel in Bangkok. AES subcontracted Agbabian Associates for
technical support of this project. Very accurate cable displacement sensors were
used in conjunction with a data acquisition system to measure the displacement of
the helicopter land pad’s supporting members under load. This was data was used
to evaluate the structural integrity of the supporting members under load.
2.1.14 Collaboration with Other Companies
AES Group regularly collaborates with other companies in many fields.
Throughout the life of the company, AES Group has exploited the ability to form
relationships with technology suppliers as a means of responding to project
requirements. Operating as representative, distributor, and value added supplier;
AES Group has formed relationships with such companies as Agbabian
Associates, United Marine, Australian Submarine Corporation, and Mark VII
The partnership with Yip In Tsoi provides access to a large network of technology
companies both in Thailand and internationally which allows AES to operate in an
environment available only to much larger companies. Further benefit comes
from being able to draw on the Yip In Tsoi staff of 350 employees, more than half
of whom are from the engineering and technical fields of software development,
