SUBJECT: A Resolution approving an extension of an inter-local agreement amendment
between the Cities of Alamo Heights, Olmos Park, and Terrell Hills to provide
Emergency Medical Services (EMS) and authorizing the City Manager to
negotiate and execute an agreement for such services

SUMMARY
The Resolution authorizes the City Manager to execute an amendment of the inter-local agreement
between Alamo Heights, Olmos Park, and Terrell Hills that is scheduled to expire on September
30th
, 2023. This contract will supersede the current EMS contract that is scheduled to terminate on
September 30, 2023 and extend the expiration date to 11:59 P.M. on November 17, 2023.
BACKGROUND INFORMATION
Originally signed in 1982, the cities of Alamo Heights, Olmos Park, and Terrell Hills have had a
longstanding contractual relationship to provide emergency medical services. This contract was
negotiated annually until 2007 when a long-term contract was requested for a three-year term. The
current contract expires on September 30, 2023.
POLICY ANALYSIS
Emergency Medical Service Agreement negotiations have not concluded and all parties are in
agreement to extend the original expiration date of September 30, 2023. This agreement shall
replace the prior agreement at 12:01 A.M. October 01, 2023, and shall terminate at 11 :59 P.M. on
November 17, 2023 unless terminated as hereinafter provided or extended further by the CITIES.
Approval of this amendment will provide additional time for the CITIES to negotiate the terms
and have them approved by their respective governing bodies. Renewal of this contract will
ensure that all involved cities will continue to receive the highest level of pre-hospital care
available with some of the lowest response times in the area. Olmos Park and Terrell Hills have
no issues with the terms of the proposed amendment that extends the expiration date. The
amendment has been drafted by the COAH legal counsel and reviewed by all parties.
FISCAL IMPACT
The cost breakdown for each city would remain the same through November 17, 2023 per the
current contract language. The cost per city is currently under negotiation.

EMERGENCY MEDICAL SERVICE AGREEMENT AMENDMENT
This is an Amendment to the Emergency Medical Service Agreement between CITY OF
ALAMO HEIGHTS, TEXAS, hereinafter “Alamo Heights”, the CITY OF TERRELL HILLS,
TEXAS, hereinafter “Terrell Hills”, and the CITY OF OLMOS PARK, TEXAS, hereinafter
“Olmos Park”, with all three (3) cities sometimes hereinafter referred to as “CITY or CITIES.”
This Amendment to the Agreement is authorized by and subject to the Inter-Local Cooperation
Act (Chapter 791, Texas Government Code).
WHEREAS, the CITIES entered into an Emergency Medical Service Agreement
(hereinafter referred to as the “Agreement”), effective October 1, 2020, wherein Alamo Heights
agreed to provide EMS services to Terrell Hills and Olmos Park; and
WHEREAS, the term of the Agreement was for three (3) years from October 1, 2020
through September 30, 2023; and
WHEREAS, CITIES are in negotiations to enter into a new Emergency Medical Service
Agreement, but need additional time for the CITIES’ to negotiate the terms and have them
approved by their respective governing bodies;
NOW, THEREFORE, for and in consideration of mutual covenants and agreements
contained herein, the parties hereby agree to amend the Agreement as follows:
Section 1. Term
1. The services to be provided hereunder are a continuation of the original EMS
Service Agreement signed in 1982. This agreement shall replace the prior
agreement at 12:01 A.M. October 01, 2020, and shall terminate at 11:59 P.M. on
November 17, 2023 unless terminated as provided in the Agreement or extended
further by the CITIES.
Section 2. The Amendment outlined in Section 1 is the only change to the original Services
Agreement and all other provisions of the original Agreement, any approved Amendments and
Exhibits not in conflict with this Amendment shall remain in full force.
Section 3. This Amendment shall be effective upon the execution of this Amendment by all of the
CITIES.

A RESOLUTION APPROVING THE EXTENSION OF AN INTERLOCAL
AGREEMENT AMENDMENT FOR EMS SERVICES AMONG THE CITIES
OF ALAMO HEIGHTS, TERRELL HILLS AND OLMOS PARK AND
AUTHORIZING THE CITY MANAGER TO EXECUTE AN AMENDMENT
TO THE EMERGENCY MEDICAL SERVICE AGREEMENT WITH SAID
CITIES.
WHEREAS, the City of Alamo Heights has provided EMS services for Terrell Hills and
Olmos Park for many years; and
WHEREAS, it is the desire of the Cities of Alamo Heights, Terrell Hills and Olmos Park to
execute an amendment of the inter-local agreement between Alamo Heights, Olmos Park, and Terrell
Hills that is scheduled to expire on September 30th, 2023. This amendment will supersede the
current EMS contract that is scheduled to terminate on September 30, 2023 and extend the expiration
date to 11:59 P.M. on November 17, 2023 unless terminated as hereinafter provided or extended
further by the CITIES.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF ALAMO HEIGHTS, TEXAS that the CityCouncil approves the proposed interlocal agreement
for Emergency Medical Services among the Cities of Alamo Heights, Terrell Hills and Olmos Park
attached hereto and authorizes the City Manager to execute said amendment to the agreement on
behalf of the City of Alamo Heights.
