Investor 4: This is a tough deal, because I really like you. But I’m out of the deal.

Jonathan: I’d like to answer your objections even if you are out. What you see on the website is
just the beginning. First, we have the recipes behind the bars: what you had tasted great, most
bars on the market taste like chalk.

I’m not a sales guy, I’m an entrepreneur. I sell my business; I believe in it.

Investor 5: Sorry, I just don’t get the business. I don’t believe the market is there, or if it is there,
I think somebody is going to take it.

(Other investors pull out of the deal)

Jonathan: If a greater equity was there, would that interest you?

Investor 1: I would have to have 75%. I’ll give you $150,000 for 75%.

Investor 2: 7 years ago, I bought into the customized nutrition concept. That company is doing
well, and I believe they would be interested in your product. I’ll give you $150,000 for 100% of
the company, but you will get a 4% royalty forever.

Jonathan for Investor 1: 75% is too much. It would demotivate me, and it would limit me if I
wanted to grow in the future. I’ll give you 20% instead. You can see how I’m acting on your
behalf in these negotiations. If somebody else were to come along, I wouldn’t want them to walk
away with the rest of the company, or dilute your shares.

I’m not going to go above give away 50% of the company.

(Investor 1 and 3 are out)

Jonathan on Investor 2: So, all I get is a royalty? No equity?

Investor 2: But the royalty stream is gross: I put up all the money, I take all the risk and
overhead. You just take the check. Do we have a deal?

Jonathan: The 4% is not going to keep me motivated. Do you have any better equity options?

Investor 2: One last deal: $150,000, you’ll receive 4% royalty, and I want to own 35% of the
company.

Jonathan: I’m sorry, my negotiating range is 25%.

Investor 2: I’m a fair guy, so I’ll go down to 30%.

Jonathan: OK, we have a deal.
