  1. 1. Custom Audiences TermsWithout limiting any agreement between you and Facebook, by clicking “I accept” and uploadingthis data, you agree to the following:◦ A. You represent and warrant with respect to the data that you are using as part of yourcreation of a custom audience that you (or your data provider) have provided appropriatenotice to and secured any necessary consent from the data subjects whose data you areusing, which explains your use of the data, including as needed to be in compliance withall applicable laws, regulations and industry guidelines. If you have not collected the datadirectly, you confirm, without limiting anything in these terms, that you have all necessaryrights and permissions to use the data.◦ B. You confirm that the data you are using to create your custom audience does not relateto any data subject who has exercised an option to opt out of having that data used by youor on your behalf for targeted advertising. To the extent a data subject makes such arequest after you have used data relating to that data subject to create a custom audience,you agree to remove that data from the custom audience.◦ C. The information you provide to us for the matching process will not be shared withother advertisers or third parties and will be deleted as soon as the match process iscomplete. Facebook will maintain the confidentiality and security of your custom audience(stored in your account in the form of Facebook User IDs), including by maintainingtechnical and physical safeguards that are designed to (a) protect the security and integrityof data while it is within Facebooks systems and (b) guard against the accidental orunauthorized access, use, alteration or disclosure of data within Facebooks systems.Further, Facebook will not give access to or information about your custom audiences toother advertisers or third parties, use them to append to the information we have aboutour users or build interest-based profiles, or use them in any way associated with yourbrand (except to provide services to you), unless we have your permission or are requiredto do so by law.◦ D. Facebook may modify, suspend or terminate access to, or discontinue the availability of,the custom audiences feature at any time. You may discontinue your use of the customaudience feature at any time. You may delete your audiences from the Facebook system atany time through your account tools.◦ E. If you are using data on behalf of a third party, you also represent and warrant that youhave the authority as agent to such party to use the data on their behalf and bind suchparty to these terms.These Custom Audiences Terms govern your use of data for the creation of custom audiences.They do not replace any terms applicable to your purchase of advertising inventory fromFacebook, and such terms will continue to apply to your ad campaigns targeted to your customaudiences. The custom audiences feature is part of “Facebook” under Facebook’s Statement ofRights and Responsibilities (, the “SRR”), and your use ofcustom audiences (including your use of data) is deemed part of your use of, and actions on,“Facebook.” In the event of any express conflict between these Custom Audiences Terms and theSRR, these Custom Audiences Terms will govern solely with respect to your use of data for customaudiences and solely to the extent of the conflict. Facebook reserves the right to monitor or audityour compliance with these terms and to update these terms from time to time.
