(the “Agents”) (see the Company’s press releasedated November 26, 2010). Pursuant to the offering terms, the Agents have agreed tooffer for sale on a best efforts private placement basis 7,830,000 Flow-Throughcommon shares (the “FT Shares”) at $0.65 per FT Share for gross proceeds of up to$5,089,500 (the “FT Offering”).The Company has also agreed to grant to the Agents an option to offer an additional1,170,000 FT Shares for additional aggregate gross proceeds of $760,500 exercisableat any time in whole or in part for a period of 30 days following the closing of the FTOffering.The Agents will receive a cash commission of 7.5% of the gross proceeds raised in theFT Offering.The FT Offering is anticipated to close on or about the week of December 13, 2010 andis subject to certain conditions including, but not limited to, the receipt of applicableregulatory approvals including approval of the TSX Venture Exchange. The FT Shareswill be subject to a four-month and one day hold period commencing on the closing dateof the FT Offering.The Company intends to use the proceeds from the FT Offering for general explorationexpenditures, which will constitute Canadian exploration expenses (as defined in theIncome Tax Act).
