  2. 2. DUESIFEES There will be no refund of dues or fees paid by the applicant unless applicant is denied membership. Notice: Payments to the Greenwich Association of REALTORS® are not deductible as charitable contributions for federal income tax purposes. Also, federal law states that the percentage of your association dues used for state and federal lobbying activities is nondeductible as a business expense for federal tax purposes. I hereby apply for REALTOR® Membership in the Greenwich Association of REALTORS® (GAR), and enclose my check in the amount of 5% which I understand will only be refunded in the event I am not accepted for membership. In the event my application is approved, I agree as a condition of membership to attend the orientation seminar, familiarize myself, comply with and be subject to the Code of Ethics of the National Association of REALTORS®, including the duty to arbitrate business disputes in accordance with the Code of Ethics and Arbitration Manual of the Association and with the Bylaws of GAR, the Connecticut Association and the National Association and the policies of the various programs and services. Finally, I consent to and authorize GAR to invite and receive information and comment about me from any member or other person, and I agree that any information and comment furnished to GAR by any member or other person in response to any such invitation shall be conclusively deemed to be privileged and not form the basis of any action by me for slander, libel or defamation of character. Applicant acknowledges that if accepted as a member and he/ she subsequently resigns or is expelled from membership in GAR with an ethics complaint or arbitration request pending, the Board of Directors may condition renewal of membership upon applicant's verification that he/ she will submit to the pending ethics or arbitration proceeding and will abide by the decision of the hearing panel. If applicant resigns or otherwise causes membership to terminate, the duty to submit to arbitration continues in effect even after membership lapses or is terminated, provided the dispute arose while applicant was a REALTOR®. To the full extent permitted by applicable law, I irrevocably waive all claims against GAR or any of its officers, employees, directors or members, for any act in connection with the business of GAR, and particularly as to their acts in electing or failing to elect, advancing, suspending, expelling or otherwise disciplining me as an applicant, or as a member. Upon the expiration of said membership for any cause, I will discontinue the use of the term REALTOR®. Applicant acknowledges that the board/ association will maintain a membership file of information which may be shared with other boards/ associations where applicant subsequently seeks membership. This file shall include: previous applications for membership; all final findings of Code of Ethics violations within the time limit specified in the decision letter and violations of other membership duties within the past three (3) years; pending complaints alleging violations of the Code of Ethics or alleging violations of other membership duties; incomplete or pending disciplinary measures; pending arbitration requests; and information related to unpaid arbitration awards or unpaid financial obligations to the board/ association or its Multiple Listing Service. Applicant acknowledges Greenwich Association of REALTORS® (GAR) Privacy Policy. A copy of Privacy Policy will be provided upon request. I give authorization to the Greenwich Association of REALTORS® to contact the references and/ or verify any point of information included in this application. Designated REALTOR® must also fill out and sign a "Salesperson Certification form" if applicable.   6. 6. -.13_E__E.1_J_/ Y 1 C H MULTIPLE LISTING SERVICE KEYBOX AGREEMENT AGREEMENT made as ofthe day of LISTING SERVICE, INC. (the "MLS"); by and among THE GREENWICH MULTIPLE a participant in the MLS (the "Participant"), and (the "Member"). WHEREAS: A. the Participant is a participant in the multiple listing service operated by the MLS; and the MLS has entered into a Master Contract with Supra Products, Inc. ("Supra") for the acquisition of electronic key boxes and for the operation of an Advantage Express II Electronic Keybox System (the "System"); and B. the Member is affiliated with the Participant in an active effort to sell and lease real estate through the same business office or firm; and C. the Member and the Participant have entered into a Cardholder Agreement with the MLS authorizing the Member to purchase and use an entry key card for the System; and D. the Member desires to borrow one keybox for each applicable listing for the Member's use in connection with the System. In consideration of the mutual agreements herein contained, the parties hereto agree as follows: 1. THE SYSTEM. The parties hereto acknowledge that the MLS has been authorized to operate the System acquired from Supra. 2. KEYBOXES BORROWED: a. The Member agrees to borrow from the MLS, on the terms and conditions contained herein, Electronic Keyboxes for the Member's personal use in connection with the System. The member shall not sell, transfer, lease, Sublease, loan or allow any other person or firm to use any lIIIl | ' ‘lli Hit? ) ()1 Ill b. The Member acknowledges that all Keyboxes borrowed are, and shall remain, the propertyiofithe MLS; that the Member shall only have the right to use the Keyboxes in accordance vi§Ith‘th‘e*tel*tns“bf this Agreement; and that the Member is responsible for all Keyboxes that are in the Member's possession. c. The Member agrees to return to the MLS any Keyboxes which are not in use at listed properties. d. The Member agrees to limit his or her use of the System to the geographic area served by the MLS. 3. TERM. Unless previously terminated as herein provided, the initial term of this Agreement shall be for one (1) year commencing on the date hereof and shall automatically be renewed for successive additional terms of one (1) year unless terminated by either party or unless terminated in accordance with the provisions of this Agreement. 4. MASTER CONTRACT. The Member hereby agrees to comply with all of the terms and conditions ofthe Master Contract between the MLS and Supra, as the same may be amended from time to time (the "Master Contract"), a copy of which is available at the offices of the MLS, and the Master Contract, as so amended, m is hereby expressly incorporated by reference in this agreement. l I I _ I '. tit| iiiili: *'. i‘i~llt. sliiii= i.   7. 7. 5. 10. TERMINATION AND RETURN OF KEYBOXES. This Agreement shall automatically terminate and the Member agrees to return to the MLS all of the Keyboxes upon the occurrence of any of the following events: a. Termination of the Master Contract between the MLS and Supra; b. Default by the Member in the observance or performance of any of the Member's obligations under this Agreement; c. Default by the Member under the Member's obligation to the MLS; d. Default by the Member under the Member's Cardholder Agreement with the MLS; or e. Suspension or termination of the Member or the Participant from participation in the MLS or of the right of the Member or the Participant to use the MLS multiple listing service. USE OF KEYBOXES BY THE AUTHORIZATION OF OWNER OF REAL PROPERTY. The Keyboxes shall be used only on properties for which listings are filed with the MLS by the Member. The Member will secure written authorization from the owner or tenant in possession of any property listed for sale or lease prior to the installation and use of a Keybox on such property. The Member agrees to disclose that the Keyboxes are not designed or intended as security devices. PERSONAL PROPERTY TAXES. The Member shall be responsible for the payment of all personal property taxes assessed against the Keyboxes during the term of this Agreement. WARRANTY. The MLS makes NO WARRANTY, either express or implied, with respect to the Keyboxes. In the event that a Keybox is defective or fails to function for any reason, other than damage or misuse, the MLS agrees to repair the box or to supply a replacement Box only if repair or replacement is provided to the MLS by Supra under the terms of the Master Contract. RULES 8: REGULATIONS. Those portions of the MLS By-Laws and Regulations that pertain to Keyboxes and lockboxes and keys and keybox cards and their use, as they now exist or as they may be amended from time to time, are incorporated herein by reference. The Member agrees to comply with all provision contained therein, as well as any and all rules and regulations promulgated by the MLS and contained within the MLS By-Laws and Regulations or any other regulations relating to the services of the MLS, and any violation thereof may result in the termination of this Agreement and/ or suspension of the Member's right to use the System. INDEMNITY. The Member shall indemnify and hold harmless the MLS, its members, officers, directors and employees, from any and all loss, damage, claims, demands, liabilities and costs, including attorney's fees, arising from the Member's use of the Keyboxes or the System, including without limitation all cost, liability, attorney's fees and defense costs incurred by the MLS in connection with any suit or claim for injury or damage to person or property assisted by a client or customer of the Member, or any person working or cooperation with the Member in the listing of real property for sale or lease. The Member, for himself or herself, his or her agents, employees and affiliates, specifically waives, releases and holds the MLS harmless from all damages, actual and consequential, including lost profits, arising from or in any way related to the Member's use of the Keyboxes or the System out of the loss or improper use of the Electronic Keyboxes leased hereunder.
  8. 8. 11. STATUS OF THE MEMBER. The Participant hereby confirms that the Member is a licensed real estate broker or salesman and is eligible to participate in the MLS and to use the Service. The Participant further confirms that the Member is affiliated with the Participant and agrees that the Participant will notify the MLS in writing should the Member terminate such affiliation. 12. ENFORCEMENT. This Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut. The Member shall be liable for all costs and reasonable attorney's fees in any action brought by the MLS to enforce this Agreement against the Member.
