In connection therewith, each Party may disclose (“Discloser”) information to the other Party (“Recipient”) which should be treated as confidential subject to the terms and conditions of this agreement (”Agreement”). 2 Confidential Information 2.1 For the purposes of this Agreement, “Confidential Information” means any information disclosed directly or indirectly by the Discloser to the Recipient, in writing, electronically or orally, designated as “Confidential” or similar, the terms and conditions of this Agreement and the fact that discussions are taking place. Information communicated orally shall be considered Confidential information if the Discloser confirms the confidential nature in writing (including by email) within two (2) weeks after disclosure. 2.2 Confidential Information does not comprise of any information which: 2.2.1 is in the public domain at the time of disclosure or enters the public domain later through no action or inaction of the Recipient; 2.2.2 the recipient can demonstrate (a) was in its possession prior to disclosure hereunder, or (b) was developed by the Recipient independent of the Confidential Information, as shown by

AU GOLD DORE BARS CONTRACT No: ALBM/GS5BG001/2017 _____________________________________________________________________________________________________________________________________________________________ NCNDA & (IMFPA) – Alpha Timber and Artisinal Miners Seller Initial PAY MASTER Initial Page 3 of 17 the Recipient’s files and records prior to disclosure hereunder; 2.2.3 is obtained by the Recipient from a third party without a breach of such third party’s obligations of confidentiality known to Recipient; or 2.2.4 is approved for release by Discloser. 2.3 Confidential Information may be disclosed by the Recipient when it is required to do so by law or upon request of a governmental authority, provided that – to the extent legally permitted and reasonably possible – the Recipient gives the Discloser prompt written notice of such requirement or request prior to disclosure and is willing to provide assistance in obtaining an order to protect the information from public disclosure at the Discloser’s sole expense. 2.4 All Confidential Information is provided “AS IS”. Each Party makes no representations or warranties, express or implied, regarding the accuracy, completeness and trueness of the Confidential Information it disclosed to the other Party. 2.5 The Recipient agrees that it or any of its related parties, directors, employees and agents (including intermediaries, mandates) will not, directly or indirectly, contact deal with or otherwise become involved with any entity or any other entities or parties introduced, directly or indirectly, by or through the Discloser for the purpose of avoiding the payment to the Discloser of profits, fees or otherwise as agreed between the Parties, without the specific written approval of the Discloser. 2.6 Without limiting clause 2, the parties will maintain complete confidentiality regarding the others confidential information, business, business sources and/or their Affiliates (“Business Information”) and will disclose such Business Information only to the named parties pursuant to the express written permission of the party who made available the Business Information or for the express purposes of execution of the parties’ obligations under this Agreement, and, 3 Circumvention 3.1 The parties agree to not to make use of a third party to circumvent the terms of this Agreement 3.2 That in the event of circumvention of this Agreement by either party, directly or indirectly, the circumvented party shall be entitled to a legal monetary penalty equal to the maximum service it should realize from such a transaction plus any and all expenses, including but not limited to all legal costs and expenses incurred to recover the lost revenue. 3.3 4 Non Solicitation 4.1 The parties will not in any manner solicit, nor accept any business in any manner, from sources (or their affiliates), if those sources were made available through this agreement, unless express permission in writing is obtained from the party who made available the source 5 Non Use and Maintenance of Confidentiality 5.1 The Recipient shall: 5.1.1 use the Confidential Information solely for the Purpose; 5.1.2 protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information whereby it shall take at least those measures that it takes to protect its own confidential information; 5.1.3 restrict access to the Confidential Information to its employees, directors, consultants, subcontractors, agents and advisors and those of its Affiliates who need to evaluate or engage in discussions concerning the Purpose (“Authorised Persons”), subject to such Authorised Persons being (a) informed of the confidential nature of the Confidential Information, and (b) bound to similar confidentiality obligations as set out herein. 6 Scope

AU GOLD DORE BARS CONTRACT No: ALBM/GS5BG001/2017 _____________________________________________________________________________________________________________________________________________________________ NCNDA & (IMFPA) – Alpha Timber and Artisinal Miners Seller Initial PAY MASTER Initial Page 4 of 17 6.1 For the purposes of this Agreement, the term “Affiliate” shall mean any entity which directly or indirectly controls, is controlled by, or is under common control with a Party to this Agreement as of the date of this Agreement. 6.2 This Agreement is intended to encompass the Authorised Persons of the Parties hereto, and each Party shall be liable towards the other Party for any breach of this Agreement by any of its Authorised Persons. 7 Notices 7.1 Any notice provided by either Party hereunder shall be sent via email with scan copy attached, by registered or certified mail with return receipt or by courier addressed to the other Party at its address set forth below: ALPHA TIMBER ARTICANAL MINERS KBS TRADING. The obligations of the Parties hereunder shall survive for three (3) years as from the date of each respective disclosure of Confidential Information, regardless if this Agreement is expired or terminated before the end of such respective period. 9 Privacy 9.1 In relation to the handling of any personal information collected for the Purpose, each Party agrees to comply with applicable requirements of the privacy policy of the other Party. 10 Miscellaneous 10.1 This Agreement constitutes the entire understanding between the Parties as to the Confidential Information and supersedes all prior discussions between them relating thereto and may only be modified in writing duly signed by both Parties 10.2 Neither Party may assign or transfer, in whole or in part, any of its rights, obligations or duties under this Agreement. 10.3 The failure or delay of a Party to enforce at any time any provisions of this Agreement shall not constitute a waiver of such Party’s right thereafter to enforce any such provisions. 10.4 Neither Party shall be obliged to enter into any transaction (including regarding the Purpose) with the other Party by virtue of this Agreement nor does each party reserve its rights, in its sole discretion, to terminate the discussions contemplated under this Agreement without limiting the material terms of this Agreement, the Purpose. 10.5 Neither the execution of this Agreement nor the furnishing of Confidential Information hereunder shall constitute a grant of any interest or right whatsoever in such Confidential Information, which shall remain the sole property of the Discloser. 10.6 Any violation or threatened violation of this Agreement may cause irreparable injury to the other Party, entitling such Party to seek injunctive relieve in addition to all legal remedies. 10.7 This Agreement may be executed in two or more counterparts, each of which shall be deemed to be an original and all of which together shall be deemed to constitute the Agreement. 11 Governing Law and Choice of Forum

(Total 1.710kgs over a period of 12 calendar months) COMMISSON PAYABLE: $2,000USD PER KG payable by the Buyers Facilitator, (Closed) $2,000USD PER KG payable by the Seller to Buyer’s Agent, (Open) PAYMENT SCHEDULE AND FREQUENCY: Payment to be made DAILY on the total weight refined at the Buyers Refinery Assayed in the previous 24 hours. PAYMENT TERMS: Buyer will make a conditional MT103/23 on behalf of the seller for the total amount of the goods. The said funds will only be release via TT MT103 to the seller after buyer confirms goods delivered to his destination or Refinery. 12 This Agreement is valid for any and all transaction between the parties herein and shall be governed by the enforceable law in All Commonwealth Countries, European Union Countries, USA Courts, or under Swiss Law in Zurich, in the event of dispute, the arbitration laws of states will apply. Assigning a signature on this Agreement by the way of Facsimile, Mail and/or E-mail shall be deemed as having duly executed the Agreement and therefore I agree to be bound by the terms setout in this Agreement including the enforcement of the confidentiality or non circumvention covenants on Authorized Persons. Payment of the agreed fees in accordance with this agreement shall be made at the same payment time and frequency as is detailed in the Contract (“CONTRACT”) between ALPHA TIMBER ARTISENAL MINERS (“SELLER”) and MEGA GROUP OF COMPANIES (MEGA MATRIX SOLUTIONS) (“BUYER”) for the purchase of the AU DORE GOLD BARS (Contract Code ALBM/GS5BG001/2017). The BUYER, SELLER and Pay Master are material parties bound by the CONTRACT. We, the Seller, irrevocably confirm that we will Supply and direct our bank to endorse automatic payment orders to the Pay Master named below; furthermore, we, the Seller, confirm that all pay orders shall automatically transfer funds as directed into the Paymaster’s designated bank account within 1 (one) day after the date of closing and completion of each and every shipment of the product during the contract term plus any/or extensions and rollover of the specified contract. For the purpose of clarity, we confirm that the closing and completion of each and every shipment shall be deemed to take place when the payment issued by the buyer has been ENABLED into the SELLER’s designated bank account. We, the Seller, agrees to provide the Paymaster with written evidence of the pay orders lodged with our bank together with acknowledgements of their acceptance. Furthermore, our bank shall be instructed to provide duly signed and stamped acknowledgement of this instruction as set out in the agreement. TOTAL FEE SHALL BE PAID BY THE BUYER AS FOLLOWS: The shipment of 15kg per week for one month, thereafter 150kg per Month for total of 12 months with possible R/E of AU Gold Dore Bars delivered should be settled as herein stated to be transferred to the accounts as follows: SELLER’S FACILITATOR $USD 2,000 PER KILO PAID PRO-RATA BASED ON STOCK DELIVERED 3. TERMS & CONDITIONS This master fee protection agreement covers the initial contract and shall include any renewals, extensions, rollovers, additions or any new or transfer contract any how originated from this transaction because of the above beneficiary or changing codes of the initial contract entered into between the buyer and seller. This master fee protection agreement and any subsequently issued pay orders shall be assignable, transferable and divisible and shall not be amended without the express written and notarized consent of the receiving beneficiary. All parties agree neither to circumvent nor to attempt circumvent either for the transaction of this current contract or in the future for a period of five (5) years from the date of the execution of this fee protection agreement. Any party may enter into this document and the agreement constituted thereby by signing any counterpart any time, date or period mentioned in any provision of this document shall only be amended by agreement in writing and signed off by all parties concerned. Furthermore, we agree that any and all commissions due shall be paid to the beneficiary as a result of any extension or rolls of the contract and that we shall effect all necessary documentation with our bank without any undue delays to ensure such commissions and paid within the terms of the agreement. 4. PARTIAL INVALIDITY The illegality, invalidity and non-enforceable provisions in this document under the laws of any jurisdiction shall not diminish its legality, validity or enforceability under the law of any other jurisdiction. 5. GOVERNING LAW AND JURISDICTION This document shall be governed and construed in accordance with current English or I.C.C 400/500/600 signed between partners NCND laws. 6. ARBITRATION: All parties agree to refer any disputes between the parties arising out of or in connection with this agreement including any questions regarding its existence, validity or termination to arbitration rules of the international arbitration center (I.A.C). The appointed arbitrator shall hold the proceedings in any country chosen by the parties and the rules of the IAC shall apply. 7. AU GOLD DORE BARS CONTRACT No: ALBM/GS5BG001/2017 _____________________________________________________________________________________________________________________________________________________________ NCNDA & (IMFPA) – Alpha Timber and Artisinal Miners Seller Initial PAY MASTER Initial Page 13 of 17 Buyer as consideration for services rendered.  Administration of the Paymaster Bank Account  Where necessary, appointing an independent third party Legal/Accounting Paymaster (“Administration Paymaster”) to administer the payment process and documentation requirements as defined by law in the jurisdiction where the Contract is executed.  Reporting to all Beneficiaries any relevant information regarding the execution of this Agreement during the execution of the Contract.  Performing all relevant Banking and Fiduciary reporting as required and governed by the Law  Completing all fee transactions governed by this Agreement by directly disbursing fees or instruction and where appropriate, overseeing the Administration Paymaster in the disbursement of fees Appointment Where deemed appropriate, the Paymaster may appoint a Legal/Accounting Paymaster for the purposes of delivering services as an Administration Paymaster. Appointment of the Administration Paymaster must be a fair and equitable process. The Administration Paymaster must be an Independent Professional that has experience in the speciality field of Corporate International Trade Legal/Accounting Paymaster Services. An Administration Paymaster that is appointed must be appropriate to the jurisdiction where the Contract is executed. Am Administration Paymaster may, as required, change the Paymaster Bank Account as may be required, in order to meet the governing jurisdiction legal requirements, to ensure transparency to the Beneficiaries or Buyer or to ensure the smooth and efficient transfer of funds at the lowest cost of transaction. Process 1. Paymaster must confirm all personal and banking details defined in this Agreement. 2. Upon confirmation, the Paymaster must proceed to collect all Fiduciary or Banking due diligence documentation that may be required depending on the governing jurisdiction where the Contract is

Beneficiaries that fail to provide the requested information or evidence may be subject to a bank hold on funds or legal investigation by the relevant authority until such a date that the investigating party is satisfied of the legality of the fee arrangements. 3. Paymaster will lodge all Pre-Contract Due Diligence Documents to the relevant authorities 4. Paymaster will perform test deposits of a nominal sum 5. As appropriate, the Paymaster may appoint an Administration Paymaster. Where the Administration Paymaster is appointed, the Paymaster is to provide a copy of all agreements and contracts governing the arrangements relating to the payment of fees as defined by this Agreement. This may include the disclosure of confidential information for the purpose of the execution of services required in completion of this Agreement. 6. In the performance of the Contract, the Paymaster (or Administration Paymaster as may be the case) will liase with the Supplier and Buyers Agent to confirm all Payment Triggers have been met. This confirmation will be subsequently emailed to all Beneficiaries and the respective Fee Payments will be processed as governed by this Agreement. No Liability All parties to this Agreement agree that the Paymaster has no liability in relation to the execution of the Contract and the Beneficiaries and Buyer indemnify the Paymaster of any loss that may arise in tort or otherwise in relation to the execution of the Contract or this Agreement. The Paymasters liability is strictly limited to:  The responsibility of Fiduciary and Banking reporting required by governing law as may be required in relation to the Contract and this Agreement.  The effective payment of fees as governed by the terms and conditions in this Agreement. Limitations Beneficiaries are responsible for their own personal and jurisdictional reporting. The Paymaster only performs the reporting required in relation to the joint obligations as defined by this Agreement and the jurisdictional governing law. Beneficiaries are responsible for all relevant Tax reporting.

Fees All Beneficiaries equally share all Paymaster fees as may be incurred. This includes engagement fees, Administration Paymaster service fees, Reporting and Governance fees and relevant lodgement or postal fees as may be required. All fees are recovered from the Beneficiaries by means of immediate deduction from Fees due to be paid by the Buyer, as defined by this Agreement. The Paymaster will issue a full periodic accounting of fees at each major payment milestone as defined by this Agreement.
