Financial Highlights: Your Directors are pleased to inform that total income earned during the year under review was Rs. 326.94 Crores
against expenditure of Rs. 321.04 Crores including financial charges amounting to Rs. 1.97 Crores and depreciation amounting to Rs. 7.74
Crores. The net profit after tax during the year under review was Rs. 3.11 Crores. Fixed Deposits: During the year under review, your
Company has not accepted any deposits from Public.

Auditor’s Report To the members of PMC PROJECTS (INDIA) PRIVATE LIMITED
1. We have audited the attached Balance Sheet of PMC PROJECTS (INDIA) PRIVATE LIMITED as at 31st March, 2011 and also the
Profit and Loss Account for the period ended on that date annexed thereto and the Cash Flow statement for the year ended on that date,
which we have signed under reference to this report. These financial statements are the responsibility of the Company’s management. Our
responsibility is to express an opinion on these financial statements based on our audit.
2. We have conducted our audit in accordance with auditing standards generally accepted in India. Those Standards require that we plan and
perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement. An audit includes
examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the
accounting principles used and significant estimates made by management, as well as evaluating the overall financial statement presentation.
We believe that our audit provide a reasonable basis for our opinion.
3. As required by the Companies (Auditor's Report) Order, 2003 issued by the Central Government of India in terms of sub-section (4A) of
section 227 of the Companies Act, 1956, we enclose in the Annexure a statement on the matters specified in paragraphs 4 & 5 of the said
Order.
4. Further to our comments in the annexure referred to above, we report that:
i) We have obtained all the information and explanations, which to the best of our knowledge and belief were necessary for the purpose of
our audit;
ii) In our opinion, proper books of account as required by law have been kept by the Company so far as appears from our examination of
those books;
iii) The Balance Sheet, Profit & Loss Account and Cash-flow statement dealt with by this report are in agreement with the books of account.
iv) In our opinion, the Balance Sheet, Profit & Loss account and Cash Flow Statement dealt with this report comply with the Accounting
Standards referred to in sub-section (3C) of Section 211 of the Companies Act, 1956;
v) On the basis of written representations received from the directors as on 31 March, 2011, and taken on record by the Board of

Directors, we report that none of the directors are disqualified as on 31 March, 2011 from being appointed as a director in terms of clause

(g) of sub-section (1) of section 274 of the Companies Act, 1956;
vi) In our opinion and to the best of our information and according to the explanations given to us, the said accounts read together with the
Significant Accounting Policies and other notes thereon give the information required by the Companies Act, 1956 in the manner so required
and give a true and fair view in conformity with the accounting principles generally accepted in India:
a) in the case of the Balance Sheet, of the State of affairs of the Company as at 31st March, 2011;
b) in the case of Profit & Loss Account, of the Profit for the period ended on that date; and
c) in the case of Cash Flow Statement, of the cash flows for the year ended on that date.

The fixed assets are physically verified by the management at reasonable intervals, in a phased verification-programme, which, in our
opinion, is reasonable, looking to the size of the Company and the nature of its business.

During the year, the inventories have been physically verified by the management, except for stocks lying with outside parties, which have,
however, been confirmed by them. In our opinion, the frequency of verification is reasonable.

In our opinion and according to the information and explanations given to us, the procedures of physical verification of inventories followed
by the management are reasonable and adequate in relation to the size of the Company and the nature of its business.

On the basis of our examination of the record of inventories, we are of the opinion that, the Company is maintaining proper records of
inventories. Discrepancies noticed on physical verification of inventories as compared to book records were not material and have been
properly dealt with in the books of account.

As informed to us, the company has not granted any loans, secured or unsecured, to any company, firm or other party covered in the Register

According to the information and explanation given to us and the records produced to us for our verification, the company has not taken any
loan from any company, firm or party covered in the register maintained under section 301 of the Companies Act, 1956, accordingly the
provisions of clause 4 (iii) (e) to (iii) (g) of the Order are not applicable.

According to the information and explanations given to us, there is adequate internal control system commensurate with the size of the

The financial statements have been prepared to comply in all material respects with the Notified Accounting Standards by Companies

historical cost convention on an accrual basis. The accounting policies have been consistently applied by the company and are consistent with
those used in the previous year.

Claims received are accounted at the time of lodgment depending on the certainty of receipt and claims payable are accounted at the time of
acceptance. Claims raised by government authorities regarding taxes & duties which are disputed by the company are accounted based on
legality of each claims, adjustments, if any, are made in the year in which disputes are fully settled. Insurance claims and other claims to the
extant considered recoverable are accounted for in the year of claims based on the amount assessed by the surveyor. However. Claims and
