Social Media: Cases <ul><li>A patient association creates a Facebook page for a particular indication. </li></ul><ul><li>Several patients state that they have benefited from off-label use of a particular device and describe the off-label use concerned as well as give contact details of doctors involved. </li></ul><ul><li>Other patients state on Twitter that they have suffered from complications involving the device using the #Nameofdevicescompany. </li></ul><ul><li>A sales rep of the company takes part in the discussions and admits to a patient that the device is perfectly safe for certain off-label uses discussed in the group, however the manufacturer never cleared it for that use for IP license constraints. </li></ul>

Each manufacturer shall establish and maintain procedures to ensure that all purchased or otherwise received product and services conform to specified requirements. (a) Evaluation of suppliers, contractors, and consultants. Each manufacturer shall establish and maintain the requirements, including quality requirements, that must be met by suppliers, contractors, and consultants. Each manufacturer shall: (1) Evaluate and select potential suppliers, contractors, and consultants on the basis of their ability to meet specified requirements, including quality requirements. The evaluation shall be documented. (2) Define the type and extent of control to be exercised over the product, services, suppliers, contractors, and consultants, based on the evaluation results. (3) Establish and maintain records of acceptable suppliers, contractors, and consultants. (b) Purchasing data. Each manufacturer shall establish and maintain data that clearly describe or reference the specified requirements, including quality requirements, for purchased or otherwise received product and services. Purchasing documents shall include, where possible, an agreement that the suppliers, contractors, and consultants agree to notify the manufacturer of changes in the product or service so that manufacturers may determine whether the changes may affect the quality of a finished device. Purchasing data shall be approved in accordance with 820.40.

Case: Insolvent Supplier (1) <ul><li>The device company and the supplier jointly fund the development of a tool to manufacture a specific component </li></ul><ul><li>The manufactured component is crucial </li></ul><ul><li>The supplier will own the tools and associated IP but: </li></ul><ul><ul><li>will only use the tool for the device company; or </li></ul></ul><ul><ul><li>grants the device company a perpetual, royalty-free licence of IP </li></ul></ul><ul><li>The supplier becomes insolvent </li></ul>

If any such delay exceeds ninety (90) days, either Party may at its option terminate this Agreement effective immediately by giving a written notice to the other Party. <ul><li>No clause (depending on the law applicable to the agreement – may contain more friendly rule) </li></ul><ul><li>The subcontractor shall not be held liable for any failure or delay in the performance of any of the obligations on its part to be performed hereunder, if and to the extent such failure or delay is caused by any cause or causes beyond reasonable control, reasonable control including possibility to deploy alternative solutions to remedy or limit the consequences of the circumstances causing the failure or delay in the performance. </li></ul>
