For $17,500.00 FLAT FEE*, we provide Silver services that includes the following:
✓ Provide quarterly reports to Board or stakeholders
✓ Draft any and all investor agreements associated with capital raise (Investor Rights
Agreement, Indemnification Agreement, Non-Compete Agreements, Non-Disclosure
Agreements, Management & Voting Rights Agreement, Subscription Agreement,
Stock Purchase Agreement, SAFE Agreements, Convertible notes or variations)
✓ Help complete paperwork with the applicable federal and state agencies
✓ File paperwork with the applicable federal and state agencies
✓ Advise on federal and state regulations and rules AND any updates during
representation
✓ Give practical business and legal advice on capital raising process
For a $22,000.00 FLAT FEE*, we provide Gold services that includes the following:
All Silver Services AND
✓ Review business plan and other corporate documents needed for capital raising
✓ Provide bi-monthly reports to Board or stakeholders
✓ Assist with conducting due diligence on investor qualifications
✓ Provide written legal opinions when necessary
✓ Draft PPM (Private Placement Memorandum)
For a $27,000.00 FLAT FEE*, we provide Platinum services that includes the
following:
All services mentioned in Silver and Gold services AND
✓ Attend investor meetings
✓ Provide monthly reports to Board or stakeholders
✓ Incorporate business into correct legal structure
✓ Meet with founders about the capital raising process
✓ Facilitate negotiations with investors on behalf of clients
✓ Review and negotiate term sheet
✓ Respond to any on-going requests from local, state or federal agencies with respect
to the offering we filed paperwork
*Flat fees do NOT include any fees or costs associated with representation, including but not limited
to, travel costs outside of metro-Atlanta 10 county area or filing fees. These fees and costs are
included separately in your retainer agreement. Flat fees also do NOT include any investment advice
which is a SEPARATE service and agreement.
