1. Section 13 and 14 of the Companies Act, deals with
provision of Alteration of Memorandum and Articles
of Association.
2. File with the ROC within 30 days of General Meeting:
a) Special resolution in E-form MGT- 14;
b) Altered MOA and AOA and Minutes of the
meeting in E-form INC-24.
3. As per Rule 29, Companies cannot opt for name if
there is default for:
a) Not filling annual return or financial statement
or any other document;
b) Failed to pay matured deposit/debentures or
interest thereon.

Post Name Change Aspects
1. Publish New Memorandum and articles along with
old and new COI
2. Apply for PAN/TAN Change
3. File documents with all departments such as GST,
IEC etc, Banks for name change
4. Company shall paint or affix or print, as the case
may be, along with its name, the former name or
names so changed during the last two years at its
registered office, Common seal (if any), letter
papers, business letters, bill heads, bills of
exchange, website and such other documents
governments may prescribe
