Tamil Nadu Newsprint and Papers Limited (TNPL) was incorporated in April 1979 as a Public Limited Company under the provisions of the Companies Act, 1956. The Registered Office of the company is situated at 67, Mount Road, Guindy, Chennai - 600 032. The factory is situated at Kagithapuram in Karur District of Tamil Nadu. The company is in the business of Manufacturing and Marketing of Newsprint and Printing & Writing Papers using bagasse (sugarcane waste) as the primary raw material. TNPL has planned to implement Enterprise Resource Planning (ERP) solution across all its functions. 2. TNPL invites sealed Bids for implementing a feasible and scalable Enterprise Resource Planning (ERP) solution across the company for all its business functions of Finance, Costing, Manufacturing, Materials Management, Marketing/Sales/Distribution, Human Resource/Payroll, Plant Maintenance, Projects and Quality/R&D. 3. The Bidder should be a reputed firm in India and meet the qualification criteria as detailed in Annexure –I. 4. A complete set of Bid (Tender) Document may be purchased by any interested bidder on i. The Core Team has dedicated members representing the processes of Finance, Human Resource, Sales and Marketing, Procurement & Inventory, Maintenance, Quality and all units of Production. Apart from the Core Team there are Business Team members from respective functions, who are the process owners. The ERP Project Management team has the representation of all functional Heads, Core team, Consultant (Deloitte) and reviews the ERP Project on fortnightly basis. The Steering Committee comprises of the Senior Management at TNPL, Functional Heads, ERP Project Manager and the Consultant (Deloitte). TNPL - Maker of bagasse based eco-friendly paper Page 3 of 8

The expected number of User Licenses are 490 ERP users and in addition the other sub systems users will be employee payroll, employee self service portal, Internet based Customer Portal, Internet based Vendor Portal, Product Mix Optimizer and Business Intelligence. The details of these users will be available in the tender. 9. The bidding process will be open to any ERP Implementation Partner who will be able to supply & install all of the following. i. ERP Product and related software licenses ii. ERP implementation services, including related process improvements, data conversion, Interfaces, customizations etc The Bid approach is a Combined Approach as detailed below. • Implementation Partner (IP) as the Leader. • Bid Members (Implementation Partner, ERP product vendor) • ERP Implementation Partner is eligible to submit only one bid and should quote with only one ERP Product The process of the selection of ERP product & Implementation Partner (IP) is as follows • Bidders will submit Technical/Commercial Bid & Price Bid • Technical/Commercial Evaluation • Price Bid on Total cost of ownership (TCO) for 5 years for technically qualified bidders 10. The evaluation of responsive bids shall be done in 3 stages: i. Stage-I: Response to Mandatory Requirements/ Qualification Criteria. These are mandatory requirements to be met by the Implementation partner & ERP product vendor. Only those bidders who meet all the mandatory requirements shall be considered for stage II evaluation. ii. Stage-II: Evaluation of Technical Bid & Commercial Bid Technical bid and Commercial bid of the vendors who are qualified against stage-I shall be opened and evaluated for acceptability/performance of technical suitability and commercial terms. The bidders should meet the commercial conditions as defined in the bidding documents. Offers with deviation from the clauses laid down in the Tender or imposing condition other than the tender document are liable to be rejected. iii. Stage–III: Evaluation of the Price Bid 1. Bidders clearing the Stage II of evaluation will have their Price Bids opened. 2. Total cost of ownership (TCO) will be calculated by adding Total Bid Price 3. The bidder whose bid has lowest TCO will be considered as successful bidder. 11. Implementation of ERP Solution for TNPL      Annexure – I Annexure – I: QUALIFICATION CRITERIA FOR ERP SYSTEMS The following are the mandatory requirements for ERP product & ERP Implementation Partner. Implementation of ERP Solution for TNPL        Implementation Capability (Implementation Partner) 1 Globally respected IP The offered ERP product must have been implemented by Implementation Partner (IP) at 5 installations globally (excluding India) 2 Implementation in India The IP should be Preferred Implementation Partner of the proposed ERP software. The offered ERP product must have been implemented by IP in India for a company for 400 or more named ERP user and the value of the ERP implementation should be more than 3 Crores INR. 3 Implementation in Paper The offered ERP product must have been implemented by IP in at least / process industry in two companies in Paper / process industry in India. India 4 Implementation in Public The IP should have implemented the offered ERP in at least one Public Sector. sector company in India with at least four modules out of Finance & Costing, Materials Management, Production, Sales & marketing, Human Resource, Projects, Marketing and Plant Maintenance. 5 Integration with non-ERP The IP should have integrated the offered ERP product with at least two application non-ERP applications out of Legacy applications viz., PPC, Deckle Optimizer, Bar code and Weigh Scale in at least one company. 6 Experience in Country The IP must have implemented Country specific version of the ERP specific version for India product with statutory requirements in at least one company with localization support in terms of taxes and duties specific to India. 7 Local presence The IP must have registered offices & offered ERP competency centre in India at least since last five years. 8 Experience of the The IP must have implemented offered ERP product for at least four Company customers in last four financial years ( 2006-07 / 07-08 / 08-09 / 09-10) 9 Team Profile At least one member in each of the modules of Sales and Marketing, Finance & Costing, Product and Materials Management, should have implemented the offered ERP product in Paper/Process industry. The Project Manager should have the Paper/Process ERP implementation experience mandatorily. 10 SEI CMMi Level 5 The IP should be SEI CMMi (Capability Maturity Model) level 5 certified. Implementation of ERP Solution for TNPL      Annexure – II Annexure – II: Scope of the ERP solution implementation i) General Scope: TNPL plans to implement an integrated ERP solution for its core functions for improvement in operation efficiencies with respect to the Sales, Marketing, Materials and Logistics functions, reduction of service cost and improved customer relations etc. TNPL needs to be fully geared to meet the existing/upcoming business challenges/ pressures that are likely to come very soon. With Mill Expansion Program (MEP) being launched within TNPL to meet the strategic objectives of 2011, the increase in production will have a direct impact on the operations of TNPL with respect to the sales, marketing and Supply Chain functions. TNPL’s financial information and systems requirements have increased dramatically in recent years. Increases in sales revenue, the number of external entities and efforts to align internal and external reporting information has contributed to these increased requirements. This requirement is expected to further increase in future with the expansion plans of TNPL. Therefore it is imperative that TNPL is fully geared to meet the fast increasing business/market demands while maintaining and enhancing the quality of service and achieving operational efficiencies. The scope of work primarily consists of: a. Providing and installing ERP package and related software licenses b. Implementation of ERP. c. Suggest suitable Hardware (Server & Network) specifications and assist TNPL in procurement of necessary Hardware to implement the ERP solution. TNPL has decided to focus only on the Implementation Partner and ERP Product Vendor in this bid. TNPL plans to go for a separate tender for the hardware procurement. The bidder will be responsible for implementation of an integrated ERP Solution. The bidder will nominate Project Director/ Program Manager, Project Manager and Track Leaders who will be responsible for managing the deliverables in their respective areas. Deloitte and Touche Consulting India Pvt. Ltd. have been retained by TNPL to provide Program Management Services during the implementation. TNPL intends to implement ERP in two phases in such a manner that it starts using certain modules from the date of first go live. The details of the Implementation are as below.
