This information is provided for your review and potential involvement with Virtual FX Escrow Facility -
Fund Transfer Services.
The following synopsis/proposal for involvement is submitted for your review, positive consideration and
timely implementation.
Proposal for Involvement.
Virtual FX provides Discount FX Exchange, Fund Transfer Services and Electronic Payment Systems
exclusively to Prequalified Brokers and their Corporate Clients.
Prequalified Brokers and their Corporate Clients have access to Virtual FX Rendered Services to process
payments for their goods and services.
VIRTUALFX-ACCESS CASH NOW PROGRAM (VFX-ACNP) (Summary of Services.)
1. VFX - Electronic Commerce Service Bureau. (ECSB). Debit/Credit Cards, E-Checks and Telepay.
2. VFX Escrow Facility - Global Fund Transfer Services. (FTS)
3 VFX - Discount Currency Exchange. (DCE)
4. VFX - Electronic Payment Systems for Business and Consumers. (EPS)
Biller Accounts, Electronic Funds Transfers, Wire Transfers, Pre Authorized Debits, Payroll Services.
5. VFX - Merchant Credit Card Processing Resources. (MCCPR)
6. Access Cash Now Stored Value Cards.
Procedure for Involvement.
1. Submit Request for Involvement for Prequalification
2. Submit Corporate Profile, Executive Summary of Products and/or Services.
3. Referral to Processing Centre for fulfillment of Prequalified Request.
4. Execute the VFX Escrow Facility Activation Documentation.
5. Assignment to VFX Escrow Facility Service Provider.
6. Set up and Implementation Budget. (TBA – Minimum: US$2500.00) deducted from first disbursement.
All terms, conditions and intermediary compensation will be negotiated as outlined in the Virtual FX-
Escrow Facility - Fund Transfer Services Agreements:
Minimum Contract Period will be for six months with options to renew for further six months periods.
Contract may be terminated by either party giving ninety (90) days written notice; except in the event of a
breach of Virtual FX Resource Partners terms and conditions.

MUTUAL CONFIDENTIALITY AGREEMENT
THIS AGREEMENT is
between __________________________________________, (hereinafter referred
to as “Company” and Virtual FX, 8400 Jane Street, Suite #203, Concord, Ontario,
Canada, L4K 4L8 (hereinafter referred to as (“Virtual FX”).
RECITALS:
1. Company and Virtual FX are interested in pursuing discussions regarding a
business arrangement involving Company and Virtual FX, its Funding and
Resource Partners.
2. In the course of these discussions it may become necessary for each party to
disclose to the other certain marketing, sales, technical and financial data
which they possess relating to their respective products/services and process.
Such data, which is proprietary and of significant commercial value, together
with analyses, compilations, studies or other documents or records which
contain or otherwise reflect or are generated from such data, is hereinafter
called “Confidential Information”.
3. The Confidential Information contemplated herein may be disclosed to a party
not only in writing or other tangible form but in part through discussions
between their respective representatives, demonstrations, observations, and
by other intangible methods.
4. The sole purpose of such disclosures by each party of Confidential Information
is to enable the other party to evaluate the Confidential Information and to
assess its interest in and the feasibility of proceeding further with a mutually
beneficial business arrangement.
IN CONSIDERATION of the disclosure of such Confidential Information (whether
disclosed before or after the date of this Agreement), and as a condition to such
disclosure, we agree that:
1. Company and Virtual FX , their employees, agents and those otherwise under
the control, shall not for a period of five years from the effective date of this
Agreement, disclose to any third party any Confidential Information, and shall
not use any Confidential Information of the other party for their own benefit
(except as expressly set forth above) or the benefit of any third party,
without the express written consent of the party owning such Confidential
Information, except when, and the extent that:
(a) Any or all of the Confidential Information to be used or disclosed was
known by the party to whom it was disclosed (other than on a
confidential basis at the time of its disclosure to that party), and that

party’s knowledge thereof is demonstrated by competent evidence
which evidence shall be finished at the request of the party owning
such Confidential Information; or
(b) Such Confidential Information disclosed to a party is or later becomes
generally available to the public through no fault of such party; or
(c) Such Confidential Information which, either before or after the date of
the disclosure to a party, is given to that party other than on a
confidential basis by a third party having the lawful right to do so;
provided, however, that no patent license or patent immunity is
hereby implied under such exceptions (a), (b), (c), or (d), and further
provided that specific Confidential Information disclosed to a party
pursuant hereto shall not be deemed to be within any of the above
three exceptions merely because it is embraced by more general
information within one of said exceptions; or
(d) Such Confidential Information is independently developed by the
receiving party without violating its obligations under this Agreement.
2. Each party shall employ reasonable precautions so that all persons having
access through them to any Confidential Information shall take no steps
inconsistent with the terms of this agreement.
3. This Agreement may be terminated by either party upon 60 days written
notice to the other provided that the obligations of both parties with respect
to previously disclosed Confidential Information shall survive such
termination. In such event or at any time during the five-year period
following a disclosure, a party may request, and the other party shall return,
all Confidential Information provided to it by the other party, including all
copies, in whatever form contained, except for the right to retain one archival
copy in the event of a dispute.
4. This Agreement constitutes the entire Agreement between Company and
Virtual FX regarding its subject matter, superseding all other oral and written
Confidentiality Agreements between them.
5. This Agreement shall be governed by, interpreted and construed in
accordance with the laws of the Province of Ontario.
6. Neither party has any obligation under this Agreement to purchase any
service or items from the other or to offer for sale or to sell any products
using or incorporating the Confidential Information.

7. Delay or failure to exercise any right or remedy hereunder shall not impair
such right or remedy or be construed as a waiver thereof or as acquiescence
in a breach of this Agreement. Any single or partial exercise of any right or
remedy shall not preclude any other further exercise thereof or the exercise
of any other right or remedy.
8. The parties understand and agree that money damages would not be a
sufficient remedy for any breach of this Agreement and that the non-
breaching party shall be entitled to specific performance and injunctive relief
as remedies for any such reach. Such remedy shall not be deemed to be the
exclusive remedies for a breach of this Agreement but shall be in addition to
all other remedies available at law or in equity. In the event suit or action is
commenced to enforce or interpret any provisions of this Agreement, the
prevailing party will be entitled to recover its costs, including reasonable
attorney fees, from the other party, including those incurred in any appellate
proceedings.
IN WITNESS WHEREOF, the parties have caused this mutual Confidentiality
Agreement to be executed by their duly authorized representatives, effective the
date last below written.
