    10. Franchise Network Partnership Program (FNPP) Reseller Requirements Reseller: The P artner s hould advertis e, promote and extend the s ales of N-Tradings P roduct Line. This endeavor s hould include active participation at trade s hows and distribution of C ompany s upplied promotional literature to pros pective cus tomers . • W here practical, the P artner will permit N-Trading’s web s ite to be linked to the P artner's webs ite, and will ins tall and maintain the required hyperlink. W here practical, N-Trading will permit the P artner's web s ite to be linked to N-Trading’s web s ite, and will ins tall and maintain the required hyperlink. • E ach year, P artner will provide N-Trading with a busines s plan that s hould include, but not be limited to, the following: o a quarterly forecas t of P artner’s expected overall purchas es over the following quarter, indicating the total number of P roducts to be purchased and if applicable, broken down by part number; o a delivery s chedule for the above-mentioned purchas es ; o a forecas t of P artner’s expected projects over the next 12 month period; o sugges tions , if any, as to new applications ; and o sugges tions , if any, as to ways in which the P roducts may be improved. • E ach quarter, the P artner will deliver to N-Trading a sales and forecas t report s howing actual s ales of the P roducts made in the prior quarter and a forecast of anticipated sales of the P roducts over the next six months . S uch report will include but not be limited to the following (xiv)all cus tomer names , addres s es , and contact names , (xv)a lis t of all P roducts s old by P artner and the corres ponding cus tomer who purchas ed s uch P roducts , (iii) a current inventory of P roduct.N-Trading is a subsidiary of NWorks G roup C opyright © 2008 - http:/ www.nworksgroup.biz /

Franchise Network Partnership Program (FNPP) Reseller Requirements R es eller: • The P artner s hould provide technical s upport and us e its bes t efforts to ens ure cus tomer satis faction with the P roduct and provide ass istance to cus tomers for s tandard warranty s ervice for the P roduct. N- Trading’s s tandard warranty will be offered to the cus tomer, and will be administered by the P artner. The P artner s hould provide s upport for cus tomers including a help des k. The P artner s hould maintain a problem management sys tem that tracks customer requests / problems . The P artner mus t notify N- Trading of any problems which arise with res pect to the P roduct and any resolutions thereto, together with any modifications , des ign changes or improvements of the P roduct that has been s ugges ted. • The P artner mus t ens ure that its pers onnel is adequately trained in ins tallation s ervice and s upport of the P roducts , us ing training courses and training material to be provided by N-Trading. • N-Trading may, but is not be required to, furnis h the P artner with models of its P roduct, or demons tration materials relating to its P roduct. S hould N-Trading furnis h its P roduct to the P artner, the P roduct will remain the property of N-Trading, and will be returned by the P artner to N-Trading upon its reques t. • The P artner will not promote, s ell, market or s olicit for s ale, directly or indirectly, products from competing manufacturers in the targeted territory. • The P artner is entitled to purchas e the P roduct at a dis counted price in exchange for providing marketing, s ales and s upport s ervices that typically will include commis s ioning, national licens ing (where required), training in the us e of the P roduct, application support and any other s ervices that may be reas onably required to as s ure cus tomer s atis faction. • The P artner is entitled to res ell the N-Trading ata subsidiary of NWorks G roup , at its s ole dis cretion P roduct is s uch price as it determines C opyright © 2008 - http:/ www.nworksgroup.biz /

Franchise Network Partnership Program (FNPP) Representative Requirements Representative: • The Partner should actively promote the sale of the Products to the customers that are identified. • The Partner should find purchasers for the Products. • The Partner should advise N-Trading of additional and/or modified requirements, including pertinent specifications, of the customers relating to the Products. • The Partner should participate with N-Trading representatives in negotiations with the customers and its rendering such other assistance and services of a similar nature which N-Trading may request it to perform prior to and following the execution of a contract between N-Trading and the customers. • The Partner on succeeding in finding a purchaser will communicate with N-Trading so as to permit N-Trading to conclude a contract of sale with the purchaser. • The Partner has no authority to negotiate or conclude any contracts on behalf of N-Trading. • The Partner agrees to supply N-Trading with appropriate advance and current information with respect to procurements, both advertised and invitationally negotiated. The Partner also undertakes to provide continuing liaison with the customers after contract awards. • The Partner will not market, promote or otherwise represent any other company’s product which N- Trading, in its sole opinion, considers to be competitive with any of the Products or the marketing of which N-Trading considers might interfere with the sale or distribution of any of the Products N-Trading is a subsidiary of NWorks G roup C opyright © 2008 - http:/ www.nworksgroup.biz /
