  • 3. CONFIDENTIALITY
  • 4. DEFINITION
    Confidentialityis an ethical principle associated with several professions (e.g., medicine, law). Confidential business information is generally protected as a trade secret if it has commercial value for the owner, is not generally known or readily ascertainable by the public, and if the owner has made reasonable efforts to keep it secret.
  • 5. HOW TO MANAGE?
    Privacy makes everything else possible. If you're not safeguarding the privacy of your clients, you're providing them no service at all. If your client can't trust your silence, they won't work with you.
    Negotiating separate confidentiality arrangements with each client can become quite complicated; it's often much simpler to treat all your clients equally with high standards. In order to do that, you will need a CONFIDENTIALITY AGREEMENT, and ALWAYS include it as a part of the contract.
  • 6. CONFIDENTIALITY AGREEMENT is and important document to preserve the confidentiality of your clients and your client list.  Contains weighty provisions with a powerful deterrent to discourage employees from attempting to solicit your clients for personal gain, directly or indirectly, either during their tenure or following termination of their employment.
  • 7. The parties agree to keep all confidential information in relation to the business of the other confidential during and after the term of the agreement. This clause will not apply to:

(a) any information which has been published other than through a breach of this agreement;

(b) information in the possession of the recipient party before the disclosure under this agreement took place;

(c) information obtained from a third party who is free to disclose it;

(d) information which a party is required by law to disclose.
  • 8. WHY IS IMPORTANT?
    Two relationship outcomes important to advertising agencies are:
    building clients’ trust: as agencies earn their clients’ trust, interactions become more productive and clients become more committed to their agencies.
    receiving current information from clients about their operations and future plans.
