RE 360 LLC A Total Real Estate Perspective “Truly successful decision making relies on a balance between experience and instinctive thinking.”   WHO  WE  ARE     • RE  360  is  a  partnership  of  two  senior  executives  in  the  retail  sector  that  have  combined   their  core  expertise  to  assist  investors,  lenders,  retailers  and  owners  with  the   evaluation,  acquisition,  asset  management,  strategic  direction  and  disposition  decisions   required  to  maintain  and  create  value  and  mitigate  risk     • Our  long  track  record  of  successes  in  the  development,  ownership,  store  selection  and   operations  disciplines  gives  us  a  unique  perspective  in  the  strategic  and  tactical   evaluation  of  real  estate  assets     • Alan  Barocas  is  the  founder  and  chief  executive  of  AJB  Associates,  an  Atlanta  based   consulting  firm.    Their  client  list  has  included  Calvin  Klein,  Under  Armour,  Vornado,   Advent  International  and  New  York  and  Co.,  among  others.    Prior  to  founding  AJB   Associates,  Alan  was  the  Sr.  Vice  President  of  Corporate  Real  Estate  for  GAP  Inc.,  the   world’s  largest  specialty  retailer.           • Joel  Murphy  is  the  founder  and  chief  executive  of  Murphy  Capital  and  Advisory  Group   LLC,  an  Atlanta  based  acquisition  and  consulting  firm.    Prior  to  founding  Murphy  Capital   and  Advisory  Group,  Joel  was  the  President  of  the  Retail  Division  of  Cousins  Properties   Incorporated,  a  leading,  publicly  traded  diversified  real  estate  company  with  extensive   experience  in  the  development,  acquisition,  financing,  asset  management  and  leasing  of   retail,  office,  multi-­‐family  and  land  development  projects.       WHAT  WE  DO     Ours  is  a  unique  approach  that  combines  both  the  retailer  and  owner  perspectives  in  the   evaluation  of  existing  shopping  center  assets,  portfolios,  and  organizations.      This  collaborative   perspective  gives  all  project  and  portfolio  constituencies  a  360°  view  of  the  present  and  future   possibilities  for  a  particular  asset,  portfolio  or  organization  and  specific  strategic  and  tactical   plans  designed  to  achieve  the  desired  results.            
  2. 2.   Core  competencies:     • Provide  strategic  and  tactical  due  diligence  for  acquisition  decision-­‐making  relating  to  a   single  asset  or  a  portfolio.     • Asset  and  portfolio  evaluation  including  related  capital  structures  and  provide  guidance  and   options  available  to  maximize  profitability  and  mitigate  risk.     • Evaluate  the  existing  tenant  base  from  various  perspectives  including  position  in  the   market,  productivity  and  stability.    Our  extensive  industry  relationships  and  network   provide  specific  and  valuable  insight  as  to  the  desirability  of  the  center  and  its  likely  future   trajectory.     • Leasing  document  review  to  determine  risk  and  areas  of  strength  and  leverage  to  assist  in   the  creation  and  implementation  of  a  strategic  plan  for  the  center  or  for  the  portfolio.     • Review  the  characteristics  of  the  center  or  portfolio  from  a  senior  retail  executive’s   perspective  on  the  strengths  and  weaknesses  that  exist  which  will  be  incorporated  into  the   strategic  plan.     • Provide  recommendations  of  functional  experts  who  have  a  track  record  of  excellence  and   can  assist  the  owner,  lender  or  financial  partner  with  tactical  expertise  to  execute  the  plan   (leasing,  asset  management,  property  management,  debt  and  equity  financing).     • Evaluation  of  current  ownership’s  personnel  and  approach  to  determine  capabilities  and   ability  under  current  circumstances  to  execute  successfully.       WHY  WE  ARE  DIFFERENT       • Dedicated  advisory  team  of  industry  veterans  with  deep  experience  on  “both  sides  of   the  aisle”     • Substantial  long  term  industry  knowledge,  relationships  and  operating  expertise     • Shared  leadership  experiences  with  two  of  the  most  nationally  recognized   development/ownership  and  retail  organizations  -­‐-­‐  Cousins  Properties  Incorporated  and   Gap  Inc.     • Record  of  success  in  all  areas  of  retail  real  estate,  development  and  ownership     • Extensive  experience  in  all  US  and  Canadian  markets  
  3. 3.       OUR  VIRTUAL  TEAM     • RE  360  has  developed  a  team  of  virtual  partners  who  can  both  advise  and  execute  in   area  such  as:     o Capital  Allocation   o Portfolio  market  evaluation   o Legal   o Leasing   o Construction  and  Entitlement  Obtainment   o Asset/Property  Management       CAPABILITIES  OVERVIEW     • We  have  evaluated  over  1000  shopping  centers,  both  existing  and  proposed,  for  their   value  as  opportunities  for  the  largest  specialty  retail  company  in  the  world.     • We  have  evaluated  over  1000  locations  for  the  development  of  power,  lifestyle  and   neighborhood  centers  and  developed  and  operated  over  10  million  square  feet  of   shopping  center  and  mixed  use  space.       • We  have  developed  the  leasing  guidelines  and  been  involved  in  the  lease  negotiation  for   over  700  retail  sites  and  have  a  thorough  knowledge  of  the  key  issues  which  maximize   profitability  and  mitigate  risk,  on  both  the  landlord  and  retailer  sides.     • We  created  the  idea  and  led  execution  by  the  team  of  the  design,  layout  and  leasing  of  a   cutting  edge  lifestyle  concept  for  one  of  the  pre-­‐eminent  REIT’s  in  the  country.     • We  have  a  thorough  working  knowledge  of  the  pro  forma  components  of  both  the   owner  and  the  retailer.    This  provides  us  with  the  ability  to  maximize  profitability  and   mitigate  risk.    This  includes  a  firm,  experienced  understanding  of  the  operating   assumptions  inside  Argus  and  other  financial  modeling  software  and  the  ability  to  make   experienced  market  calls  with  respect  to  those  key  assumptions.     • We  have  worked  with  all  the  major  shopping  center  REITS  and  are  familiar  with  their   strategies  which  allow  us  to  address  retailers  from  a  perspective  that  is  not  foreign  to   them.    
  4. 4. • We  have  worked  with  all  of  the  major  national  and  regional  retailers  and  enjoy  high   level  relationships  with  senior  executives  of  these  companies.     • Commissioned  by  one  of  the  largest  REITs  in  the  country  to  evaluate  the  Indian  market   and  their  shopping  center  industry  from  an  American  retailers  perspective.     • We  have  been  involved  with  the  quality  evaluation  of  multiple  real  estate  portfolios  for   the  investment  community.     • Have  assisted  private  equity  firms  in  the  evaluation  of  potential  retail  targets.    This   included  a  quality  evaluation  of  the  malls  and  shopping  centers  occupied  by  the   targeted  retailer.     • Have  assisted  a  national  retailer  in  decisions  related  to  securing  the  leases  of  a  large   retail  chain  in  liquidation.     • Have  assisted  a  well-­‐capitalized  hedge  fund  in  the  strategic  and  functional  due  diligence   for  the  acquisition  of  a  center  by  engaging  in  direct  conversations  with  the  major   retailers  anchoring  the  targeted  acquisition  and  determine  market  assumptions  to  be   used  in  their  acquisition  financial  model.     • Engaged  by  one  of  the  largest  bank  holding  companies  in  Georgia  to  assist  in  their   evaluation  of  property  securing  one  of  their  commercial  real  estate  loans  and  make  a   recommendation  as  to  a  “go  or  no  go”  decision  related  to  the  development.     • Engaged  by  a  privately  held  real  estate  investment  firm  to  assist  in  their  pursuit  of  the   acquisition  of  a  large,  complex,  mixed  use  project  including  retailer  discussions  and   vetting  of  the  financial  acquisition  model  as  well  as  conceptualization  of  a  go-­‐forward   strategic  and  tactical  leasing  and  asset  management  turnaround  plan  for  the  asset.
