  14. 14. YOUR OBLIGATIONS.<br />Applicable laws and this Agreement<br />You must comply with all applicable laws, the Agreement, as may be amended from time to time with or without advance notice, and the policies and processes explained in the following sections:<br />

OUR RIGHTS AND OBLIGATIONS.<br />Services Availability.<br />For as long as LinkedIn continues to offer the Services, LinkedIn shall provide and seek to update, improve and expand the Services. As a result, we allow you to access LinkedIn as it may exist and be available on any given day and have no other obligations, except as expressly stated in this Agreement. We may modify, replace, refuse access to, suspend or discontinue LinkedIn, partially or entirely, or change and modify prices for all or part of the Services in our sole discretion. All of these changes shall be effective upon their posting on our site or by direct communication to you unless otherwise noted. LinkedIn further reserves the right to withhold, remove and or discard any content available as part of your account, with or without notice if deemed by LinkedIn to be contrary to this Agreement. For avoidance of doubt, LinkedIn has no obligation to store, maintain or provide you a copy of any content that you or other Users provide when using the Services.<br />

CALIFORNIA LAW AND ARBITRATION.<br />Choice of Law.<br />Except for any Disputes relating to intellectual property rights, obligations or any infringement claims, any disputes with LinkedIn arising out of or relating to the Agreement (“Disputes”) shall be governed by California law regardless of your country of origin or where you access LinkedIn, and notwithstanding of any conflicts of law principles and the United Nations Convention for the International Sale of Goods.<br />Agreement to Arbitrate and Pay Attorneys’ Fees.<br />Any Disputes shall be resolved by final and binding arbitration under the rules and auspices of the American Arbitration Association, to be held in San Francisco, California, in English, with a written decision stating and legal reasoning issued by the arbitrator(s) at either party’s request, and with arbitration costs and reasonable documented attorneys’ costs of both parties to be borne by the party that ultimately loses.<br />

Special Provisions Applicable to Developers/Operators of Applications and Websites If you are a developer or operator of a Platform application or website, the following additional terms apply to you:You are responsible for your application and its content and all uses you make of Platform. This includes ensuring your application or use of Platform meets our Developer Principlesand Policies and our Advertising Guidelines.<br />Your access to and use of data you receive from Facebook, will be limited as follows:<br />You will only request data you need to operate your application.<br />You will have a privacy policy that tells users what user data you are going to use and how you will use, display, share, or transfer that data and you will include your privacy policy URL in the Developer Application.<br />You will not use, display, share, or transfer a user’s data in a manner inconsistent with your privacy policy.<br />You will delete all data you receive from us concerning a user if the user asks you to do so, and will provide a mechanism for users to make such a request.<br />You will not include data you receive from us concerning a user in any advertising creative.<br />You will not directly or indirectly transfer any data you receive from us to (or use such data in connection with) any ad network, ad exchange, data broker, or other advertising related toolset, even if a user consents to that transfer or use.<br />You will not sell user data.  If you are acquired by or merge with a third party, you can continue to use user data within your application, but you cannot transfer user data outside of your application. <br />We can require you to delete user data if you use it in a way that we determine is inconsistent with users’ expectations.<br />We can limit your access to data.<br />You will comply with all other restrictions contained in our Developer Principles and Policies.<br />You will not give us information that you independently collect from a user or a user's content without that user's consent.<br />You will make it easy for users to remove or disconnect from your application.<br />You will make it easy for users to contact you. We can also share your email address with users and others claiming that you have infringed or otherwise violated their rights.<br />You will provide customer support for your application.<br />You will not show third party ads or web search boxes on Facebook.<br />We give you all rights necessary to use the code, APIs, data, and tools you receive from us.<br />You will not sell, transfer, or sublicense our code, APIs, or tools to anyone.<br />You will not misrepresent your relationship with Facebook to others.<br />You may use the logos we make available to developers or issue a press release or other public statement so long as you follow our Developer Principles and Policies.<br />We can issue a press release describing our relationship with you.<br />You will comply with all applicable laws. In particular you will (if applicable):<br />have a policy for removing infringing content and terminating repeat infringers that complies with the Digital Millennium Copyright Act.<br />comply with the Video Privacy Protection Act ("VPPA"), and obtain any opt-in consent necessary from users so that user data subject to the VPPA may be shared on Facebook.  You represent that any disclosure to us will not be incidental to the ordinary course of your business.<br />We do not guarantee that Platform will always be free.<br />You give us all rights necessary to enable your application to work with Facebook, including the right to incorporate content and information you provide to us into streams, profiles, and user action stories.<br />You give us the right to link to or frame your application, and place content, including ads, around your application.<br />We can analyze your application, content, and data for any purpose, including commercial (such as for targeting the delivery of advertisements and indexing content for search).<br />To ensure your application is safe for users, we can audit it.<br />We can create applications that offer similar features and services to, or otherwise compete with, your application.<br />

In order to do that, you agree to the following:You can use your privacy settings to limit how your name and profile picture may be associated with commercial, sponsored, or related content (such as a brand you like) served or enhanced by us. You give us permission to use your name and profile picture in connection with that content, subject to the limits you place.<br />We do not give your content or information to advertisers without your consent.<br />You understand that we may not always identify paid services and communications as such.<br />

License and warranty for your submissions to LinkedIn.<br />You own the information you provide LinkedIn under this Agreement, and may request its deletion at any time, unless you have shared information or content with others and they have not deleted it, or it was copied or stored by other users. Additionally, you grant LinkedIn a nonexclusive, irrevocable, worldwide, perpetual, unlimited, assignable, sublicenseable, fully paid up and royalty-free right to us to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze, use and commercialize, in any way now known or in the future discovered, any information you provide, directly or indirectly to LinkedIn, including but not limited to any user generated content, ideas, concepts, techniques or data to the services, you submit to LinkedIn, without any further consent, notice and/or compensation to you or to any third parties. Any information you submit to us is at your own risk of loss as noted in Sections 2 and 3 of this Agreement.<br />
