  • 4. 4 The FlexKom Marketing Plan FlexKom “4-Phase- Hybrid System” Our “4-phase hybrid system” has the highest incomes at all levels, making it one of the most lucrative business models in existence. Some income is also possible WITHOUT team building which is unique. The incomes: 1 Direct customers commission 2Direct commissions on the turnover of introduced coordinators 3 Differentiation commissions from team and customers turnover 4 Generation bonus of customer turnover from the team 5 Special incentives such as car-bonus, international training etc. Simple and clear career qualifications achievable by everyone. Each coordinator has the same opportunities regarding personal income and growth. The business model is designed so that the turnover of you and your group, (including online transactions), continually pay commissions. This will be calculated using product value. FlexKom offers a revolutionary platform which connects local retailers and customers and further connects both to classical trade and the biggest threat to retailers namely e-commerce. Within FlexKom coordinators can generate income in several ways: 1 Online recommending products to potential customers worldwide. 2 Establishing their own national and/ or international coordinator team which in turn builds its own local branch system. 3 Personally introducing local retail business partners/branches. How is it possible to earn a passive income with FlexKom? With the customer as the main basis of our business, and bearing in mind the customers already exist, the FlexKom concept consists of four different concepts housed in one business model. FlexKom calls it the E-NDF system. Through the power and speed of the internet, this system can quickly establish a team to build, with independent traders (coordinators). Not every person is suitable to act as a coordinator within FlexKom. Therefore the selection meetings for the potential coordinators are totally free. After an information meeting by FlexKom a decision will be made whether the person may purchase a licence for the E-NDF system. The person should receive training and receive a certificate of attendance. The coordinator, who purchases a Global Team Member Pack, should also acquire the training and certification to build a retail network. The coordinator informs and presents to retailers the benefits of the FlexKom concept thus building up their own retail network.   • 5. 5 The career positions are performance related, the position reflects your rate of TM-sales, shop sales, online retail and the central use of the FlexCard converts to a formula specified in the compensation plan. FlexKom earnings are in Real-Time. In order to achieve the position BD you must purchase a starting licence, the E-biz pack. The personal back office is provided with this pack. By purchasing an E-Biz licence, the BD can issue infinite loyalty cards, from which they will earn 5% commission; and will receive commissions again via all online portal recommendations from customers. A BD cannot build a team. For the TM position you should decide the which Business Pack suits you best to buy; whether you want to generate profits only through the online platform or via the offline platform (retail). The FlexKom Career Qualifications THE TM HAS 3 DIFFERENT WAYS TO BUILD THEIR BUSINESS Junior Team Member Business Pack 10% on all personally built retail customers, via giving their customers the FlexKom cards; but no retail certification possible. They can build a team nationally, they can introduce other TM’s including Global Team Members. With this investment is included the JTM training, customer cards, and all the online tools to promote their business. The FlexKom Compensation Plan Business Team Member Business Pack 15% on all personally built retail customers, via giving their customers the FlexKom cards; but no retail certification possible. They can build a team nationally, they can introduce other TM’s including Global Team Members. With this investment is included the BTM training, customer cards, and all the online tools to promote their business. Global Team Member Business Pack 20% on all personally built customers, is entitled to retail certification. GTM’s can build an international business. With this investment is included the GTM training, customer cards, and all the online tools to promote their business. It is possible to upgrade from JTM and BTM to GTM by the difference in price. This must however be within 30 days from the day the TM is registered into the system. If a BD buys their E-Biz licence and they want to generate earnings from a group. Then the BD has to purchase a JTM or BTM licence and if they are looking to introduce retail shops and/or build internationally they should purchase a GTM licence. Each Team Member Pack consists of: Two day training in a hotel, consisting of a whole day with technical explanations and a whole day sales training. FlexKom Customer Cards with Flex Money’s charged (e.g. GTM = 100 cards x 20 Flex money, equivalent value of 100 x €20 Euro = €2.000 Euro). The 20 FMB can only be used, after a cummulative of a minmum of 200 FMB is achieved. Certificate and Online Tools The value of the training and all other tools has a higher value as the purchase of a Team Member Pack.
  • 6. 6 The FlexKom Marketing Plan Regional team-building 6 The FlexKom Marketing Plan PHASE 1 Qualification Criteria For the MM position: 3 direct TM partners (can be any TM Pack). For the SM position: 3 direct MM partners. For the SD position: 3 direct SM partners. For the ND position: 5 SD’s from 5 different lines, the SD’s do not have to be directly introduced. For the PT position: 5 ND’s from 5 different lines, they do not have to be directly introduced. ** For all placements, to obtain the licences of the relevant TM all fees must be paid. FlexKom is a rare concept where partners are not obliged to build a team in order to qualify for the highest position in the Marketing Plan. The number of coordinators by region and city is however limited. This too is a rare feature, and thus distinguishes FlexKom completely from all Multi Level Companies. This means there is a predetermined number of potential retail in any given region or city. There is a finite number of GTM’s needed per area for that region to work. Once beyond this limited number there will be no more GTM partners allowed in this region. FlexKom is not a classic product based Network Marketing or Multi Level organization where members must recruit. The FlexKom business model lies more in the field of Direct Sales by having a team that builds a region. Building a team of coordinators is what FlexKom calls PHASE 1 and this stops after the required number of coordinators is achieved. For example: when a GTM has just one or more retailers and together they grow with just FlexKom customer cards 10,000 cards achieves MM with no team. Further growth is possible without a team as 50,000 cards reaches SM 100,000 for SD 500,000 for ND and 1,000,000 for PT.
  • 7. 7 The differentiation commission This commission is paid in accordance with your current career position and the position of your immediate partner and team. The differentiation commission is calculated on the entire TM FlexKobi and Flex Card turnover from your team. • From position of TM you earn 5% differentiation commission. • From MM you earn from turnovers of your direct TM-partners and their TM-partners a 5% differentiated commission. • From SM you earn from turnovers of your direct TM-partners and their TM-partners a 10% differentiated commission. From direct MM- partners and their team you will receive 5% differentiation commission. • From SD you earn from turnovers of your direct TM-partners and their TM-partners a 15% differentiation commission. From the team of direct MM-partners you will receive 10% differentiation commission. From the team of your direct SM-partners you will receive 5% differentiation commission. TM receives 5% commission on the turnover of a directly connected TM and FlexKobi/Card turnover. MM receives 10% commission on the turnover of a directly connected TM and FlexKobi/Card turnover. SM receives 15% commission on the turnover of a directly connected TM and FlexKobi/Card turnover. SD receives 20% commission on the turnover of a directly connected TM and FlexKobi/Card turnover. ND receives 25% commission on the turnover of a directly connected TM and FlexKobi/Card turnover. PT receives 30% commission on the turnover of a directly connected TM and FlexKobi/Card turnover. FlexKom direct commission from team-building • From ND you earn from turnovers of your direct TM-partners and their TM-partners a 20% differentiated commission. From the team of direct MM partners you receive a 15% differentiation commission. From the team of your direct SM partners you receive a 10% differentiation commission. From the team of direct SD partners you receive a 5% differentiation commission. • From PT you earn from turnovers of your direct TM-partners and their TM-partners a 25% differentiated commission. From the team of direct MM partners you receive a 20% differentiation commission. From the team of your direct SM partners you receive a 15% differentiation commission. From the team of direct SD partners receive a 10% differentiation commission. From the team of direct-ND partners you receive a 5% differentiation commission.

The generation bonus here is a share of 1% of their personal turnover and the turnover of the team of BD, TM, MM and SM partners. When a team from another partner reaches the same level or higher, this will become the second generation and you will receive a share of 2% of their personal turnover, and the turnover of their team of BD, TM, MM and SM partners. When a team from another partner reaches the same level or higher this will become the third generation and you will receive a share of 3% of their personal turnover, and the turnover of their team of BD, TM, MM and SM partners. • From the ND level you will receive a generation bonus from your down line when a partner reaches the ND level or higher. The generation bonus here is a share of 1% of their personal turnover and the turnover of the team of BD, TM, MM, SM and SD partners. When a from another partner reaches the same level or higher this will become the second generation and you will receive a share of 2% of their personal turnover and the turnover of their team of BD, TM, MM, SM and SD partners. When a team from another partner reaches the same level or higher this will become the third generation and you will receive a share of 3% of their personal turnover and the turnover of their team of BD, TM, MM, SM and SD partners. When a team from another partner reaches the same level or higher this will become the fourth generation and you will receive a share of 4% of their personal turnover and the turnover of their team of BD, TM, MM, SM and SD partners. • From the PT level you will receive a generation bonus from your down line when a partner reaches the same level. The generation bonus here is a share of 1% of their personal turnover and the turnover of the team of BD, TM, MM, SM, SD and ND partners. When a team from another partner reaches the same level this will become the second generation and you will receive a share of 2% of their personal turnover and the turnover of their team of BD, TM, MM, SM, SD and ND partners. When a team from another partner reaches the same level this will become the third generation and you will receive a share of 3% of their personal turnover and the turnover of their team of BD, TM, MM, SM, SD and ND partners. When a team from another partner reaches the same level this will become the fourth generation and you will receive a share of 4% of their personal turnover and the turnover of their team of BD, TM, MM, SM, SD and ND partners. When a team from another partner reaches the same level this will become the fifth generation and you will receive a share of 5% of their personal turnover and the turnover of their team of BD, TM, MM, SM, SD and ND partners. The generation bonus is based on the turnover of the team partners at the same or higher level. This is paid out from the turnover of their personal FlexShop, FlexKobi registrations, FlexCard turnover and the turnover from his team from FlexShop, FlexKobi registrations and FlexCard transactions. FlexKom Generation Bonus You will receive the generation bonus from the SM level, when one partner from your team has caught up with you or overtaken you. The generation bonus in this case is 1% of their personal turnover and the team turnover. When in this team another partner reaches the same level or higher, this will become the second generation and you will receive a share of 2% of their personal turnover and the team turnover.
  • 9. 9 • From the SM level you are entitled to the FlexCar bonus when you have 3 separate TM-lines (or higher) generating €5,000/month turnover from each line. • From the SD level you are entitled to the FlexCar bonus when you have 3 separate TM-lines (or higher) generating €7,000/month turnover from each line. • From the ND level you are entitled to the FlexCar bonus when you have 5 separate TM-lines (or higher) generating €10,000/month turnover from each line. • From the PT level you are entitled to the FlexCar bonus when you have 5 separate TM-lines (or higher) generating €20,000/month turnover from each line. From PHASE 3 this qualification is available from FlexCard and FlexKobi turnover as described below: • From the SM level you are entitled to the FlexCar bonus when you have 3 separate TM lines (or higher) generating €50,000/ month turnover from each line from FlexCard and FlexKobi turnovers. • From the SD level you are entitled to the FlexCar bonus when you have 3 separate TM lines (or higher) generating €70,000/ month turnover from each line from FlexCard and FlexKobi turnovers. • From the ND level you are entitled to the FlexCar bonus when you have 5 separate TM lines (or higher) generating €100,000/ month turnover from each line from FlexCard and FlexKobi turnovers. • From the PT level you are entitled to the FlexCar bonus when you have 5 separate TM lines (or higher) generating €200,000/ month turnover from each line from FlexCard and FlexKobi turnovers. Note: You can also be paid for the FlexCar bonus if you drive a car not older than five years, you share with us the make and type, and you put a FlexKom logo sticker on your vehicle. (The options for payment and further information can be found in your back office under FlexCar bonus). The price is simplyfied by the standard in Germany FlexCar Bonus As an added incentive we offer our coordinators a unique FlexCar bonus. The FlexCar bonus is integrated into the FlexKom compensation plan for active partners as additional support and motivation for their FlexCard sales and customer development. You have no lease contract, no lease term but a rental car through one of our partners, (for non-EU countries the same conditions apply). The basis for calculation is applied to the currency of each country.
  • 10. 10 The FlexKom Marketing Plan The FlexKobi registration This is the turbo of the FlexKom concept, a unique royalty system for retailers. FlexKom provides retailers, enterprises, service providers and self-employed coordinators three unique advantages in a ready to go concept regarding customer loyalty and new customer potential. 1 Optimization and growth of the customer database to generate additional income. 2 Income from the customer database via the online business 24/7. 3 When a customer uses their FlexCard at another FlexKom affiliated company, the retailer earns on the purchases of this customer. The Power Bonus is specifically for new partners in the FlexKom compensation plan. It is for extra support to the coordinators in their first 90 days after they have purchased their licence. Power Bonus is flexible and is offered to the coordinators according to need of the country. With the Power Bonus there can also be additional incentives of commissions, and top class cars.   • 11. 11 At the end of each current year the partners receive (for the months qualified) this bonus in the following month. This bonus will be presented on stage during an event. QUALIFICATIONS SD: €7,000/TM line turnover or in phase three 3 lines generating €70,000 turnover from FlexCard and FlexKobi registrations in each line. ND: €10,000/TM line turnover or in phase three 5 lines generating €100,000 turnover from FlexCard and FlexKobi registrations in each line. PT: €20,000/TM line turnover or in phase three 5 lines generating €200,000 turnover from FlexCard and FlexKobi registrations in each line. From SD level you benefit from the total proceeds of the country in which you are registered. SD level 1% Country Pool Bonus ND level 2% Country Pool Bonus PT level 3% Country Pool Bonus The coordinator receives the bonus for the month in which they are qualified. This means that they are entitled to the country bonus for the month(s) when they met the qualification depending on turnover. FlexKom Country Pool FlexKom offers a bonus from the Country Pool from the Sales Director position. For example: a coordinator has achieved qualification for 9 out of 12 month’s turnover; they will get the Country Pool Bonus for the nine months of which they are entitled. 11
  • 12. 12 The FlexKom Marketing Plan The 24 hour FlexKom participation model With this unique concept, which has no competition, FlexKom provides all partners an opportunity for an additional income. This creates a turbo charged opportunity to generate thousands of new customers and with the business model all card issuers receive commission on all going sales. The customer Who receives cash back with all their Flex-shopping and with their FlexCard on their online account in the form of FlexMoney. They can use this in other Flex shops worldwide to go shopping without cash. FlexMoney is the internal currency and corresponds to the currency of the corresponding country, i.e. 1:1. The four winners of this concept are: FlexKom realises with the FlexKobi system, a dream of many people to generate a sustainable, passive income. It will take you anywhere - the baker, the butcher, the petrol pump, the retail store, the supermarket, the hardware store, the caterer. FlexKom is for everyone, a win-win dream for many people
  • 13. 13 The FlexKobi (retailer) Who issues the card, earns worldwide from the FlexCard turnover from their own customers. The FlexKobi can also generate revenue from the FlexKom site with new customers, so that its revenues can increase in multiple directions. The coordinator Will earn passive income for life. FlexKom Child Foundation FlexKom donates 10% (its share) of all worldwide earned discounts of turnover for charitable programs for children.
  • 14. 14 The FlexKom Marketing Plan14 The FlexKom Marketing Plan 1Income for FlexKobi: 20% of the distributable commission 2Income from the turnovers of the Global Team Members (GTM) a) Brokerage for introducing the FlexPos-system and FlexCard’s. b) Income of 20% on all directly introduced FlexKobi and their FlexCard turnovers via customer distributable commission. c) Depending on the career position of the personally introduced FlexKobi and FlexKobi from the team and from their total FlexCard customer turnover by distributable commission. 3In the career plan 51% of the distributable commission is paid. 4Income for the City Coordinator of the relevant city is 5% of the distributable commission. (Explanation: A City Coordinator is a Global Team Member who was one of the first to locally achieve the SD position. The number of SD’s by region/city can be found under “City Coordinator” in your back office). 5For Team Coordinators or special team activity, which can also be a particular incentive 4% of distributable commission is paid out. FlexCard customer receives 50%= €5 20%goes to FlexKom = €2 (expenses of the company, incentives and Flexkom Child Foundation) 30%= €3 goes to the business model (coordinator and retail commission) The FlexKobi business model provides passive income for and from the retailer and thus offers the FlexKom partners a stable income and the possibility of financial freedom. FlexKobi Commission Calculation example: a FlexKobi gives its customers the FlexCard, the customer goes shopping at another FlexKobi where they Spends €100. The FlexKobi gives a discount of 10% in the form of FlexMoney. This means that there will be €10 to be allocated;
  • 15. 15 The FlexKobi-City Coordinator FlexKom offers coordinators the option of an extra bonus as City Coordinator in order to achieve a certain performance within the region or city. This 5% bonus is calculated on the total turnover of all FlexCard customers in the region or city, and is paid to the City Coordinator. The numbers of City Coordinators are based on the number of inhabitants in the region or city. This special position is paid outside of the compensation plan. The City Coordinator receives special training and certification for optimum coordination of their region with the relevant Global Team Member (also cross line). This position is limited in number. To check the status of availability for City Coordinator positions for your region or city, go to your back office and to the section “City-Coordinator”. FlexKom guarantees an ethical and honest business for all GTM’s. The building of FlexKobi’s must meet clear coordination and organization requirements. All GTM’s have the same opportunities for the build-up of FlexKobi’s. You can check the status of the available GTM licences by going to your back office to view “GTM status”. A GTM does have the right to register a FlexKobi in another region. FlexKom attaches great importance to good education. Especially in building up FlexKobi’s using a proven FlexKom sales strategy which will be FlexKom limits FlexKobi build-up in the respective regions or cities. Therefore, ultimately there will be a limited number of GTM’s per area. FlexKom Region Protection for Global Team Member coordinated and monitored. FlexKom has gained in recent years, experience of what makes the lasting success of a GTM in any region possible. Before the beginning of Phase 3, all GTM’s will be trained and certified. After successful completion of the special FlexKobi training, participants receive the FlexKobi certificate and thus the right to put the FlexKobi system into the market. After the training, and at the appropriate time each region will be the divided with the implementation of the relevant City Coordinators with the certified GTM team. Note: Without appropriate certification and coordination with the corresponding City coordinator, a member may not build FlexKobi, it is absolutely forbidden. Any form of contact by unauthorized members with companies, entrepreneurs and associations for the FlexKobi system without permission of the City Coordinator may lead to termination and a possible compensation claim.   • 16. 16 The FlexKom Marketing Plan FlexKom Active Status For a member to earn any commission through the entire business model (Direct commission, Differentiation commission, Generation bonus, Country bonus and FlexCar bonus), they must have active status. The active status must be within the current month for the whole of the next month to be achieved. This is achieved with a personal purchasing transaction. This should be at least monthly euro 1 in our online or offline shop/merchant. This way the coordinator shows his loyalty to FlexKom. For new GTM’s the first two months are “free from active status”. For personal customers is no active status. Throughout phase 1 and 2, for a GTM to satisfy this criteria the registration of one TM partner is sufficient for active status. When a member achieves PT (President Team) they have lifelong active status. FlexKom Commission Payments The FlexKom payment system calculates online and in real-time your career position and commission. Our global transfer system is made through our international central bank, based on the current price of the $US dollar. Thus, differences can arise in commission payments from customers or TM’s registering. Bank transfers can take several days for the funds to be cleared, which is why the system has a 6 day waiting period for payment. Within this period, if career levels are reached; the commission is displayed in red. Once the payment is cleared in the accounts department, your career level and commission will be displayed in green and released. Your commission can be viewed in your back office under Flex Finance, and here also you can action transfers to your bank account or FlexKom Master Card. Please note the usual bank processing times. At the end of each month you can see in your back office a complete overview of your joint team commissions and customer turnover. From FlexKom Finance you can obtain a monthly receipt for tax. All commissions are fundamentally paid excluding VAT. GTM’s that provide a valid VAT number in their back office can receive the commission including VAT. (For other countries with legal provision in this respect FlexKom will abide by the provisions which prescribe to that country) The GTM is independently self- employed in relation to FlexKom. They are responsible for their own activities, and they agree to abide by their FlexKom GTM contract. FlexKom World Expansion FlexKom intends that within 5 years it will expand to 50 countries. For pioneers this presents enormous potential to use this success formula to earn from worldwide turnovers. Each expansion however has to be in accordance to the FlexKom proven coordinated process. It is therefore important not to form any promise of expectations for new countries outside of FlexKom’s own published and promoted plans. All counterproductive actions by members acting of their own volition that lead to a negative image of FlexKom, may lead to a claim for damages and withdrawal of their licence. The opening of a new country can only be approved by FlexKom when all preconditions are fulfilled such as general review, contract approval, general law, tax law, and obtaining permission for establishment and technical settlement thereof. All partners who qualify and have the correct status, receive training and education at their corresponding level. The passing of professional expertise and the exchange of information between management, FlexKom leaders and external trainers is very important to our shared success. FlexKom Incentive Program Alongside the enormous income potential there are also attractive Incentive Programs targeted for especially active GTM’s to reward and recognise their exceptional performance.
