The terms and conditions explain the nature and scope of the relationship betweenLoyalty Solutions & Research Pvt. Limited here in referred to as ―LSRPL‖ or"PAYBACK" (as owner and management for the program) and a member ofLSRPL‘s loyalty program and who is issued the PAYBACK card. The terms andconditions cover limitations and exclusions on the liability of LSRPL, PAYBACKand the PAYBACK partners.1 Definitions In these terms and conditions, unless the context specifies otherwise:1.1 "Earn Activity" means any activity, which results in accruing of PAYBACKpoints to a member.1.2 "LSRPL" shall mean Loyalty Solutions & Research Pvt. Limited a companyincorporated under the Indian Companies Act, 1956 and having its principal place ofbusiness at 4th & 5th Floors, Kabra Excelsior, #6A, 7th Main, 1st Block,Koramangala Industrial Layout, Bangalore—560 034 and such expression shall,unless it be repugnant to the subject or context thereof, include its successors, assigns,representatives and transferees.1.3 ―PAYBACK Card‖ means a PAYBACK multi partner loyalty program cardissued to a PAYBACK Member by LSRPL where a unique membership number isgiven to every PAYBACK member.1.4 ―PAYBACK Member(s)‖ means a PAYBACK customer, who is enrolled as amember of PAYBACK holding a valid PAYBACK card/membership number.Membership to the program is governed by these rules set by LSRPL for this programwhich are subject to change.1.5 ―PAYBACK Membership Account/ PAYBACK Membership‖ means the accountwhere the PAYBACK Members PAYBACK Points will be accumulated.1.6 ―PAYBACK Network― means all the PAYBACK Partners and PAYBACK for thetime being taken as a whole.1.7 ―PAYBACK Partner― means any or all of the present or future entities, partners,shops, departmental stores, airlines, hotels, restaurants, car rental companies and otherparticipating establishments in the program whether with online or offline presence, inagreement with LSRPL, where members can accumulate PAYBACK points forpurchase of goods and services.1.8 ―PAYBACK Point(s)― is the unit currency of the program. PAYBACK Membersare awarded PAYBACK Points for earn activities carried out by the PAYBACKMember within the PAYBACK network.1.9 ―PAYBACK Rewards― means the rewards as enlisted by the rewards supplier inthe PAYBACK Rewards Catalog as communicated from time to time.
1.10 ―PAYBACK Rewards Catalog― means the periodical rewards catalog issued andmaintained by LSRPL for the program, containing the PAYBACK Rewards currentlyavailable in the program and the number of PAYBACK Points required for them.1.11 ―Program‖ means the PAYBACK multi partner loyalty program, managed andoperated by LSRPL offering benefits, facilities or arrangements to PAYBACKMembers by reason of their membership into PAYBACK program, wherebyPAYBACK points are accumulated on every Earn Activity made by PAYBACKMembers within PAYBACK network and such PAYBACK points may be used bythe PAYBACK Member for redemption of PAYBACK Points through thePAYBACK Rewards Catalog and Redemption at PAYBACK Partners.1.12 "Redemption" means any activity, which results in exchange of PAYBACKPoints by a PAYBACK Member for PAYBACK Rewards at PAYBACK RewardsCatalog or at PAYBACK Partner1.13 ―Supplier― shall mean an independent third party responsible for the purchaseand sale of the PAYBACK Rewards to the PAYBACK Members.1.14 ―Working Days‖ means the period from Monday to Friday.Top2 General Conditions 2.1 The PAYBACK Member agrees that by using the PAYBACK Card or byentering his/her PAYBACK number at www.payback.in or at any PAYBACK Partneronline or offline, he/she is deemed to have read and understood the these terms andconditions of the Program and confirms that he/she is bound by these terms andconditions and any changes to it from time to time and such other terms as specifiedfrom LSRPL from time to time.2.2 Membership into PAYBACK Program is voluntary, open to all natural personsabove the age of 18 with a correct mailing address in India.2.3 LSRPL reserves the right to modify these Terms and Conditions and such changesshall be deemed effective immediately upon posting of the modified Terms andConditions on www.payback.in . Members‘ continued holding of the PAYBACKMembership Account following the posting of changes on www.payback.in willindicate their acceptance of changes.2.4 PAYBACK membership is valid for lifetime of the PAYBACK Member unlessterminated in accordance with these terms and conditions. In case of any membercarrying any old membership account carrying any expiry date, may exchange thecard with the new PAYBACK card having the lifetime validity at no extra cost.2.5 PAYBACK Membership Account is not a payment medium or paymentinstrument.
2.6 PAYBACK Membership is non-transferable, except as specified in this terms andconditions. PAYBACK Points are non-negotiable, nonredeemable by cash and cannotbe gifted, awarded or rewarded to any other person than the PAYBACK Memberhimself.2.7 PAYBACK Members will be personally liable for any and all costs, taxes,charges, claims or liabilities of whatever nature arising from the provision oravailability of benefits, facilities or arrangements provided or made available to aPAYBACK Member, by PAYBACK Partners, as a result of his/her membership inthe Program.2.8 The PAYBACK card at all times remains the property of LSRPL, which reservesthe right at any time in its absolute discretion and without giving notice to suchmember to deactivate the PAYBACK Membership. The PAYBACK Member mustreturn or destroy his/her PAYBACK card without delay whenever requested byLSRPL and in such circumstances cannot redeem the PAYBACK Points, which willautomatically expire2.9 LSRPL will endeavor to ensure that the services, benefits, facilities andarrangements as expressed or advertised by the PAYBACK Partners will be availableto the PAYBACK Members. However, LSRPL will not be liable for any loss ordamage, whether direct or indirect, arising from the provision or non-provisionwhether whole or part, of any such services, benefits, facilities or any otherarrangements by the PAYBACK Partners.2.10 When a PAYBACK Member seeks to use or obtain any of the services, benefits,facilities and arrangements as offered by the PAYBACK Partner, the provisions ofsuch services, benefits, facilities or arrangements will be subject to the respectiveterms and conditions of the PAYBACK Partner, being the provider of the saidbenefits, facilities and arrangements.2.11 LSRPL shall not be liable for any loss or damage, whether direct or indirect,resulting from termination or change of the Program or any of its facilities, benefits orarrangements which are made available to the PAYBACK Members, includingwithout limitation, PAYBACK Partners withdrawal or the withdrawal or limiting ofany such services, benefits or facilities.2.12 The Program of PAYBACK may be modified at the sole discretion of LSRPLfrom time to time without intimation to the PAYBACK Member.2.13 LSRPL shall not be liable in the event it fails to fulfill any of its obligationsunder this terms and conditions due to flood, earthquake, storm, cyclone or any otheracts of god of similar nature, war, strike, lockout, or governmental or judicial orquasi-judicial policies/intervention/direction /prohibition or change in law or for anyother reasons beyond its control.2.14 A waiver of any of the terms and conditions by LSRPL shall not be deemed to bea continuing waiver, but shall apply solely to the instances to which the waiver isdirected.
2.15 A PAYBACK Card shall be accepted only at locations identified in the listprovided to the PAYBACK Members at www.payback.in. LSRPL can at any timewithout intimation to the PAYBACK Members add and / or delete PAYBACKPartners from such list. The same shall be updated on www.payback.in.2.6 PAYBACK Membership is non-transferable, except as specified in these termsand conditions. PAYBACK Points are non-negotiable, non-redeemable by cash andcannot be gifted, awarded or rewarded to any other person than the PAYBACKMember himself.2.7 PAYBACK Members will be personally liable for any and all costs, taxes,charges, claims or liabilities of whatever nature arising from the provision oravailability of benefits, facilities or arrangements provided or made available to aPAYBACK Member, by PAYBACK Partners, as a result of his/her membership inthe Program.2.8 The PAYBACK card at all times remains the property of LSRPL, which reservesthe right at any time in its absolute discretion and without giving notice to suchmember to deactivate the PAYBACK Membership. The PAYBACK Member mustreturn or destroy his/her PAYBACK card without delay whenever requested byLSRPL and in such circumstances cannot redeem the PAYBACK Points, which willautomatically expire.2.9 PAYBACK will endeavor to ensure that the services, benefits, facilities andarrangements as expressed or advertised by the PAYBACK Partners will be availableto the PAYBACK Members. However, PAYBACK will not be liable for any loss ordamage, whether direct or indirect, arising from the provision or non-provisionwhether whole or part, of any such services, benefits, facilities or any otherarrangements by the PAYBACK Partners.2.10 When a PAYBACK Member seeks to use or obtain any of the services, benefits,facilities and arrangements as offered by the PAYBACK Partner, the provisions ofsuch services, benefits, facilities or arrangements will be subject to the respectiveterms and conditions of the PAYBACK Partner, being the provider of the saidbenefits, facilities and arrangements.2.11 PAYBACK shall not be liable for any loss or damage, whether direct or indirect,resulting from termination or change of the Program or any of its facilities, benefits orarrangements which are made available to the PAYBACK Members, includingwithout limitation, PAYBACK Partners withdrawal or the withdrawal or limiting ofany such services, benefits or facilities.2.12 The Program of PAYBACK may be modified at the sole discretion ofPAYBACK from time to time without intimation to the PAYBACK Member.2.13 PAYBACK shall not be liable in the event it fails to fulfill any of its obligationsunder these terms and conditions due to flood, earthquake, storm, cyclone or any otheracts of god of similar nature, war, strike, lockout, or governmental or judicial or
quasi-judicial policies/intervention/direction /prohibition or change in law or for anyother reasons beyond its control.2.14 A waiver of any of the terms and conditions by PAYBACK shall not be deemedto be a continuing waiver, but shall apply solely to the instances to which the waiveris directed.2.15 A PAYBACK Card shall be accepted only at locations identified in the listprovided to the PAYBACK Members at www.payback.in. LSRPL can at any timewithout intimation to the PAYBACK Members add and / or delete PAYBACKPartners from such list. The same shall be updated on www.payback.in.2.16 PAYBACK Members are required to inform all changes in the contact detail to‗PAYBACK Contact Center‘ or at www.payback.in. If a PAYBACK Member fails toprovide change of address information immediately, PAYBACK or its Partners willnot be responsible for any delay in delivery of the products/ services ordered by thePAYBACK Member2.17 All PAYBACK Point dispute complaints older than 45 Working Days from thedate of the transaction will not be entertained. The PAYBACK Member must provideproof of transaction as required to register any PAYBACK Point dispute. 2.8 ThePAYBACK card at all times remains the property of LSRPL, which reserves the rightat any time in its absolute discretion and without giving notice to such member todeactivate the PAYBACK Membership. The PAYBACK Member must return ordestroy his/her PAYBACK card without delay whenever requested by LSRPL and insuch circumstances cannot redeem the PAYBACK Points, which will automaticallyexpire.2.18 The PAYBACK Member acknowledges and understands that PAYBACK ismerely an intermediary and does not assume any liability or acquire any right, title orinterest in the Rewards. PAYBACK is only engaged in the management of theRewards displayed in the PAYBACK Rewards Catalog; however all the Rewards areoffered by the Vendors and Partners to the Members directly.Top3 Enrolment in the Program 3.1 It is the PAYBACK Members responsibility to share the correctcommunication details with PAYBACK at the time of enrolling into the Program3.2 Prospective PAYBACK Members can enroll into the Program at selectedPAYBACK Partner outlets or on www.payback.in, by filling in the registration form.PAYBACK Partners may also enroll prospective PAYBACK Members to theProgram.3.3 PAYBACK shall reserve the right to offer the Program by invitation to anyProspective PAYBACK Members as it may deem fit. Membership to the Program isat the sole discretion of PAYBACK and it may refuse membership to any applicantwithout assigning any reasons.
5.3 PAYBACK Points awarded may vary between different PAYBACK Partnersdepending on the arrangement with the PAYBACK Partner. Details of all PAYBACKPoints will be communicated to the PAYBACK Members through www.payback.inor through any other means of communication as decided from time to time.5.4 To accrue PAYBACK Points, a PAYBACK Member must present his/herPAYBACK Card or PAYBACK number at the time of completing the Earn Activity.If a PAYBACK Member fails to present the PAYBACK card or PAYBACKmembership number when visiting or on availing such services, this may result in theapplicable PAYBACK Points not being accrued by the PAYBACK Member and insuch instance PAYBACK or the PAYBACK Partner shall not be responsible in thisregard.5.5 The method of earning PAYBACK Points from PAYBACK Partners is subject tochange from time to time. Such changes will be communicated throughwww.payback.in and through any other means of communication as decided byLSRPL from time to time.5.6 PAYBACK Partners may change any of the terms and conditions of their businessat any time without notice to the PAYBACK Member. PAYBACK is not responsiblefor informing PAYBACK Members of any such changes. PAYBACK has no liabilityfor the acts and omissions of the PAYBACK Partners.5.7 All PAYBACK Members are required to obtain and preserve for a period of 45Working Days appropriate documentation for all transactions done with PAYBACKPartners that earn PAYBACK Points. It is the PAYBACK Members responsibility toensure that the Electronic Data Collection generated transaction slip is accurate.5.8 PAYBACK has no liability for the acts and omissions of the PAYBACK Partners.Top6 PAYBACK Points calculation 6.1 PAYBACK Points accrued through transactions at PAYBACK Partnersshall be credited to members account within 45 working days.6.2 PAYBACK Points accrued through any other Earn Activity shall be credited toPAYBACK Members account within such period as is mentioned for such EarnActivity6.3 PAYBACK Point‘s will not be credited back in the Payback Membership Accountin case(i) the PAYBACK Member decides to return the goods and services, forfeited andunused services or(ii) Goods or services acquired by using PAYBACK Points.6.4 PAYBACK Points are accrued in whole. PAYBACK Members will not beawarded PAYBACK Points in fractions.
6.5 PAYBACK Points are valid for a period of three years from the date oftransaction within the PAYBACK Network. PAYBACK Points shall expire after atime determined by PAYBACK and the PAYBACK Member shall not be entitled toredeem any of such lapsed PAYBACK Points.6.6 The PAYBACK membership has lifetime validity, but the points carry a threeyear validity and is guided by the terms mentioned in clause 6.56.7 PAYBACK Points from a PAYBACK Members account cannot be pooled orcombined with the PAYBACK Points of another PAYBACK Members account.6.8 If PAYBACK Members participate in Earn Activities at more than onePAYBACK Partner, subject to the consent of the PAYBACK partners, thePAYBACK Members are eligible for multiple memberships in the Program and thePAYBACK points will be credited to the respective PAYBACK membershipaccounts.6.9 Complaints on PAYBACK Points not credited to account from any PAYBACKPartner will be entertained only if the date of transaction is not older than 45 workingdays. The PAYBACK Member must provide proof of transaction as required byLSRPL to register any PAYBACK Point dispute6.10 The respective PAYBACK Partners are responsible for the PAYBACK Pointsissued under this Program and if any of them goes into liquidation or non-payment forthese points or any similar event, LSRPL shall not be liable to honour PAYBACKPoints which have been credited to the PAYBACK Membership account and are yetto be redeemed, but have not been fully funded by the PAYBACK Partner as on thatdate. In such an event, such PAYBACK Points will be removed from the PAYBACKMembership Account without prior intimation.Top7 Transfer of PAYBACK Points 7.1 At no time can PAYBACK Points be credited to or PAYBACK Rewardsrequest be issued to, purchased by, or sold to or otherwise transferred to any personother than the PAYBACK Member. Any such PAYBACK Points or requests forPAYBACK Rewards are void. Any person who commits such acts is liable fordamages, litigation and related costs to PAYBACK, which reserves the right, toterminate the PAYBACK membership of the transferor or remove such person fromthe PAYBACK Network or deactivate such transferor‘s PAYBACK MembershipAccount.Top8 PAYBACK Point statement, Program updates & notices 8.1 PAYBACK Members can call the ‗PAYBACK Contact Center‘ numbersor register on www.payback.in in the ―My Accounts‖ page for obtaining a summaryof their recent transaction and obtaining their PAYBACK Point balance.8.2 Any notice, information, intimation, change, modification, alteration of thePAYBACK Rewards Catalog shall be deemed to have been given to the PAYBACK
Member forthwith upon updating HYPERLINK http://www.payback.in of suchchanges, modification, alteration or notice onTop9 Redemption of PAYBACK Points 9.1 PAYBACK Points can be redeemed against the PAYBACK RewardsCatalog or within the PAYBACK Network, subject to the PAYBACK Memberproviding the required credentials vis-a-vis customer information already provided bythe PAYBACK Member9.2 PAYBACK will maintain a PAYBACK Rewards Catalog on www.payback.inspecifying the products and services which would be available for PAYBACKRewards against PAYBACK Points accumulated by a PAYBACK Member.Redemption against PAYBACK Rewards Catalog can happen by approaching the‗PAYBACK Contact Center‘ and/or through login at www.payback.in.9.3 All the items featured in the PAYBACK Rewards Catalog are subject toavailability and suppliers warranties and restrictions at the time of claiming thePAYBACK Rewards. In case an item selected by a PAYBACK Member is notavailable, PAYBACK Members may choose to select from the other available itemsfrom the PAYBACK Rewards Catalog.9.4 Subject to clause 9.8 PAYBACK Rewards once requested cannot be canceled orwithdrawn or changed and the PAYBACK Points used for the same cannot berefunded.9.5 On receipt of the PAYBACK Rewards request by ‗PAYBACK Contact Center‘ orwww.payback.in or visiting selected online and offline PAYBACK PartnersPAYBACK Points will automatically be deducted from the accumulated PAYBACKPoints from the PAYBACK Members account.9.6 All requests issued for PAYBACK Rewards are subject to any statutoryregulations, rules and restrictions, if any and the PAYBACK Member agrees to abideby such statutory regulations, rules and restrictions.9.7 PAYBACK Rewards have no monetary refund value.9.8 All orders placed via PAYBACK Contact Centre, www.payback.in and atPAYBACK Partner online stores cannot be canceled.9.9 For the purpose of redemption, the PAYBACK Member will directly enter into asale/ purchase relationship with the concerned vendor/ supplier of the PAYBACKRewards. PAYBACK or LSRPL shall only act as an agent for redemption ofPAYBACK points and not otherwise whatsoever.Top10 Termination of PAYBACK membership 10.1 A PAYBACK Member may terminate his/her PAYBACK membershipby calling ‗PAYBACK Contact Center‘ and requesting for termination. The
PAYBACK Member shall provide the required credentials vis-a-vis customerinformation already provided by the PAYBACK Member.10.2 Misuse of PAYBACK card or the membership benefits may result in terminationof the membership or withdrawal of benefits at the sole discretion of LSRPL.10.3 Disqualification of a PAYBACK Member, arising out of his/her misconduct,fraud and misuse of PAYBACK Rewards or acts in a manner inconsistent with anycentral/state/local laws, statutes or ordinances, may result in immediate termination ofPAYBACK membership and cancellation of all PAYBACK Points and PAYBACKRewards. Any PAYBACK Member so disqualified shall not be entitled to redeem hisPAYBACK Points after such disqualification.10.4 Upon the death of a PAYBACK Member, his/her PAYBACK membershipaccount will be closed and all outstanding PAYBACK Points will expire.Top11 Miscellaneous 11.1 Settlement of disputes: terms and conditions, set herein, shall begoverned by the laws of India only. All disputes arising under the terms andconditions shall be attempted to be resolved through negotiations. Only in case, suchnegotiations are unsuccessful, the Member shall resort to legal recourse, which shallbe subject to the exclusive jurisdiction of the competent courts in Bangalore only. Allclaims and disputes arising under the terms and conditions should be notified toLSRPL within 45 working days from the event date after which no PAYBACKMember shall have any claim against LSRPL.11.2 LSRPL or its Parent Company shall have the right to transfer, assign and sell inany manner, in whole or in part, the Program to any third party of its choice withoutreference or intimation to the PAYBACK Members.11.3 PAYBACK membership enrollment and eligibility, earning PAYBACK Points,claiming PAYBACK Rewards, availability of PAYBACK Rewards and redemptionare subject to the terms and conditions herein and are subject to any applicable lawsand regulations.11.4 LSRPL reserves the right to terminate the Program, by giving 30 working daysnotice to all PAYBACK Members.11.5 Upon termination or withdrawal of the Program, all PAYBACK Members willbe given 30 working days time within which they may use the PAYBACK Points intheir PAYBACK Membership Account to request for PAYBACK Rewards, afterwhich the PAYBACK Points will be purged or cancelled.11.6 PAYBACK and PAYBACK Partners shall not be liable to any PAYBACKMember or his/her nominee or companion, for any indirect or consequential loss,damage or expense of any kind whatsoever, arising out of or in connection withPAYBACK, including the functioning of the helpline and/or www.payback.in, and/orprovision or the refusal to provide any benefits, whether such loss, damage or expense
is caused by the negligence or otherwise, and whether LSRPL and/or any of itsPAYBACK Partners have any control over the circumstances giving rise to the claimor not.11.7 Every PAYBACK member acknowledges, represents and warrants that he is thesole and exclusive owner of his PAYBACK card and the only authorized user of hisPAYBACK accounts login credentials. PAYBACK member also accepts the soleresponsibility to keep his PAYBACK card & account details confidential. He isresponsible for all the orders placed and other activities in the account (like profilechanges, address change).11.8 PAYBACK will not ask for PAYBACK Member‘s password and other detailsthrough any e-mail or SMS. Please beware of spam mails and phishing and do notshare your PAYBACK Membership Account details with mail id which appear to becoming from unauthorized sources.Top12 Redemption terms and conditions 12.1 Availability of the PAYBACK Rewards and PAYBACK Points requiredfor Redemption in PAYBACK Rewards Catalog are subject to change without priornotice.12.2 All PAYBACK Rewards sent will be as per the description mentioned in thePAYBACK Rewards Catalog12.3 Travel PAYBACK Rewards are subject to availability and normal airlineconditions of carriage. All travel rewards are subject to their specific terms andconditions and terms and conditions of the Suppliers, travel agents and airlines.12.4 Selection of PAYBACK Rewards offered for Redemption is and will be at thesole discretion of PAYBACK or its suppliers and is liable to change without priornotice.12.5 PAYBACK will not be held responsible where any Supplier of Payback Rewardswithdraws, cancels, becomes non-functional, alters or amends those PAYBACKRewards.12.6 PAYBACK is not responsible for changes to, or discontinuance of, any Supplieror Supplier product or service, or if any Supplier withdraws from the Program or forany effect on or devaluation of PAYBACK Rewards caused by such change,discontinuance, or withdrawal. PAYBACK Members may not rely upon the continuedavailability of any PAYBACK Rewards or award level.12.7 LSRPL does not accept liability for damage to persons or property whatsoevercaused in relation To PAYBACK Rewards redeemed by PAYBACK Members in theProgram.12.8 PAYBACK Rewards image displayed on the PAYBACK Rewards Catalog ismerely indicative and subject to change as per availability and is not final.
13 Warranty / Guarantee 13.1 All warranties and guarantees on the PAYBACK Rewards are the soleresponsibility of the Suppliers providing the PAYBACK Rewards. LSRPL shall notbe liable or responsible for any defect or deficiency in the PAYBACK Rewards,whatsoever. All guarantees and warranties on the PAYBACK Rewards shall betransferred as is from the manufacturer or the Supplier.13.2 PAYBACK Members must contact the respective supplier/ manufacturer in caseof any defect or deficiency in the PAYBACK Rewards. Alternatively, the PAYBACKMember may choose to contact ‗PAYBACK Contact Center‘ for any defect ordeficiency in the PAYBACK Rewards. In such event, PAYBACK will purely act as acomplaint routing agent. PAYBACK will not be liable or responsible for the productsand services offered through the PAYBACK Rewards Catalog and PAYBACK givesno warranty with respect to quality of goods acquired or their suitability for anypurpose.13.3 PAYBACK Rewards in the nature of gift vouchers or vouchers featured in thePAYBACK Rewards Catalog always carry a validity period, post which thesevouchers will not be honoured by the Supplier or issuer of gift voucher or voucher.All gift vouchers and vouchers will be subject to their respective terms and conditionsof the Supplier or issuer.13.4 In case of non receipt of the warranty card for any PAYBACK Reward, thePAYBACK Member must inform PAYBACK Contact Center.Top14 Product Delivery 14.1 All reasonable efforts would be taken by the Supplier to ensure thatdelivery of PAYBACK rewards are fulfilled within 10 working days of the receipt ofthe order unless the delay is due to conditions beyond the control of the Supplier orunless otherwise specified. PAYBACK will not be liable for any delay beyond thetime period specified herein.14.2 Once a PAYBACK Reward is dispatched through a courier by the Supplier&incase of a delay by the courier company in getting the PAYBACK Rewarddelivered to the PAYBACK Member, the PAYBACK Member should contact thecourier company.14.3 Redemption orders from PAYBACK Members once given to LSRPL cannot becancelled or withdrawn or changed.
