  • 2. Types of companies in Switzerland • Stock Corporation • Limited Liability Company • General Partnership • Limited Partnership • Sole Proprietorship
  • 3. Stock Corporation • This type of company can be established by at least three persons • The minimum share capital required is 100.000 Swiss Francs • The company should have a board of directors, they must be shareholders • The liability of the members is limited to company assets.
  • 4. Limited Liability Company • The company can be established by at least two persons or by companies which provides at least 20.000 Swiss francs • The liability of the partners are limited to the amount of capital invested in the company • The company must be registered with the Register of Commerce • This type of company should have at least one director who is Swiss resident
  • 5. General Partnership • This company can be established by at least two persons • This company must have an agreement between partners to work • The company must be registered with Commercial Register • The establishing this type of company do not require the minimal share capital
  • 6. Limited Partnership • The company must be established by at least two partners, one general and one limited • The company must be registered with Commercial Register • This company must have an agreement between partners to function • The company do not require the minimal share capital
  • 7. Sole Proprietorship • This company can be established by one person • The director of this type of company is fully liable for this legal entity • The company should be registered with the Register of Commerce if the annual turnover exceeds 100.000 Swiss francs

Steps for company formation in Switzerland • Providing a unique name for the company • Providing a set of identification documents • Drafting the registration documents • Opening a bank account • Submitting the company registration documents with the Commercial Register • Filling the Stampa Declaration Form and the Lex Friedrich Declaration Form which is a permit for foreigners to acquire real estate.
