ANDREW’S TODAY: o Sponsor / manage 23 retirement communities in Missouri and Illinois o Manage revenues in excess of $75 Million o Oversee $250 Million in property and assets o Experience in service and care of seniors including Independent Living, Assisted Living, Skilled Care, Home and Community Based Services, Home Health o Expertise in HUD, LIHTC, Medicare, Medicaid, Managed Care programs o Initiates collaborative meetings with hospital systems in preparation for healthcare reform and to assure the needs of our aging population are addressed o Works with board of directors/owners/investors on strategic planning and development of senior programs and services o Coordinates the financing for new development projects or refinancing of existing debt with tax exempt bonds, bank financing and other financing vehicles o Co-sponsor a licensed Home Health Agency – St. Andrew’s Bethesda Home Health which brings high quality and recognition of care needs to our seniors o Sponsor an innovative home and community based services program. Senior Solutions received international and national awards for The Caring Workplace Program o Received national award from Leading Age for the creation of the Ageless-Remarkable St. Louisans concept o Consult, develop and partner with providers that desire to expand service offerings to seniors 1

SYSTEMS AND PROCESSES THAT BRING DESIRED RESULTSA Group Purchasing Organization (GPO) is utilized to assure quality products at preferredpricing o Three GPOs with preferred provider relationship are utilized to maximize benefits o Market basket comparisons are done every 12 to 18 months o A Formulary has been established to assure quality and cost effective medical procurementStaff Education and Training is coordinated with Healthcare Academy, an online professionalsoftware organization – complimented by hands on support and webinarsSystems for Disaster Preparedness to assure resident safety during inclement weather andpower outage are prepared utilizing a support network of our communities in the St. Louis areaComprehensive Corporate Compliance and Survey Process o Conduct mock surveys to prepare staff for licensure inspections o Introduce a Comprehensive Corporate Compliance Plan with prepared education and training for owners, residents, families and staff o Policies, procedures and training modules are implemented related to Whistle Blower, Red Flag and HIPAA HITECHCulinary Programs o All dining programs are customized to needs of clients o Chefs are recruited and trained o High standards for Sani-safe certifications are requiredResident and Staff Satisfaction Surveys o Resident surveys are conducted annually by an independent 3rd party o Action plans are prepared, results are tracked and outcomes are shared with Owners o Today, St. Andrew’s averages above a 4.0 on a 5.0 scaleMarketing Plans o Detailed marketing plans are created and competitor analysis is studied, results tracked and reported to Owners o Staff understand that “marketing is everyone’s responsibility” o Formal customer service programs are in placeFinancial Reporting and Controls o Capital and operating budgets are prepared and benchmarked to industry norms o Cash and Investment management plans o Financial reporting systems generate monthly P&Ls and track accounts receivable, payables, cash flows. Audit commendation for excellence in internal controls.Technology o A Help Desk has been created to provide online and offline IT support o Backup and recovery off site systems are in place for disaster recovery 3

COMMITMENT TO STAFF EXCELLENCE o Our Staff Recruitment and Retention Committees have resulted in low staff turnover by industry standards with the average through June for all communities at 22%. o Employee safety programs have created a worker’s compensation modifier average of .95. No lost time injuries at many communities. Brooking Park has had no lost time injuries for the last three years. St. Andrew’s communities have received in total over $220,000 in dividends for the stellar results. o Annual Employee Satisfaction Surveys are conducted with benchmarks and goals to assure good relationships are maintained and labor issues are addressed. o All open staff positions are internally posted across the communities resulting in career paths and retention of quality driven staff for the 1,000+ positions. OTHER ACCOMPLISHMENTS OF ST. ANDREW’S CLIENTS o The Sarah Community – Rated as one of the top 18 Nursing Homes in country and #5 in Missouri, according to the 2011 U.S. News and World Report. o 4 out of 5 Skilled Facilities hold a 5-Star rating; the highest accomplishment is given by CMS (Center for Medicare and Medicaid). o Brooking Park – deficiency free in 2010 Annual State Licensure Survey and six (6) deficiency-free inspections in assisted living in the last nine years. The Sarah Community, Cape Albeon, New Florence, Villa Theresa and Mizpah Manor have also experienced a deficiency-free survey, which is only achieved by 7% of the facilities across the country. o All HUD inspections are at 93% or better. o Respite Programs, A la Carte Services, Concierge and other differentiating programs have been initiated to focus on census enhancement. The majority of communities are at 90% or higher occupancy. o Implementation of renovations in the communities with budgets in the $ millions.St. Andrew’s accomplishments are a reflection of our commitment to ourmission which is to be the premier management and consulting firmproviding innovative, high quality, cost efficient services to our clients whoserve older adults through housing, community based services andhealthcare. 4
