EUROPEAN SOCIETY OF VETERINARY DERMATOLOGY CONSTITUTION AND BY-LAWS CONSTITUTION EUROPEAN SOCIETY OF VETERINARY DERMATOLOGY (ESVD) ARTICLE I - NAME This organisation shall be known as the European Society of Veterinary Dermatology, and is a non profit making organisation. ARTICLE II - OBJECTIVES Section 1. To further scientific progress in veterinary and comparative dermatology Section 2. To co-ordinate research in veterinary dermatology Section 3. To provide an exclusive organisation for dedicated individuals who devote a significant portion of their professional activity to research, teaching, or the practice of dermatology in animals Section 4. To further dermatological education by: (a) Encouraging adequate dermatological training in veterinary colleges (b) Providing, by means of meetings, seminars and courses, the opportunity for graduate veterinarians to carry on advanced studies in dermatology Section 5. To encourage and promote improved methods of diagnosis, treatment and prevention of skin diseases in animals Section 6. To provide for the exchange of information on comparative dermatology through affiliation with human dermatology organisations Section 7. To publish the Annual Report of the European Society of Veterinary Dermatology, which shall be the official organ of the European Society of Veterinary dermatology ARTICLE III - MEMBERSHIP Section 1. The types of membership shall be: (a) Founder member (b) Full member (c) Associate member (d) Affiliate member (e) Honorary member (f) Life member Section 2. Qualifications for membership: 1
  • 2. (a) Founder membership shall be for those veterinarians who qualify as full members and who were active in the establishment of the organisation. (b) Full membership shall be limited to those veterinarians who devote a significant portion of their professional activities to research, teaching or practice of veterinary dermatology, and whom the Executive Board of the European Society of Veterinary Dermatology considers eligible as members because of their special contribution or training in dermatology. (c) Associate membership shall be open to all veterinarians who are interested in veterinary dermatology but do not qualify as full members. Associate membership shall be approved by the Executive Board. Associate members shall not have the right to vote or hold office in the organisation. Associate members may apply to be full members when qualifications are obtained. (d) Affiliate membership shall be open to non-veterinarians who are interested in veterinary dermatology. Affiliate membership shall be approved by the Executive Board. Affiliate members shall not have the right to vote or hold office in the organisation. (e) Honorary membership shall be reserved for any person of distinction who has made major contributions to the advancement of veterinary dermatology. Honorary membership shall be approved by the Executive Board. Honorary members shall not have the right to vote or to hold office in the organisation and shall not be required to pay the initial membership fee or annual dues. (f) Life membership shall be reserved for any member in good standing who has reached the age of 65 years. Any full member who has retired from gainful employment may apply for life membership. Each application shall be considered individually by the Executive Board for approval. A life member shall be exempt from paying dues. It is the prerogative of the Executive Board to reinstate the individual to active membership. ARTICLE IV - OFFICERS Section 1. The officers of the society shall consist of President, Secretary, Treasurer, Research and Publication Secretary, Further Education Secretary. Section 2. The term of office shall be three (3) years. Section 3. Officers except the President may succeed themselves in office without limitation, subject to election. Section 4. The Secretary shall become acting President to fill out the unexpired term, if for any reason the President shall be unable to fulfil the duties of office. Section 5. Other vacancies which may occur shall be filled by the Executive Board from founder or full members. ARTICLE V - EXECUTIVE BOARD Section 1. The Executive Board shall be composed of the officers, the immediate Past President, and up to three founder or full members. The Executive Board may co- opt additional full members when necessary. 2
  • 3. Section 2. This board shall be the executive body of the society and shall have the responsibility for administering society affairs. ARTICLE VI - MEETINGS Section 1. An annual meeting of the European society of veterinary Dermatology shall be called by the Executive Board. Section 2. This meeting shall be organised annually in different European countries. Section 3. This meeting shall be organised by a national dermatology study group or a member of the European Society of Veterinary Dermatology. The scientific programme shall be approved by the Executive Board Section 4. The national language of the meeting shall be translated simultaneously into English. ARTICLE VII - LANGUAGE The official language of the European Society of Veterinary Dermatology is English. ARTICLE VIII - AMENDMENTS Proposed amendments to the Constitution shall be signed by at least three (3) full members of good standing and submitted to the Executive Board for its consideration. The proposed amendment with the recommendation of the Executive Board will be announced to the membership at least sixty (60) days in advance of any regular or special meeting at which the proposed amendment may be discussed. An affirmative vote of at least two-thirds of the membership shall be required for the adoption of any amendment. If such a quorum is not present at the meeting, then a postal vote may be organised. ARTICLE IX: The members at a general meeting or on a postal vote may at any time decide to transfer the operations, assets and liabilities of the Society to the charitable company named European Society for Veterinary Dermatology registered in England and Wales with number 5871043 and registered as a charity with number 1117915 or to any other body or organisation with objects similar to the Objectives of the Society which will continue the Objectives of the Society. ARTICLE X: The members at a general meeting or on a postal vote may at any time decide to dissolve the Society following the transfer of its operations, assets and liabilities pursuant to Article IX. In this event, the officers and Executive Board will remain in office as trustees of the Society, for such period as is necessary for these persons to ensure the orderly winding up of the Society’s affairs. 3
  • 4. BY-LAWS EUROPEAN SOCIETY OF VETERINARY DERMATOLOGY (ESVD) ARTICLE I - MEMBERSHIP Section 1. Application for membership shall be made on the official application form. Acceptance of full membership shall require a two-thirds vote of the membership present at the annual meeting of the Society. Section 2. Membership may be terminated by the Executive Board for the following reasons: Any member who has been dropped from membership by the national veterinary medical association for violation of the code of ethics; any member who has not paid dues following one annual billing and one reminder by the Treasurer. Section 3. Resignations from the Society must be submitted in writing. ARTICLE II - ELECTIONS Section 1. The President and Executive Board members, five in all, shall be elected by a postal vote. Section 2. A call for nominations will be published in the ESVD Bulletin at least six months prior to the Annual Business Meeting. Nominees must submit statements to the Secretary, giving their aims and qualifications for Board membership within six weeks. These statements and a voting form will be sent to the electorate at least three months before the Annual congress. Completed forms must be returned to the Chairman of the Nomination Sub-Committee within two months. The Nominating Sub-Committee shall be appointed two (2) months prior to the election. It will supervise and monitor the election process and will make additional nominations where necessary. It will ensure that at least one founder or full member is nominated for each office Section 3. Candidates for election to the Board must be fluent in English, the official language of the Society, and should have been full members for at least two years before nomination and should be resident in Europe. Section 4. Elections will be for the position of President and/or Board Member five persons in all. After election the Board will elect different officers, excepting the President, from amongst its members. ARTICLE III - DUTIES OF OFFICERS Section 1. 4

The President shall preside at all meetings; shall serve as chairman of the Executive Board; shall appoint all committees except the editorial committee; and at the conclusion of his term of office shall serve as a member of the Executive Board for three (3) additional years. Section 2. The Secretary shall: - Be responsible for maintaining permanent and complete minutes of the meetings of the members of the Executive Board - Maintain the records of the Society - Perform all duties incidental to the office of Secretary and such other duties as may be assigned by the President of the Executive Board. Section 3. The Secretary shall also assume the duties of the President in his absence or at his request. Section 4. The Treasurer shall: - Be responsible for the funds of the Society and keep accounts of all receipts and payments by the Society - Serve as Chairman of Budget Committee - Present at each annual membership meeting a detailed report of the financial status of the Society, certified by a qualified accountant, and such additional financial reports as the Board may require - Perform all duties incidental to the office of treasurer and such other duties as may be assigned from time to time by the President of the Executive Board. Section 5. The Research and Publication Secretary shall: - Act as Editor of the Annual Report of the European Society of Veterinary Dermatology - Perform all duties incidental to publications - Co-ordinate ESVD actions towards research in veterinary dermatology. ARTICLE IV - DUTIES OF THE EXCECUTIVE BOARD Section 1. The Executive Board shall be the governing body of the Society: shall give majority approval to the payment of all bills; shall recommend membership; and shall meet to conduct society business as requested by any officer. Section 2. A majority of the members of the Executive Board must be present to constitute a quorum. ARTICLE V - MEETINGS Section 1. The business meeting shall be held in conjunction with the annual meeting of the Society. Section 2. 5
  • 6. Special meetings may be called by the President. ARTICLE VI - DUES Section 1. Annual dues for various types of members as well as initial fees shall be fixed from time to time by the Executive Board of the Society. Payment of the annual dues entitles the member to receive the Annual Report, to receive all notices and to be listed in the directory. Section 2. Notice of annual dues shall be mailed in October by the treasurer and will be overdue two months later. ARTICLE VII - ANNUAL REPORT OF THE EUROPEAN SOCIETY OF VETERINARY DERMATOLOGY Section 1. An edition of the Annual Report of the ESVD shall be published at least once a year. Section 2. The Research and Publication Secretary shall be editor of the Annual Report. He shall appoint an editorial committee and shall be chairman of that committee. Section 3. The Annual Report shall be sent free to all members, associate members, affiliate members, honorary members and life members. Section 4. The Annual Report shall contain: - report of the board activities - minutes of the last AGM - list of members - agenda for the next AGM - any other material of interest and value to the field of veterinary or comparative dermatology. ARTICLE VIII - AMENDMENTS Proposed amendments of the By-Laws shall be signed by at least three (3) full members in good standing and submitted to the Executive Board for its consideration. If approved by the Executive Board, it shall be voted upon at the regular meeting of the members and adopted by majority vote of members present.
