    • GIIC Gherca Ionel Individual Company Letter of IntentPlease allow me to introduce myself – my name is Paul Keisch – I am a Partner in a small RomanianCompany who has a “green field” pilot project of 5 MWp PV plant to develop on a known valuableplot of 12 hectares in Romania.Here briefly is the situation – The project is at an early enough stage whereby the company is open toa JV with a supplier of the PV materials (or individual investor/s). At this time the company has notmade any commitments to where we acquire the materials from. This presents a tremendousopportunity for a supplier of the materials (or individual investor/s) to consider injecting the initial€100.000 themselves in return for an equity position of the entire project. I am looking to partner/JVon this project with suitable industry related individuals/groups looking to participate in this excitingdevelopment by raising funds in the amount of €10 – €10,5 Million with the following BudgetAllocation Structure: • €6.500.000 – total cost of PV materials • €240.000 – PV materials transportation & installing • €66.000 – Land purchasing & development • €3.000.000 – ATR (400.000 – 600.000 €/MWp) • €105.000 – CA (1% of total investment) • €397.000 – Project development and expenses • €192.000 – contingencyThe total investment payback period is less than 9 years with a grace period of Maximum 12 monthsfor development, delivery and construction time. Annual Energy Production (AEP) is around 5.185MWh, Return on Investment (ROI) – 13,6%, Net Present Value (NPV) – €9,9 Million, Internal Rate ofReturn (IRR) – 21,9% and estimates show yearly revenues of €2,12 Million.The €100.000 will be used to cover due diligence, purchase the pre-feasibility study and initiate thefeasibility study along with purchasing of the land in question – in return the project principals wouldenter into an agreement with the provider of the €100.000 to purchase the PV materials from a Solarcompany. In effect the €100.000 would be like a project acquisition cost and could easily be recoveredfrom the revenues generated from the manufacture, supply and installation of the PV panels.This of course is just one option that we feel is attractive, however, we are interested in connectingwith like thinking professionals who can grasp the potential in this project.I am confident that once you have taken a look at our projections you will be intrigued enough towarrant further discussion.
