Official Rules for the Dell Vostro All-In-One Reclaim Your Desk Photography Contest<br />No Purchase or Payment Required<br />Eligibility: The Dell Vostro All-In-One “Reclaim Your Desk” Photography Contest (the “Contest”) is open to any small business entity “Entrant” which at the time of entry: (a) has its principal offices within the United States, China, France, Germany, India, Spain, or the United Kingdom; and (b) has at least one (1) and no more than 25 employees within the business organization. Each entry must be completed and submitted by a person who is at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is older, and is an employee of and authorized to act for Entrant. Employees of Dell Inc., its advertising agencies, its contractors, or other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible.<br />Sponsor: The Contest is sponsored by Dell Inc., One Dell Way, Round Rock, TX 78682 (the “Sponsor”). <br />Agreement to Official Rules: Participation in the Contest constitutes your full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Sponsor reserves the right to disqualify any Entry, at any time, for any violation of the Official Rules. <br />Entry Period: The Contest begins at 8:00 a.m. CT on July 16, 2009 and ends at 11:59 a.m. CT on August 14, 2009 (the “Entry Period”). Entries submitted before or after the Entry Period will be not be eligible. <br />How to Enter: Take a photo that best depicts “The Messiest Desk.” Be sure to review the Requirements for Entries and Judging Criteria set forth below. To submit your Entry, you must first have a valid Flickr account. If you do not have a Flickr account, you can register for free at www.flickr.com. The Flickr tag must be: /reclaimyourdesk. Once you have registered, follow these instructions to submit your Entry on Flickr: (a) go to your picture on Flickr; (b) click on the “All Sizes” icon; (c) select “Medium;” (d) copy the HTML link that appears below the picture; (e) click here and paste the HTML into the comment box along with any relevant comments you might have. There is a limit of one Entry per company (Entrant). Subsequent entries will be void. <br />Requirements for Entries: Entries may not contain (a) any recognizable image of any third party, (b) any recognizable trademarks (other than Dell trademarks), or (c) any content copyrighted by a third party. Any elements that appear in the Entry must be entirely original and created by you. <br />Your Representations: By submitting an Entry, you represent that (a) the Entry is original, (b) you are the sole creator of the Entry, (c) the Entry does not infringe the intellectual property rights of any third party, (d) the Entry has not previously been entered in any other contest or competition, (e) the Entry has not been previously published in any medium, (f) the Entry does not violate any local, state, or federal laws and (g) that your participation in the Contest does not violate your employer’s policies. <br />Sponsor’s Rights to Entries: You will retain ownership of your Entry, including all intellectual property rights which may exist in your Entry. Sponsor shall not acquire any right, title, or ownership interest to your Entry. However, by submitting an Entry, you grant the Sponsor the unconditional and perpetual right, license and consent to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, and exhibit the Entry in any media throughout the world in relation to the Contest, without limitation, and without additional review, compensation, or approval from you or any other party. Sponsor shall have the right, but not the obligation, to use your name, likeness, biography, and other information about you in connection with your Entry. By submitting an Entry, you further agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Sponsor, or any other person, on the grounds that the Sponsor’s use of your entry as set forth in these Official Rules infringes any of your rights, including, without limitation, copyrights, patent rights, trademark rights, or moral rights (droit moral). You further acknowledge that the Sponsor is in no way obligated to protect any intellectual property rights which may exist in the Entry or to publish or use your Entry in any way. Nothing herein shall constitute an employment, joint venture, or partnership relationship between you and the Sponsor. In no way are you to be construed as the agent or to be acting as the agent of the Sponsor.<br />Judging: After the Entry Period, a panel of Judges selected by the Sponsor will select one winning small business entity according to the Judging Criteria set forth below. The decisions of the Judges are final. The odds of being selected as the winner depend entirely on the quality of each Entry pursuant to the Judging Criteria, relative to the performance of all entrants and the number of eligible entries received, and does not involve chance. <br />Judging Criteria: All Entries will be judged according to the following equally-weighted Judging Criteria.<br />Fit and Relevance to Contest Topic: How well does the photo meet the Contest Topic “messiest desk,” with specific emphasis on excessive computer, modem, keyboard, mouse, and power cords and cables?<br />Benefits of an All-in-One System: How well does the photo demonstrate the need for and benefit of having an all-in-one system?<br />Photo Quality: How well is the photo taken, with special emphasis on composition and angle?<br />Requirements of Potential Winner: Except where prohibited, a potential winner may be required to complete and return an affidavit of eligibility and a release form (the “Affidavit/Release”) within seven (7) days of being notified. If a potential winner fails to sign and return the Affidavit/Release within the required time period, an alternate potential winner may be selected in his/her place according to the Judging Criteria. <br />Prizes: The winner will receive a Dell Vostro All-In-One system with an approximate retail value of $629. All values are listed in US Dollars. We recommend you use a currency converter such as this one to determine values in other currencies. Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No cash or other substitution may be made, except by the Sponsor, who may substitute a prize with another item of equal or greater value if the prize becomes unavailable or if necessary to comply with any law, as determined by the Sponsor in its sole discretion. The prize recipients are responsible for any and all other costs and taxes associated with the receipt of a prize.<br />Privacy: By participating in the Contest, you authorize the transfer of your personal data to the United States for purposes of administration of the Contest. All information submitted to the Sponsor as part of this Promotion will be treated in accordance with the Sponsor’s Privacy Policy. You have the right to access, withdraw, and correct your personal data. You may request such action by sending an e-mail to Kara_Krautter@dell.com. The Sponsor may release information concerning your Entry (including content, registration information, and network records) under the following circumstances: when the Sponsor believes release is appropriate to comply with the law; to protect the rights or property of the Sponsor, Judges or other contestants, or to protect the Sponsor, Judges, or other contestants from a fraudulent, abusive, or unlawful Entry; or if the Sponsor reasonably believes that an emergency involving immediate danger of death or serious physical injury to any person requires disclosure of communications or justifies disclosure of records.<br />General Conditions: In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to, technical errors, tampering with the voting process, or fraud, the Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules or (b) award the prizes according to the Judging Criteria from among the eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the Contest or to be acting in violation of these Official Rules. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. The Contest is subject to federal, state, and local laws and regulations and is void where prohibited. In the event of a dispute as to the owner of an entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.<br />Release and Limitations of Liability: Except where prohibited, in cases of death or personal injury caused by the negligence of the Sponsor, or in cases of breach by the Sponsor of any of its obligations under these Official Rules, by participating in the Contest, you agree not to make any claim against the Sponsor, its respective officers, directors, employees, and agents (the “Released Parties”) relating to your participation in the Contest or receipt or use of any prize, including, but not limited to: (a) claims that your Entry violates any third party’s copyrights, trademark rights, publicity rights, or other rights; (b) any technical errors that may prevent your from submitting an Entry; (c) unauthorized human intervention in the Contest; (d) printing errors; (e) lost, late, postage-due, misdirected, or undeliverable mail; (f) errors in the administration of the Contest or the processing of Entries; or (g) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt of any prize. You further agree to compensate any of the Released Parties if they incur or suffer any loss, damage, or other liability as a result of your negligence or breach of these Official Rules. And you agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.<br />Disputes: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the state of Texas. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of Texas, without giving effect to any choice of law or conflict of law rules (whether of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Texas.<br />Severability: If any term of these Official Rules shall be found to be void or contrary to law, such term shall be deemed to be severable from the other terms and provisions herein, and the remainder of these Official Rules shall remain in effect.<br />Results: The Winner will be posted at www.dell.com/reclaimyourdesk.<br />
