CodePlex’s Role in Ecosystem <ul><li>Complementary to other open source Foundations </li></ul><ul><li>Provide additional choice for how commercial software companies and open source developers engage with each other </li></ul><ul><li>Pioneer licensing agreements and processes that help SW developers contribute to OSS projects </li></ul>

CodePlex Foundation - The first 100 days <ul><li>An independent, neutral forum </li></ul><ul><li>Incorporated as a non-profit; bylaws in place, charter to follow </li></ul><ul><li>Interim President and Board of Directors chosen but seeking permanent candidates </li></ul><ul><li>Within first 100 days, will involve the commercial software community in shaping governance and support for the Foundation </li></ul>
  • 6. Founding and Funding <ul><li>Founded specifically to break down barriers to participation in open source projects in commercial settings </li></ul><ul><li>Initial funding of $1 million US from Microsoft </li></ul><ul><li>A 501c6 corporation </li></ul>
  • 7. Contributions, Licenses and Patents <ul><li>Straightforward contributor agreement – see Foundation website </li></ul><ul><li>Where software companies contribute source, broad patent portfolios will not transfer. </li></ul><ul><li>Foundation will extend rights to all downstream developers and users of the contributed code </li></ul><ul><li>License-agnostic </li></ul>

Governance <ul><li>Non-profit, 501c6 corporation </li></ul><ul><li>Public bylaws at www.CodePlex.org </li></ul><ul><li>Interim President: Sam Ramji </li></ul><ul><li>Interim Board: Stephanie Davies Boesch, Sam Ramji, Miguel de Icaza, Britt Johnston, Bill Staples, and Shaun Walker </li></ul><ul><li>Seeking permanent candidates for Executive Director, Board of Directors, Advisory Board </li></ul><ul><li>Contribute names through Foundation website </li></ul>

Participation – First 100 Days <ul><li>Become/recommend a Sponsor </li></ul><ul><li>Become/recommend Executive Director </li></ul><ul><li>Become/recommend member of BoD or BoA </li></ul><ul><li>Comment on our bylaws, charter, and licensing agreements </li></ul><ul><li>Permanent Board of Directors will create Charter, process for contributing projects with broad community input </li></ul>
